13. City Manager’s Report.
2025 Large Item Pick Up Annual Report
There were 3,918 large items picked up at the curb by Republic Waste Services in 2025 (534 or
12% fewer than in 2024). That is an average of nearly 75 items per week City wide. The heaviest
weeks continue to be during the Spring and Summer months with less items collected during
holiday weeks and the Winter months. This continues to be a valuable and well used service
and helps keep up the overall appearance of the community. It also helps in code enforcement
when our staff can explain that there is a way in which to dispose of large items at no additional
expense. Items are collected for City residents each Friday. Residents can request a pick up by
either calling 279-9531 or online at www.coldwater.org.
Citizens Academy Registrations
The City is still seeking applicants for the third Coldwater Citizens Academy. The deadline for
registrations is Friday January 16, 2026. Information about the program and applications can be
found on the City’s website at www.coldwater.org or send your application to
[email protected].
Winter Fest 2026
The City’s annual Winter Fest is right around the corner on Saturday January 24, 2026 from
10:00-2:00 p.m. Enjoy the kids’ activities, inflatables, food trucks, horse-drawn wagon rides,
sled dog demonstrations and other events. Kiwanis cardboard sled racing and an evening
concert with an Eagles tribute band at the Tibbits Opera House are among the planned events.
Come to Heritage Park and the Robert W. Browne Recreation Center to experience all of the

Love Local
The City’s Coldwater Main Street Program is pleased to announce the return of its fourth
annual Love Local event, a community celebration highlighting downtown businesses,
Valentine’s Day festivities, and—of course—the Best Bowls of Soup and Chili Cook-Off. The
event will take place on Saturday, January 31, 2026, from 11:00 a.m. to 2:00 p.m. in downtown
Coldwater. Love Local invites residents and visitors to explore downtown while enjoying free
activities, delicious food, and festive entertainment.
Daddy Daughter Dance
This popular social event is for girls in kindergarten through 6th grade and their dads,
grandfathers, or other influential male figure in their life is scheduled for Saturday February 7,
2026 from 6:30 p.m. to 8:30 p.m. Spend an evening of fun with your special girl! There will be

Frontier Fiber Project Complaint Line
Frontier Communications is the company currently doing all of the utility work in the City’s
public road right of way. If residents have concerns or complaints they can call either 1-269651-3927 or 1-866-454-3709 to report damage. This is a recorded line and there is follow up
based on the contact information left by the caller. The resolution path depends on the issue

Coldwater City Council,
We are writing to you to express our opposition to the changes being proposed to the vegetation
ordinance.
We live in the house located at 138 Harrison St., and we own and lease out the house located at 41
Pierson St. (on the corner of Pierson and Harrison). We have spent considerable expense in hiring a
professional landscaping service to remove the existing sod to replace with a carefully researched and
selected native plant mix within our rights-of-ways at both of these properties. Understanding the
location, the context, safety concerns, and existing ordinances, we chose a selection of wildflowers and
grasses which do not exceed ~2 ft. in height and will contain blooms from spring-fall (once mature in the
next 2-4 years); we have installed signage at each location to provide some context to the plantings, we
have actively weeded non-native volunteer and remnant plants from these beds, and -mindful that we
are members of a neighborhood- in the fall we mowed down the stalks so as to provide a tidier
appearance (despite our personal preference to leave these until spring to provide additional seeding
and shelter for pollinating insects). We chose to do these plantings for a number of reasons: as
pedestrians, we are more comfortable on the sidewalk with the increased sense of separation from the
street; we find beauty in these plants; and we are trying to support native pollinators. Additionally, these
flowers and grasses, which are only found in the American Midwest help reinforce the uniqueness of this
place we call our home, both geographically and within our neighborhood.
We also own the duplex at 53 & 55 Herbert St. (with rear yard abutting Elizabeth St. and facing
Pansophia Academy), and have similarly removed the sod in a portion of the rear Elizabeth St.-facing
yard to replace with a slightly taller native plant mix. Along with the previous emphasis on the beauty
and uniqueness of the plants selected, we chose to do this planting to provide additional privacy to our
tenants, who have felt uncomfortable in the openness of the rear yard. Our tenants are enthusiastic
about the flowers and the privacy, and we’ve received excited encouragement from staff members at
Pansophia, as well as others from this neighborhood. The property has always been mowed and
maintained regularly by a lawn service.

The right-of-way at our home is approximately 6’ wide and that at our corner rental is as narrow as 5’ in
areas; a new imposition to clear nearly ½ of these plantings will render the continuation of our efforts not
worthy of pursuing. Like the property on Herbert St., we have received positive reactions to these
plantings and it has taken a considerable amount of planning, money, and maintenance to create these
welcoming streetscape pollinator gardens.
We felt that this anecdotal information was important to contextualize the intention and attention of the
public realm to our efforts, while understanding that it is not directly the target of the proposed ordinance
changes. To be truthful, we are not quite sure what the purpose of the proposed changes are. It seems
that there already exists safety-related language concerning height and location limits which may
obstruct visibility. Has there been an uptick in safety complaints, accidents, or near misses due to these
kinds of plantings?
The premise of the proposed code is that 2’ of flowers inside the curb could be a hazard to the public
welfare, however, the city requires garbage & recycling bins and large trash items are to be placed within
this area on a weekly basis, along with bagged yard waste. Residents are also encouraged to push their
fall leaves directly into the streets for collection. How are these activities in these “dangerous” locations
any less of a burden on public safety?
To us, it feels as if these are protections in search of victims. We fear -naturally- that these changes will
have a detrimental impact on our own objectives, but also to other residents looking to actively
participate in their own neighborhoods. But additionally, we are concerned that these changes may
contribute to increased feelings of friction between residents and the City; that in addition to their existing
duties, staff must now be required perpetually to monitor, explain, and enforce increased restrictions
upon community members’ efforts to participate in and beautify their own neighborhoods.

Dear Mayor and Council Members:
I appreciate the opportunity to comment on the proposed amendment to Chapter 690,
Vegetation specifically, the introduction of Ordinance No. 879. I respectfully urge the
Council to strengthen Section 10 by adding several well-documented invasive species to
the list of prohibited noxious vegetation and to consider removing certain non-problematic
native species currently included.
Suggested Additions to Section 10
The Michigan Department of Natural Resources (MDNR) and the Michigan Department of
Agriculture and Rural Development (MDARD) both recognize the following species as highly
invasive across the state:
•
Common Buckthorn (Rhamnus cathartica) – A small tree/shrub that aggressively
colonizes roadsides and woodlands, suppressing native understory species.
•
Glossy Buckthorn (Frangula alnus) – Listed among species MDNR and MI Invasive
Species Coalition identify as problematic.
•
Callery Pear (Pyrus calleryana) – Targeted for regulatory control in Michigan due to
its invasiveness.
•
Japanese Barberry (Berberis thunbergii) – Widely noted by MDNR resources as
aggressive and harmful.
•
Multiflora Rose (Rosa multiflora), Japanese Knotweed (Fallopia japonica), Giant
Knotweed (Fallopia sachalinensis), and Autumn Olive (Elaeagnus umbellata). All
listed by the Michigan Invasive Species Coalition and MDNR as priority invasive
species.
MDARD’s recent proposal for additions to the NREPA Part 413 invasive plant list further
confirms the inclusion of Common and Glossy Buckthorn, Callery Pear, and Japanese
Barberry highlighting the robust scientific consensus that these species pose severe
ecological, economic, and human health risks.
Recommended Removals from the City’s List
The current listing of all non-poisonous sumac species like Staghorn Sumac (Rhus
typhina), Smooth Sumac (Rhus glabra), Winged Sumac (Rhus copallinum), and Fragrant
Sumac (Rhus aromatica) and Red Mulberry (Morus rubra) lacks ecological justification.
These species are native and non-invasive in Michigan, providing wildlife habitat and native
biodiversity benefits. Their removal from the noxious list would better align with both
scientific evidence and sound land management. The retention of Poison Sumac
(Toxicodendron vernix) on the noxious list I belive is still warranted.
Conclusion
•
Include: Common Buckthorn, Glossy Buckthorn, Callery Pear, Japanese Barberry,
Multiflora Rose, Japanese Knotweed, Giant Knotweed, Autumn Olive, and Poison
Sumac.
•
Exclude: Non-poisonous sumacs (Rhus sp.) and Red Mulberry, which are native and
not invasive.
By refining Section 10 in this manner, Coldwater will strengthen its commitment to
preserving local native ecosystems, aligning with state-level agricultural and environmental
priorities, and mitigating the spread of harmful invasive plants. Thank you for your

areas; a new imposition to clear nearly ½ of these plantings will render the continuation of our efforts not
worthy of pursuing. Like the property on Herbert St., we have received positive reactions to these
plantings and it has taken a considerable amount of planning, money, and maintenance to create these
welcoming streetscape pollinator gardens.
We felt that this anecdotal information was important to contextualize the intention and attention of the
public realm to our efforts, while understanding that it is not directly the target of the proposed ordinance
changes. To be truthful, we are not quite sure what the purpose of the proposed changes are. It seems
that there already exists safety-related language concerning height and location limits which may
obstruct visibility. Has there been an uptick in safety complaints, accidents, or near misses due to these
kinds of plantings?
The premise of the proposed code is that 2’ of flowers inside the curb could be a hazard to the public
welfare, however, the city requires garbage & recycling bins and large trash items are to be placed within
this area on a weekly basis, along with bagged yard waste. Residents are also encouraged to push their
fall leaves directly into the streets for collection. How are these activities in these “dangerous” locations
any less of a burden on public safety?
To us, it feels as if these are protections in search of victims. We fear -naturally- that these changes will
have a detrimental impact on our own objectives, but also to other residents looking to actively
participate in their own neighborhoods. But additionally, we are concerned that these changes may
contribute to increased feelings of friction between residents and the City; that in addition to their existing
duties, staff must now be required perpetually to monitor, explain, and enforce increased restrictions
upon community members’ efforts to participate in and beautify their own neighborhoods.

2025 Refuse and Recycling Annual Report
The City’s waste hauler, Republic Waste Services, reported they collected 3,411.02 tons of refuse and 503.18 tons
of recyclables for a total waste stream of 3,914.20 from the City’s 3,000 customers in 2025. This represents an
approximately 12.85% recycling level which is an almost 1% decrease from 2024 (13.76%). The total amount of
waste and recycling collected in 2025 remained essentially level (up only 0.13%) from 2024. Information about the
City’s refuse collection program can be found on the City’s website at www.coldwater.org.
Winter Fest 2026
The City’s annual Winter Fest is coming up this weekend on Saturday January 24, 2026 from 10:00-2:00 p.m.
Enjoy kids’ activities, inflatables, food trucks, and other family friendly events. The Kiwanis Club sponsored
cardboard sled races, Branch District Library Book Mobile, and an evening concert with an Eagles tribute band at
the Tibbits Opera House are among other planned events. Due to the predicted extremely cold temperatures, the
horse drawn wagon rides and dog sled demonstrations have been canceled. Come to Heritage Park and the
warmth of the Robert W. Browne Recreation Center to experience all of the fun! Contact the Coldwater

Love Local
The City’s Coldwater Main Street Program is pleased to announce the return of its fourth annual Love Local event,
a community celebration highlighting downtown businesses, Valentine’s Day festivities, and—of course—the Best
Bowls of Soup and Chili Cook-Off. The event will take place on Saturday, January 31, 2026, from 11:00 a.m. to
2:00 p.m. in downtown Coldwater. Love Local invites residents and visitors to explore downtown while enjoying
free activities, delicious food, and festive entertainment.
Daddy Daughter Dance
This popular social event is for girls in kindergarten through 6th grade and their dads, grandfathers, or other
influential male figure in their life is scheduled for Saturday February 7, 2026 from 6:30 p.m. to 8:30 p.m. Spend
an evening of fun with your special girl! There will be dancing, pictures, flowers and refreshments. Sign up at

Frontier Fiber Project Complaint Line
Frontier Communications is the company currently doing all of the utility work in the City’s public road right of
way. If residents have concerns or complaints they can call either 1-269-651-3927 or 1-866-454-3709 to report
damage. This is a recorded line and there is follow up based on the contact information left by the caller. The
resolution path depends on the issue reported, i.e. what kind of action is necessary. Residents can also send an
email to [email protected]. Residents can also report their issues to the City at 279-9501 and we will
forward the complaints to Frontier as well.

Dear Mayor and City Council Members:
Glo Studio is interested in sponsoring an International Day of Yoga event in downtown Coldwater
on Sunday June 21, 2026, to celebrate community-wide wellness. The event would run from 9:00
a.m. to 4:00 p.m. The event would require the closure of S. Hanchett Street between US-12 and
W. Pearl Street to allow outdoor Yoga and Pilates sessions, Guest Presenter Showcase,
spotlighting practitioners and instructors from the area, and a Holistic Market.
The event would not conflict with any scheduled performance at the adjacent Tibbits Opera
House but would be one day after the annual Strawberry Festival downtown. If approved, the
City would provide barricades to facilitate closure of the street and refuse toters for the event.
The City has been promoting increased activity downtown, therefore I am recommending that
the City Council consider adoption of Resolution No. 26-04 to authorize the closure of S. Hanchett
St. on Sunday June 21, 2026, from 7:00 a.m. until 5:00 p.m. and authorize the City Clerk to sign.

Ordinance Amendment to Chapter 1064 – Municipal Park Lands
The City’s Police Department and Department of Municipal Services have increasingly
encountered individuals misusing park land and fixtures on the real property. This
includes individuals camping overnight, urinating in public, and using the fire pit as a grill.
The current ordinance regulating conduct in City parks has not been updated since 1998.
In particular, the specific violations outlined are all classified as municipal civil infractions.
The classification of violations as exclusively civil infractions hinders police’s ability to
investigate, request proof of identification, and ultimately remove offending individuals
from park property. Therefore, the City has proposed an updated ordinance that classifies
some offenses as criminal misdemeanors in order to facilitate appropriate investigation
and hold individuals accountable. Additionally, some general clean-up of the ordinance
included removal of an outdated violation and the addition of a new offense to target
recent conduct.
ORDINANCE NO. 880
AN ORDINANCE TO AMEND CHAPTER 1064, MUNICIPAL PARK LAND
OF THE CODIFIED ORDINANCES OF THE CITY OF COLDWATER
WHEREAS, the City Council is vested with the policy-making powers of the City of Coldwater
as provided in Section 4.1 of the City Charter and the legislative powers for the City as provided
in Section 5.1 of the City Charter; and
WHEREAS, the Home Rule City Act, MCL 117.4e, provides authority for Cities to regulate the
maintenance, development, and operation of City-owned property; and
WHEREAS, Section 6.14 of the City Charter appoints a Director and Park Superintendent to
oversee the operation and maintenance of City parks and recreation properties, facilities, and
programs; and
WHEREAS, the Home Rule City Act, MCL 117.4i, permits cities to adopt ordinances and designate
violations of such ordinances as criminal misdemeanors with penalty not to exceed a fine of $500
or imprisonment of 90 days, or both; and
WHEREAS, the City Council desires to amend its ordinances, Chapter 1064, to designate a
violation of Chapter 1064 as a criminal misdemeanor.
NOW THEREFORE, THE CITY OF COLDWATER HEREBY ORDAINS:
Section 1.
(a)
Section 1064.01, Rules and regulations, shall be amended to read as follows:
The following rules and regulations shall govern all Municipal park lands in the
City. On such lands, no person shall:

Post, paste or affix any placard, notice or sign within any park without a
permit;

bush or flower; or mark or write upon any building, fence, bench or other
structure;
Make or kindle an open fire, except in picnic stoves provided for that
purpose;
Shoot bows and arrows without a permit;
Remain, stay or loiter in a park between the hours of 11:00 p.m. and 5:00
a.m. of the following day, except as allowed by a permit issued pursuant to
Section 1064.02 for events sponsored by charitable, civic or governmental
organizations;

Section 2.
Operate, within the boundaries of any City parks, any off-the-road motordriven vehicle, including, by way of example, but not by way of limitation,
any motorbike, motorcycle, dune-mobile, snowmobile, all-terrain vehicle,
amphibious vehicle or similar motorized device, except that vehicles
licensed for operation on public highways may be operated on any paved
roads within any park;
Use park land or property for any purpose, other than its intended purpose,
or, use park land or property in a manner that causes or is reasonably
foreseeable to cause injury or damage to property. The intended purpose of
park property is as a public recreational facility or such other purpose as the
City may officially designate.
Section 1064.03, Issuance of civil infraction citations and notices, shall be amended
to read as follows:
The Code Official, the City Manager and his or her designated representative, and
the Director of Public Safety and his or her designated representative, are hereby
designated as the authorized City officials to issue Municipal civil infraction
citations (directing alleged violators to appear in court) or Municipal civil infraction
violation notices (directing alleged violators to appear at the City of Coldwater
Municipal Ordinance Violations Bureau) as provided in Chapter 211 of the
Administration Code.
Section 3.
Section 1064.99, Penalty, shall be deleted in its entirety and replaced as follows:
(a) Municipal Civil Infraction. Whoever violates subsections 1064.01(a)(1) and (2) is
responsible for a Municipal civil infraction and shall be subject to the civil fine
provided for in Chapter 211.06(a)(12) of these Codified Ordinances, plus costs
and other sanctions, for each infraction. Repeat offenses shall be subject to
increased fines as provided for in Chapter 211.
(b) Misdemeanor. Whoever violates subsection 1064.01(a)(3) – (8) of this Chapter, is
guilty of a misdemeanor and shall be subject to a fine not to exceed $500.00 plus
costs of prosecution, or imprisonment not to exceed 90 days, or both.
Section 4. Effective Date. This Ordinance shall be effective 21 days after adoption and after
publication as prescribed by law.
Section 5. All ordinances, resolutions, or rules inconsistent with these provisions are hereby
repealed. Should any section, clause, or phrase of this ordinance be declared invalid, the same shall
not affect the validity of the ordinance as a whole or any other part.

Introduction of Proposed Conservation Easement Agreement with
Nottawaseppi Huron Band of the Potawatomi for access to the Indian Way Tree
located at Oak Grove Cemetery; Agreement No. A26-03; Res. No. 26-07
Dear Mayor and Council Members:
The Nottawaseppi Huron Band of the Potawatomi, a federally recognized tribal government, have
requested permission to use a portion of the Oak Grove Cemetery along the north side of US-12 and
the south edge of the north cemetery to facilitate and allow it access to and conservation of the Indian
Way Tree. The tree is estimated to be over 250 years old and was utilized by Native Americans to
identify trails across Branch County and the broader Midwest. Unfortunately, the tree was damaged
in an ice storm in 2023 and is in need of rehabilitation and protective measures to ensure the tree’s
continued survival. In order to grant the Tribe access to the tree on City-owned property a
Conservation Easement Agreement is necessary.
Therefore, staff recommends that the Mayor and City of Coldwater Council consider introduction of
the above referenced Conservation Easement Agreement which is attached hereto.
If introduced on January 26, 2026, the Easement would be eligible for a roll call vote at the Council
meeting on March 9, 2026, at which Council may authorize the mayor and the Clerk to execute the
Conservation Easement Agreement, Agreement No. A26-03.

tribal government, have requested permission to use a portion of the Oak Grove Cemetery along
the north side of US-12 and the edge of the north cemetery to facilitate and allow it access to

WHEREAS, the City is willing to grant an Easement to the Nottawaseppi Huron Band of

1. The City shall enter into an Easement Agreement between the City of Coldwater and

on the attached Exhibit A (the “Oak Grove Cemetery Property”); and
WHEREAS, the Grantee desires Grantor to grant an easement (the “Easement”) to use,
on, over, and across portions of the Oak Grove Cemetery, as more particularly described on the
attached Exhibit B (the “Easement Area”), to facilitate and allow the Grantee’s access to and
conservation of the Indian Way Tree; and
WHEREAS, Grantor is willing to grant Grantee an easement for use purposes outlined in
this Agreement and subject to its terms and conditions.
Accordingly, in consideration of the foregoing and the benefits to each party to be derived
hereby, the Grantor and the Grantee agree as follows.
1.
Grants of Easement. Grantor hereby grants to the Grantee an easement to use the
Easement Area for the sole and exclusive purpose of providing the Grantee with
access to and use of the Indian Way Tree and its immediately surrounding area.
Grantee have the right to perform maintenance and take measures as necessary to
restore and protect the Indian Way Tree.
2.
Notice and Use. Grantee, its employees or invitees shall be permitted to use the
Easement Area, but is strictly prohibited from making any alterations, additions,
modifications, or damaging any area outside of the Easement Area. Grantee shall
further repair any damage caused due to the transport of supplies or equipment

across Grantor’s property as a part of restoration and protection efforts. Grantee
shall provide notice to Grantor whenever it is performing maintenance, restoration,
or protection efforts. Further, should Grantee desire to remove any other trees
within the Easement Area Grantee shall notify and obtain approval from Grantor
first.
3.
Restrictions. Neither Grantor nor Grantee shall have the right to take any action
that will adversely affect the Indian Way Tree.
4.
Reserved Rights. Grantor hereby expressly reserves the rights of ownership, use,
and occupancy of the Easement Area insofar as and to the extent its exercise of its
rights does not interfere unduly with the Grantee’s reasonable use and exercise of
the rights granted to the Grantee in this Agreement.
5.
Notice. All notices, requests, consents, claims, demands and other communication
under this Agreement must be in writing and will be deemed to have been properly
given or served and will be effective only upon personal delivery, nationally
recognized overnight courier, facsimile or email of a PDF document with
confirmation of transmission, or certified or registered mail. Except as otherwise
provided in this Agreement, a Notice is effective only: (a) upon receipt by the
receiving party and (b) if the party giving the Notice has strictly complied with the
requirements of this Section.

A.
Default and Remedies. In the event either party breaches its duties and
obligations hereunder and does not remedy same within thirty (30) days
after receipt of written notice of such breach from the other party (or such
additional time as is reasonably necessary so long as such party is diligently
attempting to remedy the stated breach), then a non-defaulting party may
seek all available legal or equitable remedies, including specific
performance; provided, however, in no event and under no circumstances

may a party to this Agreement seek or be entitled to money damages from
any other party to this Agreement, no matter the cause of action or legal
theory.
B.
Assignment. Neither party may assign its rights nor delegate its obligations
under this Agreement without the consent of the other party, which consent
may not be unreasonably withheld.
C.
Governing Law. This Agreement will be governed by and construed under
the laws of the State of Michigan.
D.
Counterparts. This Agreement may be executed in any number of
counterparts; all such counterparts, including those executed by facsimile
or electronic signature, shall be deemed originals, and together shall
constitute one and the same instrument.
E.
Construction. Should any provision of this Agreement require judicial
interpretation, it is agreed that the court interpreting or construing the same
may not apply a presumption that the terms hereof will be more strictly
construed against one party by reason of the rule of construction that a
document is to be construed more strictly against the party who itself or
through its agent prepared the same, it being agreed that the agents of all
parties have participated in the preparation hereof.
F.
Severability. In case one or more of the provisions contained in this
Agreement may for any reason be held to be invalid, illegal or
unenforceable in any respect by a court of competent jurisdiction, such
invalidity, illegality or unenforceability will not affect any other provisions
hereof and this Agreement may be construed as if such invalid, illegal or
unenforceable provision is severed and deleted from this Agreement.
G.
Integration. This Agreement supersedes all prior discussions and
agreements between the parties with respect to the matters contemplated
herein and constitutes the sole and entire agreement between the Grantor
and the Grantee with respect thereto. This Agreement may not be modified
or amended unless such amendment is set forth in writing and signed by
both the Grantor and the Grantee.
H.
Termination. This Agreement shall exist in perpetuity unless any of the
following conditions arise: (1) if Grantee expressly states its intent to
abandon the easement and Grantee fails to act or ceases activity; (2) if the
Indian Way Tree dies; or (3) upon a written release is executed by the
Parties.

Attached is the proposed sale of four vacant parcels of land on Wallace Lane to Alliance Homebuilders, LLC, for
the purpose of building four single-family homes on the land. Please find attached draft Purchase Agreement
No. A26-01 and Resolution No. 26-05.
The offer is in the amount of $20,000 each for a total of $80,000. The City as seller will be required to extend the
water and wastewater to the parcel lines and the road.
Alliance Homebuilders, LLC, owned and operated by David and Monica Lowder, have built several homes in
Coldwater and the surrounding area. Following a request for proposal Alliance Homebuilders was selected as a
bid winner to construct homes in the newly created Western Meadows development.
The City Charter requires that when public property is sold, the conveyance must remain on the table for 30
days for public inspection.
Staff is recommending that the City Council place the purchase offer on the table for 30 days. Due to the council’s
schedule, the regularly scheduled meeting after the 30-day time period at which the sale could be acted upon is
Monday March 9, 2026.

WHEREAS, the City of Coldwater (“City”) is authorized to sell its property as provided in
Michigan Public Act 279 of 1909, the Home Rule City Act, MCL 117.1 et seq. (the “Act”); and
WHEREAS, the City is further authorized to manage and control its property by the Charter
of the City of Coldwater, at Chapter 2, Section 2.1; and
WHEREAS, the City purchased the property described in Sales Agreement, Agreement No.
A26-01 from Robert and Phyllis Rumsey on October 26, 2016, consisting of 14.518 acres, for
$95,818.80, and thereafter leased a portion for farming to Sexton Farms for several years; and
WHEREAS, the City has undertaken to prepare the property for further development
through the installation of a new public road and utility infrastructure; and
WHEREAS, the City solicited bids for proposed single-family home construction in 2025
and Alliance Homebuilders was among two bid winners (Res. No. 25-13); and
WHEREAS, City staff recommends that the now vacant property described on the
attached Agreement should be sold and resume a taxable status; and
WHEREAS, the City has received an offer for four vacant parcels in the amount of $20,000
each from Alliance Homebuilders, LLC, who have stated the desire to build a home on each site;
and
WHEREAS, the property in question is not park or cemetery property and City Council
determines that the best use of the land is for housing; and
WHEREAS, City staff recommends that the Property, which is vacant, should be sold for
development as single-family residential homes; and
WHEREAS, the City Council determines that the sale by Agreement No. A26-01 is in the
best interests of the City; and
WHEREAS, the Purchase Agreement, Agreement No. A26-01 was introduced at the City
Council meeting on January 26, 2026, and has been on file with the City Clerk for over 30 days
since its introduction in compliance with the Charter, Chapter 13 Section 13.3(2);
NOW, THEREFORE, BE IT RESOLVED by the Coldwater City Council that the City shall sell
the real Property described in Agreement No. A26-01 to Alliance Homebuilders, LLC, for a
purchase price of $80,000 for four vacant parcels of land on the terms and conditions set forth
therein. The Mayor and the City Clerk are authorized to execute Agreement No. A26-01 and a
deed at closing thereunder on behalf of the City of Coldwater.

REAL ESTATE PURCHASE AGREEMENT FOR WALLACE LANE
BETWEEN THE CITY OF COLDWATER AND
ALLIANCE HOMEBUILDERS, LLC
This REAL ESTATE PURCHASE AGREEMENT (this “Agreement”) is made on
____________, 2026, by and between ALLIANCE HOMEBUILDERS, LLC, a Michigan limited
liability company of 677 E. Chicago Road, Coldwater, Michigan 49036 (“Purchaser”), and CITY
OF COLDWATER, a Michigan municipal corporation, of 1 Grand Street, Coldwater, Michigan
49036 (“Seller”) as follows:
BACKGROUND
Seller owns nine (9) vacant parcels of land within the City of Coldwater, Branch County
that is commonly referred to as Western Meadows, as more specifically described herein. Seller
desires to sell, and Purchaser desires to purchase four (4) unplatted parcels (the “Parcels”), (the
“Land”). As appropriate, the Land will be referred to as the “Property.”
AGREEMENT
NOW, THEREFORE, IN CONSIDERATION OF THE MUTUAL COVENANTS AND
CONDITIONS SET FORTH HEREIN THE PARTIES AGREE AS FOLLOWS:
1.
Property. Seller agrees to sell and Purchaser agrees to purchase four (4) unplatted
parcels located in the City of Coldwater, Branch County, State of Michigan as described on the
attached EXHIBITS A and B.
2.
Purchase Price. The Purchase Price for the Property shall be Twenty Thousand and
No/100ths ($20,000.00) Dollars per parcel for a total of Eighty Thousand and No/100ths
($80,000.00) Dollars. The Purchase Price shall be delivered at a single closing in immediately
available funds subject to the terms and conditions stated in this Agreement. Purchaser’s
obligations under this Agreement are not contingent upon financing.
3.
Investigation Period; Right to Terminate. The “Investigation Period” shall expire
ninety (90) days following the date this Real Estate Purchase Agreement has been executed by
both parties (the “Effective date”). During the Investigation Period, Purchaser shall have the right
to have the Property inspected, surveyed, evaluated, analyzed, tested, appraised and/or assessed
for any matter whatsoever, including but not limited to, market value; soil conditions; location of
flood plains; presence of wetlands and necessary mitigation, if any; storm water drainage systems;
presence of environmental contamination; health and safety conditions; access to utilities; access
to public roads; zoning; compliance with laws, codes and ordinances and any other matter desired
by Purchaser. Seller hereby grants Purchaser and Purchaser’s agents, employees, representatives,
consultants, and contractors a nonexclusive license prior to closing, to enter and have access to the
Property for purposes of having such investigations performed and the right to discuss the Property
and the conditions related thereto with governmental authorities. Purchaser may choose to have

Contractors perform site investigation work on site. During the Investigation Period, and any
extensions thereof, Purchaser has sole discretion to terminate this Agreement.
4.
Payment of Property Taxes. Property taxes for the year of Closing shall be prorated as of the date of Closing on a calendar basis based upon the amount of such taxes if known
at the time of Closing.
5.
Incorporation of Request for Proposal and Proposal. Seller and Purchaser agree that
the terms of Seller’s Request for Proposal and Purchaser’s submitted Proposal are hereby
incorporated as a part of this Agreement.
6.
Seller’s Closing Deliveries. At Closing, Seller shall deliver to the Purchaser, the
following items, which shall be in a form and substance satisfactory to Purchaser:
A.
A Covenant Deed conveying to Purchaser title to the Property, executed and
acknowledged by Seller in recordable form;
B.
An ALTA fee owner’s policy of title insurance or equivalent coverage from
Branch County Abstract & Title or another title insurance company that is acceptable to Purchaser
(the “Title Policy”) in an amount equal to the Purchase Price insuring Purchaser as owner of
marketable title to the Property without standard exceptions, and subject only to the following
permitted exceptions (the “Permitted Exceptions”): (1) the lien prorated property taxes not yet due
and payable, (2) utility easements serving the Property, (3) other matters described in Section 9
and 10, (4) any matter arising as a result of any act or omission of Purchaser; (5) all applicable
zoning, building and other ordinances adopted by the City of Coldwater, (6) building restrictions
as set forth in paragraph 22 and (7) such other matters that are not objected to by Purchaser.
C.
Such other documents, including a signed Closing Statement, as are
necessary and appropriate for the consummation of this transaction by Seller.
7.
Purchaser’s Closing Deliveries. At Closing, Purchaser shall deliver to Seller the
Purchase Price and such other documents, including a signed Closing Statement, as are necessary
and appropriate for the consummation of this transaction by Purchaser.
8.
Closing Costs and Prorations. Seller shall pay or reimburse Purchaser for (i) all
transfer taxes, if any, assessed in connection with Closing, (ii) the premium for the Title Policy,
(iii) one half (1/2) of any closing fee charged by the title company in connection with this
transaction, and (iv) any special assessments (sewer or otherwise but not including hook-up fees
or associated costs of the same) that currently exist against the Property, if any. Seller shall be
responsible for and pay all past due real estate taxes and assessments at or prior to Closing. This
obligation shall survive the Closing. Purchaser shall pay all other closing costs and fees related to
Closing.
9.
Title. Seller shall order a commitment for an owner’s policy of title insurance (the
“Title Policy”) within ten (10) days of the date of this Agreement. Within 10 days after Purchaser
has received both the title commitment and the Survey described in Section 10 below (if obtained),
both in a form satisfactory to Purchaser, the Purchaser shall deliver written notice of any objections

Purchaser has to the title commitment. Seller shall have five (5) business days from receipt of such
notice of objections to provide written notice to Purchaser as to whether Seller will cure such
objections at or before Closing. If Purchaser notifies Seller of the existence of defects rendering
title unmarketable and should Seller fail to effect cure of such defects by Closing, Purchaser may,
at its option: (1) extend the time for Seller's performance hereunder only if Seller so requests, (2)
waive such objections, or (3) terminate this Agreement.
10.
Survey. Within ten (10) days of the date of this Agreement, Purchaser may order,
at its expense, a new ALTA survey (the “Survey”) of the Property, showing the legal description
of the Property, any boundary encroachments that may impact the Property, all easements affecting
the Property and such other matters desired by Purchaser.
11.
Environmental Matters. Purchaser may, at its expense, conduct such environmental
site evaluations of the Property as it deems appropriate including, without limitation, a Phase I and
Phase II environmental site assessment and/or a Baseline Environmental Assessment (collectively,
the “Site Investigation Reports”).
12.
Property Maintenance. Purchaser shall be responsible for maintenance of all parcels
from Closing until future sale of a newly constructed single family home including all mowing,
snow removal, soil erosion, and general maintenance. Purchaser shall ensure against the presence
or introduction of noxious plants or invasive species. Additionally, during construction Purchaser
may store building materials, trailers, and vehicles that are necessary for construction purposes,
but must do so in accordance with local ordinances.
13.
Representations and Warranties of Seller. Seller hereby represents and warrants to
Purchaser that to the best of Seller’s knowledge, as of the date hereof and on the date of Closing,
which representations and warranties shall survive Closing, but without additional investigation
by Seller:
A.
Seller has the right, power and authority to enter into this Agreement and to
sell the Property in accordance with the terms hereof, and Seller has granted no option or right of
first refusal to any other person or entity to purchase the Property and has not entered into any
contract to sell the Property as of the date of the Agreement. The individuals signing this
Agreement and all other documents executed or to be executed pursuant hereto on behalf of Seller
are and shall be duly authorized to sign the same on Seller's behalf and to bind Seller thereto.
B.
Seller has not received any notice of, and has no knowledge of, existing
violations on the Property or any portion thereof of any zoning, building, fire, health, pollution,
environmental protection, hazardous or toxic substance or waste disposal law or ordinance.
C.
At Closing, there will be no parties in possession of the Property or entitled
to possession thereof other than Seller. There will be no leases, agreements, options or other
instruments or agreements in effect with respect to the Property.
D.
There are no existing or pending condemnations or sales in lieu thereof with
respect to the Property, or any part thereof, nor have any such actions, suits, proceedings or claims
been threatened or asserted.

E.
Seller has the right to, and will convey to, Purchaser the Property pursuant
to the Covenant Deed.
F.
Seller will have complied with its Charter requirement to lay this Agreement
on the Clerk’s table for a minimum of 30 days following introduction at a City Council meeting
as set forth in paragraph 20.
G.
All general real estate related property taxes and assessments shall have
been paid when due. There are no delinquent assessments. Except for any ordinary accruals of
dues, no future assessments against the Property have been announced.
H.
There is no litigation, proceeding or investigation pending or, to Seller’s
knowledge, threatened against or involving Seller or the Property, and Seller does not know or
have reason to know of any grounds for any such litigation, proceeding or investigation, which
could have an adverse impact on Purchaser or Purchaser’s title to or use of the Property, either
before or after Closing.
I.
All federal, state and local real estate, personal property and other taxes
relating to the Property (other than those not currently due and payable) shall be properly paid on
or before Closing. Seller has not received any notice of assessment or proposed assessment in
connection with the Property.
J.
Seller is not a “foreign person” as that term is defined in section 1445 of the
Internal Revenue Code of 1986, as amended.
K.
The Property and Seller are in full compliance with all requirements of
federal, state and local environmental, health or safety laws, regulations and administrative or
judicial decrees, as amended (the “Environmental Laws”) as they relate to the Property.
L.
With the exception of the documents provided to the Purchaser, there are
no reports, studies, appraisals, engineering reports, correspondence, agreements with
governmental authorities, wetland studies or reports, flood plain studies or reports and/or other
written information related to the Property of which Seller is aware or that are in Seller’s
possession or control.
M.
The Land is not subject to a Farmland Development Rights Agreement or
similar agreement restricting development of the Land.
14.
Representations and Warranties of Purchaser. Purchaser hereby represents and
warrants to Seller, which representations and warranties shall survive Closing, that as of the date
hereof, and on the date of Closing:
A.
Purchaser has the full power and authority to execute, deliver and perform
this Agreement and all of Purchaser’s obligations under this Agreement; and
B.
The individuals signing this Agreement and all other documents executed
or to be executed pursuant hereto on behalf of Purchaser are and shall be duly authorized to sign
the same on Purchaser’s behalf and to bind Purchaser thereto.

C.
Purchaser shall commence construction by

15.
Condition of Land. Purchaser agrees that the Seller has made no representations or
warranties and makes no representations or warranties as to the condition of the Property, the
condition of the buildings, appurtenances and fixtures located thereon, if any, and/or the location
of the boundaries other than those expressly set forth in this Agreement. As of the Closing,
Purchaser will have performed or caused to be performed any inspections of the Property that it
desires. The parties agree that the Property is purchased in an “AS IS” and “WHERE IS” condition.
16.
Indemnification. Seller agrees to indemnify and hold Purchaser and its managers,
members, and successors and assigns and their members, managers and representatives (the
"Purchaser Group") harmless from and against any and all liabilities, claims, demands, and
expenses, of any kind or nature, including but not limited to, all expenses related thereto, including,
without limitation, court costs and attorney’s fees for matters (i) arising or accruing prior to the
Closing and which are in any way related to the ownership, maintenance, or operation of the
Property; and/or (ii) arising from or related to the inaccuracy or breach of any of Seller’s
representations and warranties. Purchaser agrees to indemnify and hold Seller and its managers,
members, officers, employees, and agents and successors and assigns and their members,
managers and representatives (the "Seller Group") harmless from and against any and all liabilities,
claims, demands, and expenses, of any kind or nature, including but not limited to, all expenses
related thereto, including, without limitation, court costs and attorney’s fees for matters (i) arising
or accruing after the Closing and which are in any way related to Purchaser’s ownership,
maintenance, or operation of the Property; and/or (ii) arising from or related to the inaccuracy or
breach of any of Purchaser’s representations and warranties. It is expressly stipulated and agreed
that the provisions of this Section shall survive the Closing.
17.
Default and Remedies.
A.
Purchaser’s Default; Seller’s Remedy. If the Purchaser fails to close on the
purchase of the Property or breaches any term of this Agreement, Seller may, as its sole and
exclusive remedies seek its damages and terminate this Agreement by giving an appropriate

B.
Seller’s Default; Purchaser’s Remedies. In the event Seller fails to timely
perform any material act, or provide any material document or information required to be provided
by Seller, or in the event any Representation and Warranty made by Seller pursuant to this
Agreement is untrue when made, then Purchaser shall be entitled to either (i) terminate this
Agreement, and seek Purchaser’s actual damages arising from Seller’s breach; or (ii) seek specific
performance of this Agreement, and seek Purchaser’s actual damages provided, however, there
will be no specific performance if Seller’s failure to close is caused by its inability to clear a title
exception.

C.
Notice of Default. In the event either party declares the other to be in
default, such declaration shall be in writing, with an outline of the actions required to cure such
default. The recipient of such notice of default shall have 30 days to cure the alleged default.
18.
Attorneys’ Fees. The prevailing party in any legal proceeding brought under or with
relation to this Agreement or transaction shall be entitled to recover court costs, reasonable
attorneys' fees and all other litigation expenses from the non-prevailing party.
19.
Sale and Assignment of Agreement. Purchaser shall have the right to assign all of
its rights and delegate all of its obligations under this Agreement to either an existing or a newly
created LLC owned by affiliates or principals of Purchaser and others, and managed by principals
of Purchaser, provided however, that no assignment shall operate as a release of the Purchaser.
Except as otherwise set forth above, neither party may assign its rights or delegate its obligations
under this Agreement without the consent of the other party, which consent may be withheld in
such other party's sole discretion.
20.
Charter Compliance. Inasmuch as the sale of this property is subject to Chapter 13
of the Charter of the City of Coldwater, this Agreement shall stand in the form of an offer received
from Purchaser pending compliance with such Chapter, at which time, if ultimately approved by
the City Council, the agreement shall be signed on behalf of the City of Coldwater and the sale
shall proceed to closing. Purchaser may not revoke this offer to purchase after the first meeting of
the Coldwater City Council at which the City resolves to place the proposed sale on file in the City
Clerk’s office for 30 days as required by the City Charter.
21.
Purchaser’s Obligation to Reconvey Parcels. Purchaser is required to complete
construction of two parcels each calendar year. If closing occurs after February 15th, the Purchaser
will have until the following year to complete construction of the first two parcels (e.g. if closing
occurs on March 1, 2026, Purchaser will have until December 31, 2027, to complete two parcels
and then will complete two additional parcels in 2028, and so on). If construction ceases for more
than a twelve (12) month period or if Purchaser fails to construct the requisite number of parcels
annually Seller may invoke reconveyance, through the attached Reconveyance Agreement,
attached hereto at EXHIBIT C. Under the Reconveyance Agreement, Seller may buy back one or
more parcels and pay Purchaser consideration equal to the Purchase Price, less Seller’s costs, if
any, to restore the Property from Purchaser’s activities on the Property. Purchaser shall reconvey
the Property free of any liens or encumbrances except those in existence at the time of conveyance
by Seller to Purchaser. Seller shall be entitled to specific performance of these Purchaser
obligations. If requested by Seller, Purchaser (or its assignees if any) shall execute a Reconveyance
Agreement in recordable form at the Closing, as set forth on EXHIBIT C. For purposes of this
paragraph, “complete construction” shall mean the completion of a habitable single family
dwelling constructed in accordance with state construction code and pursuant to a building permit
obtained from the City of Coldwater. This paragraph shall survive the closing. Purchaser may not
convey an undeveloped parcel that meets the criteria outlined in this Section for reconveyance to
a new buyer without the express written consent of the Seller.
22.
Building Restrictions. In addition to zoning ordinance requirements and building
requirements set forth in the Michigan Single State Construction Code parcels shall be sold subject
to the following building restrictions: a) minimum 5/12 roof pitch; b) driveway shall be a minimum

of twenty (20) feet wide and be constructed of concrete; c) garage shall be a minimum of twentytwo (22) feet wide by twenty-four (24) feet deep; and d) each constructed single family home shall
have a minimum of three bedrooms and 1 ½ baths.
23.
Utility Easements. The parcels are sold subject to all utility easements shown in
EXHIBITS A and B, regardless of whether recorded or not. Should additional utility easements or
expansion of existing easements be necessary after Closing Purchaser will not unreasonably
withhold approval of such easements.
24.
Miscellaneous.
A.
TIME IS OF THE ESSENCE OF THIS AGREEMENT.
B.
This Agreement shall be governed by and construed under the laws of the
state of Michigan and the venue for any dispute arising under this Agreement shall be in Branch
County, Michigan.
C.
This Agreement supersedes all prior discussions and agreements between
Seller and Purchaser with respect to the conveyance of the Property and all other matters contained
herein and constitutes the sole and entire agreement between Seller and Purchaser with respect
thereto. This Agreement may not be modified or amended unless such amendment is set forth in
writing and signed by both Seller and Purchaser.
D.
All notices, payments, demands or requests required or permitted to be
given pursuant to this Agreement shall be in writing and shall be deemed to have been properly
given or served effective on delivery of the notice by certified mail with return receipt requested;
or when sent by private courier service for same-day delivery or one day after being sent by private
courier service for next-day delivery. Notices shall be sent via e-mail and also to the respective

RECONVEYANCE AGREEMENT
This Reconveyance Agreement is dated as of this ______ day of ____________, 2026, by
and between the City of Coldwater, a Michigan municipal corporation, of 1 Grand Street,
Coldwater, Michigan 49036 (the “City”), and Alliance Homebuilders, LLC, a Michigan limited
liability company, of 677 E. Chicago Road, Coldwater, Michigan 49036 (the “Developer”).
RECITALS
A. The City has given an option to the Developer to purchase certain real estate described
on Exhibit “A” attached hereto (the “Property”) pursuant to a schedule set forth in the Real Estate
Purchase Agreement for parcels on Wallace Lane, commonly known as Western Meadows, of
even date herewith between the City and Developer.
B. The Developer has agreed to construct single family dwellings on and adjacent to the
parcels of the Property (the “Improvements”) that the Developer purchases.
C. If the Developer does not construct the Improvements as set forth in this Agreement,
then Developer shall reconvey the Property to the City.
NOW, THEREFORE, in consideration of the transfer of the Property to the Developer and
the receipt and sufficiency of which are acknowledged, the parties agree as follows:
1.
Developer agrees, at its sole cost and expense, to complete construction of four (4) parcels,
with two parcels being completed each calendar year until completion. Complete
construction shall mean the completion of a habitable single family dwelling constructed
in accordance with state construction code and pursuant to a building permit obtained from
the City of Coldwater. If closing occurs after February 15th, the Purchaser will have until
the following year to complete construction of two parcels. Additionally, construction shall
not cease at any time for more than twelve months.
2.
In the event that the Developer does not complete construction or ceases construction for
more than twelve months of the Improvements as defined above, then, the Developer shall
reconvey the uncomplete parcels to the City. Upon the request of the City, the Grantor will
provide a general warranty deed to the Property in form and substance acceptable to the
City evidencing the reconveyance of the Property.
3.
During the construction of the Improvements, Developer will not place any additional liens
or encumbrances on the Property except as consented to by the City. In that regard, the
City agrees not to unreasonably withhold its consent to any construction loan financed with
a commercial bank or similar lender intended to fund the construction and development of
the Improvements. In such an event, the City will enter into a Subordination Agreement in
form and satisfactory to such lender. Upon completion of the Improvements satisfactory to

the City, the City agrees to issue a letter acknowledging the release of the reconveyance
obligation of the Developer described herein.
This Agreement shall be binding upon the parties hereto and shall be binding upon and
inure to the benefit of their successors and assigns.
This Agreement shall be governed by and interpreted in accordance with the laws of the
State of Michigan.
This Agreement may only be modified or amended by a written agreement signed by
authorized representatives of the parties hereto.

Dear Mayor and City Council Members:
Attached is the proposed sale of five vacant parcels of land on Wallace Lane to Green Development
Ventures, LLC, for the purpose of building five single-family homes on the land. Please find attached draft
Purchase Agreement No. A26-02 and Resolution No. 26-06.
The offer is in the amount of $20,000 each for a total of $100,000. The City as seller will be required to extend
the water and wastewater to the parcel lines and the road.
Green Development Ventures, LLC, owned and operated by Allen Edwin Homes, have built several homes
in Coldwater and the surrounding area. Following a request for proposal Allen Edwin Homes was selected as a
bid winner to construct homes in the newly created Western Meadows development.
The City Charter requires that when public property is sold, the conveyance must remain on the table for 30
days for public inspection.
Staff is recommending that the City Council place the purchase offer on the table for 30 days. Due to the council’s

The following preamble and resolution were offered by Councilmember _________, and

WHEREAS, the City of Coldwater (“City”) is authorized to sell its property as provided in
Michigan Public Act 279 of 1909, the Home Rule City Act, MCL 117.1 et seq. (the “Act”); and
WHEREAS, the City is further authorized to manage and control its property by the Charter
of the City of Coldwater, at Chapter 2, Section 2.1; and
WHEREAS, the City purchased the property described in Sales Agreement, Agreement No.
A26-02 from Robert and Phyllis Rumsey on October 26, 2016, consisting of 14.518 acres, for
$95,818.80, and thereafter leased a portion for farming to Sexton Farms for several years; and
WHEREAS, the City has undertaken to prepare the property for further development
through the installation of a new public road and utility infrastructure; and
WHEREAS, the City solicited bids for proposed single-family home construction in 2025
and Allen Edwin Homes was among two bid winners (Res. No. 25-13); and
WHEREAS, City staff recommends that the now vacant property described on the
attached Agreement should be sold and resume a taxable status; and
WHEREAS, the City has received an offer for five vacant parcels in the amount of $20,000
each from Green Development Ventures, LLC, who have stated the desire to build a home on
each site; and
WHEREAS, the property in question is not park or cemetery property and City Council
determines that the best use of the land is for housing; and
WHEREAS, City staff recommends that the Property, which is vacant, should be sold for
development as single-family residential homes; and
WHEREAS, the City Council determines that the sale by Agreement No. A26-02 is in the
best interests of the City; and
WHEREAS, the Purchase Agreement, Agreement No. A26-02 was introduced at the City
Council meeting on January 26, 2026, and has been on file with the City Clerk for over 30 days
since its introduction in compliance with the Charter, Chapter 13 Section 13.3(2);
NOW, THEREFORE, BE IT RESOLVED by the Coldwater City Council that the City shall sell
the real Property described in Agreement No. A26-02 to Green Development Ventures, LLC, for
a purchase price of $100,000 for five vacant parcels of land on the terms and conditions set forth
therein. The Mayor and the City Clerk are authorized to execute Agreement No. A26-02 and a
deed at closing thereunder on behalf of the City of Coldwater.

REAL ESTATE PURCHASE AGREEMENT FOR WALLACE LANE
BETWEEN THE CITY OF COLDWATER AND
GREEN DEVELOPMENT VENTURES, LLC
This REAL ESTATE PURCHASE AGREEMENT (this “Agreement”) is made on
____________, 2026, by and between GREEN DEVELOPMENT VENTURES, LLC, a Michigan
limited liability company of 2186 E. Centre Ave., Portage, Michigan 49002 (“Purchaser”), and
CITY OF COLDWATER, a Michigan municipal corporation, of 1 Grand Street, Coldwater,
Michigan 49036 (“Seller”) as follows:
BACKGROUND
Seller owns nine (9) vacant parcels of land within the City of Coldwater, Branch County
that is commonly referred to as Western Meadows, as more specifically described herein. Seller
desires to sell, and Purchaser desires to purchase five (5) unplatted parcels (the “Parcels”), (the
“Land”). As appropriate, the Land will be referred to as the “Property.”
AGREEMENT
NOW, THEREFORE, IN CONSIDERATION OF THE MUTUAL COVENANTS AND
CONDITIONS SET FORTH HEREIN THE PARTIES AGREE AS FOLLOWS:
1.
Property. Seller agrees to sell and Purchaser agrees to purchase five (5) unplatted
parcels located in the City of Coldwater, Branch County, State of Michigan as described on the
attached EXHIBITS A and B.
2.
Purchase Price. The Purchase Price for the Property shall be Twenty Thousand and
No/100ths ($20,000.00) Dollars per parcel for a total of One Hundred Thousand and No/100ths
($100,000.00) Dollars. The Purchase Price shall be delivered at a single closing in immediately
available funds subject to the terms and conditions stated in this Agreement. Purchaser’s
obligations under this Agreement are not contingent upon financing.
3.
Investigation Period; Right to Terminate. The “Investigation Period” shall expire
ninety (90) days following the date this Real Estate Purchase Agreement has been executed by
both parties (the “Effective date”). During the Investigation Period, Purchaser shall have the right
to have the Property inspected, surveyed, evaluated, analyzed, tested, appraised and/or assessed
for any matter whatsoever, including but not limited to, market value; soil conditions; location of
flood plains; presence of wetlands and necessary mitigation, if any; storm water drainage systems;
presence of environmental contamination; health and safety conditions; access to utilities; access
to public roads; zoning; compliance with laws, codes and ordinances and any other matter desired
by Purchaser. Seller hereby grants Purchaser and Purchaser’s agents, employees, representatives,
consultants, and contractors a nonexclusive license prior to closing, to enter and have access to the
Property for purposes of having such investigations performed and the right to discuss the Property
and the conditions related thereto with governmental authorities. Purchaser may choose to have

Contractors perform site investigation work on site. During the Investigation Period, and any
extensions thereof, Purchaser has sole discretion to terminate this Agreement.
4.
Payment of Property Taxes. Property taxes for the year of Closing shall be prorated as of the date of Closing on a calendar basis based upon the amount of such taxes if known
at the time of Closing.
5.
Incorporation of Request for Proposal and Proposal. Seller and Purchaser agree that
the terms of Seller’s Request for Proposal and Purchaser’s submitted Proposal are hereby
incorporated as a part of this Agreement.
6.
Seller’s Closing Deliveries. At Closing, Seller shall deliver to the Purchaser, the
following items, which shall be in a form and substance satisfactory to Purchaser:
A.
A Covenant Deed conveying to Purchaser title to the Property, executed and
acknowledged by Seller in recordable form;
B.
An ALTA fee owner’s policy of title insurance or equivalent coverage from
Branch County Abstract & Title or another title insurance company that is acceptable to Purchaser
(the “Title Policy”) in an amount equal to the Purchase Price insuring Purchaser as owner of
marketable title to the Property without standard exceptions, and subject only to the following
permitted exceptions (the “Permitted Exceptions”): (1) the lien prorated property taxes not yet due
and payable, (2) utility easements serving the Property, (3) other matters described in Section 9
and 10, (4) any matter arising as a result of any act or omission of Purchaser; (5) all applicable
zoning, building and other ordinances adopted by the City of Coldwater, (6) building restrictions
as set forth in paragraph 22 and (7) such other matters that are not objected to by Purchaser.
C.
Such other documents, including a signed Closing Statement, as are
necessary and appropriate for the consummation of this transaction by Seller.
7.
Purchaser’s Closing Deliveries. At Closing, Purchaser shall deliver to Seller the
Purchase Price and such other documents, including a signed Closing Statement, as are necessary
and appropriate for the consummation of this transaction by Purchaser.
8.
Closing Costs and Prorations. Seller shall pay or reimburse Purchaser for (i) all
transfer taxes, if any, assessed in connection with Closing, (ii) the premium for the Title Policy,
(iii) one half (1/2) of any closing fee charged by the title company in connection with this
transaction, and (iv) any special assessments (sewer or otherwise but not including hook-up fees
or associated costs of the same) that currently exist against the Property, if any. Seller shall be
responsible for and pay all past due real estate taxes and assessments at or prior to Closing. This
obligation shall survive the Closing. Purchaser shall pay all other closing costs and fees related to
Closing.
9.
Title. Seller shall order a commitment for an owner’s policy of title insurance (the
“Title Policy”) within ten (10) days of the date of this Agreement. Within 10 days after Purchaser
has received both the title commitment and the Survey described in Section 10 below (if obtained),
both in a form satisfactory to Purchaser, the Purchaser shall deliver written notice of any objections

Purchaser has to the title commitment. Seller shall have five (5) business days from receipt of such
notice of objections to provide written notice to Purchaser as to whether Seller will cure such
objections at or before Closing. If Purchaser notifies Seller of the existence of defects rendering
title unmarketable and should Seller fail to effect cure of such defects by Closing, Purchaser may,
at its option: (1) extend the time for Seller's performance hereunder only if Seller so requests, (2)
waive such objections, or (3) terminate this Agreement.
10.
Survey. Within ten (10) days of the date of this Agreement, Purchaser may order,
at its expense, a new ALTA survey (the “Survey”) of the Property, showing the legal description
of the Property, any boundary encroachments that may impact the Property, all easements affecting
the Property and such other matters desired by Purchaser.
11.
Environmental Matters. Purchaser may, at its expense, conduct such environmental
site evaluations of the Property as it deems appropriate including, without limitation, a Phase I and
Phase II environmental site assessment and/or a Baseline Environmental Assessment (collectively,
the “Site Investigation Reports”).
12.
Property Maintenance. Purchaser shall be responsible for maintenance of all parcels
from Closing until future sale of a newly constructed single family home including all mowing,
snow removal, soil erosion, and general maintenance. Purchaser shall ensure against the presence
or introduction of noxious plants or invasive species. Additionally, during construction Purchaser
may store building materials, trailers, and vehicles that are necessary for construction purposes,
but must do so in accordance with local ordinances.
13.
Representations and Warranties of Seller. Seller hereby represents and warrants to
Purchaser that to the best of Seller’s knowledge, as of the date hereof and on the date of Closing,
which representations and warranties shall survive Closing, but without additional investigation
by Seller:
A.
Seller has the right, power and authority to enter into this Agreement and to
sell the Property in accordance with the terms hereof, and Seller has granted no option or right of
first refusal to any other person or entity to purchase the Property and has not entered into any
contract to sell the Property as of the date of the Agreement. The individuals signing this
Agreement and all other documents executed or to be executed pursuant hereto on behalf of Seller
are and shall be duly authorized to sign the same on Seller's behalf and to bind Seller thereto.
B.
Seller has not received any notice of, and has no knowledge of, existing
violations on the Property or any portion thereof of any zoning, building, fire, health, pollution,
environmental protection, hazardous or toxic substance or waste disposal law or ordinance.
C.
At Closing, there will be no parties in possession of the Property or entitled
to possession thereof other than Seller. There will be no leases, agreements, options or other
instruments or agreements in effect with respect to the Property.
D.
There are no existing or pending condemnations or sales in lieu thereof with
respect to the Property, or any part thereof, nor have any such actions, suits, proceedings or claims
been threatened or asserted.

E.
Seller has the right to, and will convey to, Purchaser the Property pursuant
to the Covenant Deed.
F.
Seller will have complied with its Charter requirement to lay this Agreement
on the Clerk’s table for a minimum of 30 days following introduction at a City Council meeting
as set forth in paragraph 20.
G.
All general real estate related property taxes and assessments shall have
been paid when due. There are no delinquent assessments. Except for any ordinary accruals of
dues, no future assessments against the Property have been announced.
H.
There is no litigation, proceeding or investigation pending or, to Seller’s
knowledge, threatened against or involving Seller or the Property, and Seller does not know or
have reason to know of any grounds for any such litigation, proceeding or investigation, which
could have an adverse impact on Purchaser or Purchaser’s title to or use of the Property, either
before or after Closing.
I.
All federal, state and local real estate, personal property and other taxes
relating to the Property (other than those not currently due and payable) shall be properly paid on
or before Closing. Seller has not received any notice of assessment or proposed assessment in
connection with the Property.
J.
Seller is not a “foreign person” as that term is defined in section 1445 of the
Internal Revenue Code of 1986, as amended.
K.
The Property and Seller are in full compliance with all requirements of
federal, state and local environmental, health or safety laws, regulations and administrative or
judicial decrees, as amended (the “Environmental Laws”) as they relate to the Property.
L.
With the exception of the documents provided to the Purchaser, there are
no reports, studies, appraisals, engineering reports, correspondence, agreements with
governmental authorities, wetland studies or reports, flood plain studies or reports and/or other
written information related to the Property of which Seller is aware or that are in Seller’s
possession or control.
M.
The Land is not subject to a Farmland Development Rights Agreement or
similar agreement restricting development of the Land.
14.
Representations and Warranties of Purchaser. Purchaser hereby represents and
warrants to Seller, which representations and warranties shall survive Closing, that as of the date
hereof, and on the date of Closing:
A.
Purchaser has the full power and authority to execute, deliver and perform
this Agreement and all of Purchaser’s obligations under this Agreement; and
B.
The individuals signing this Agreement and all other documents executed
or to be executed pursuant hereto on behalf of Purchaser are and shall be duly authorized to sign
the same on Purchaser’s behalf and to bind Purchaser thereto.

C.
Purchaser shall commence construction by

15.
Condition of Land. Purchaser agrees that the Seller has made no representations or
warranties and makes no representations or warranties as to the condition of the Property, the
condition of the buildings, appurtenances and fixtures located thereon, if any, and/or the location
of the boundaries other than those expressly set forth in this Agreement. As of the Closing,
Purchaser will have performed or caused to be performed any inspections of the Property that it
desires. The parties agree that the Property is purchased in an “AS IS” and “WHERE IS” condition.
16.
Indemnification. Seller agrees to indemnify and hold Purchaser and its managers,
members, and successors and assigns and their members, managers and representatives (the
"Purchaser Group") harmless from and against any and all liabilities, claims, demands, and
expenses, of any kind or nature, including but not limited to, all expenses related thereto, including,
without limitation, court costs and attorney’s fees for matters (i) arising or accruing prior to the
Closing and which are in any way related to the ownership, maintenance, or operation of the
Property; and/or (ii) arising from or related to the inaccuracy or breach of any of Seller’s
representations and warranties. Purchaser agrees to indemnify and hold Seller and its managers,
members, officers, employees, and agents and successors and assigns and their members,
managers and representatives (the "Seller Group") harmless from and against any and all liabilities,
claims, demands, and expenses, of any kind or nature, including but not limited to, all expenses
related thereto, including, without limitation, court costs and attorney’s fees for matters (i) arising
or accruing after the Closing and which are in any way related to Purchaser’s ownership,
maintenance, or operation of the Property; and/or (ii) arising from or related to the inaccuracy or
breach of any of Purchaser’s representations and warranties. It is expressly stipulated and agreed
that the provisions of this Section shall survive the Closing.
17.
Default and Remedies.
A.
Purchaser’s Default; Seller’s Remedy. If the Purchaser fails to close on the
purchase of the Property or breaches any term of this Agreement, Seller may, as its sole and
exclusive remedies seek its damages and terminate this Agreement by giving an appropriate
Notice of Default as provided below.
B.
Seller’s Default; Purchaser’s Remedies. In the event Seller fails to timely
perform any material act, or provide any material document or information required to be provided
by Seller, or in the event any Representation and Warranty made by Seller pursuant to this
Agreement is untrue when made, then Purchaser shall be entitled to either (i) terminate this
Agreement, and seek Purchaser’s actual damages arising from Seller’s breach; or (ii) seek specific
performance of this Agreement, and seek Purchaser’s actual damages provided, however, there
will be no specific performance if Seller’s failure to close is caused by its inability to clear a title
exception.

C.
Notice of Default. In the event either party declares the other to be in
default, such declaration shall be in writing, with an outline of the actions required to cure such
default. The recipient of such notice of default shall have 30 days to cure the alleged default.
18.
Attorneys’ Fees. The prevailing party in any legal proceeding brought under or with
relation to this Agreement or transaction shall be entitled to recover court costs, reasonable
attorneys' fees and all other litigation expenses from the non-prevailing party.
19.
Sale and Assignment of Agreement. Purchaser shall have the right to assign all of
its rights and delegate all of its obligations under this Agreement to either an existing or a newly
created LLC owned by affiliates or principals of Purchaser and others, and managed by principals
of Purchaser, provided however, that no assignment shall operate as a release of the Purchaser.
Except as otherwise set forth above, neither party may assign its rights or delegate its obligations
under this Agreement without the consent of the other party, which consent may be withheld in
such other party's sole discretion.
20.
Charter Compliance. Inasmuch as the sale of this property is subject to Chapter 13
of the Charter of the City of Coldwater, this Agreement shall stand in the form of an offer received
from Purchaser pending compliance with such Chapter, at which time, if ultimately approved by
the City Council, the agreement shall be signed on behalf of the City of Coldwater and the sale
shall proceed to closing. Purchaser may not revoke this offer to purchase after the first meeting of
the Coldwater City Council at which the City resolves to place the proposed sale on file in the City
Clerk’s office for 30 days as required by the City Charter.
21.
Purchaser’s Obligation to Reconvey Parcels. Purchaser is required to complete
construction of two parcels each calendar year. If closing occurs after February 15th, the Purchaser
will have until the following year to complete construction of the first two parcels (e.g. if closing
occurs on March 1, 2026, Purchaser will have until December 31, 2027, to complete two parcels
and then will complete two additional parcels in 2028, and so on). If construction ceases for more
than a twelve (12) month period or if Purchaser fails to construct the requisite number of parcels
annually Seller may invoke reconveyance, through the attached Reconveyance Agreement,
attached hereto at EXHIBIT C. Under the Reconveyance Agreement, Seller may buy back one or
more parcels and pay Purchaser consideration equal to the Purchase Price, less Seller’s costs, if
any, to restore the Property from Purchaser’s activities on the Property. Purchaser shall reconvey
the Property free of any liens or encumbrances except those in existence at the time of conveyance
by Seller to Purchaser. Seller shall be entitled to specific performance of these Purchaser
obligations. If requested by Seller, Purchaser (or its assignees if any) shall execute a Reconveyance
Agreement in recordable form at the Closing, as set forth on EXHIBIT C. For purposes of this
paragraph, “complete construction” shall mean the completion of a habitable single family
dwelling constructed in accordance with state construction code and pursuant to a building permit
obtained from the City of Coldwater. This paragraph shall survive the closing. Purchaser may not
convey an undeveloped parcel that meets the criteria outlined in this Section for reconveyance to
a new buyer without the express written consent of the Seller.
22.
Building Restrictions. In addition to zoning ordinance requirements and building
requirements set forth in the Michigan Single State Construction Code parcels shall be sold subject
to the following building restrictions: a) minimum 5/12 roof pitch; b) driveway shall be a minimum

of twenty (20) feet wide and be constructed of concrete; c) garage shall be a minimum of twentytwo (22) feet wide by twenty-four (24) feet deep; and d) each constructed single family home shall
have a minimum of three bedrooms and 1 ½ baths.
23.
Utility Easements. The parcels are sold subject to all utility easements shown in
EXHIBITS A and B, regardless of whether recorded or not. Should additional utility easements or
expansion of existing easements be necessary after Closing Purchaser will not unreasonably
withhold approval of such easements.
24.
Miscellaneous.
A.
TIME IS OF THE ESSENCE OF THIS AGREEMENT.
B.
This Agreement shall be governed by and construed under the laws of the
state of Michigan and the venue for any dispute arising under this Agreement shall be in Branch
County, Michigan.
C.
This Agreement supersedes all prior discussions and agreements between
Seller and Purchaser with respect to the conveyance of the Property and all other matters contained
herein and constitutes the sole and entire agreement between Seller and Purchaser with respect
thereto. This Agreement may not be modified or amended unless such amendment is set forth in
writing and signed by both Seller and Purchaser.
D.
All notices, payments, demands or requests required or permitted to be
given pursuant to this Agreement shall be in writing and shall be deemed to have been properly
given or served effective on delivery of the notice by certified mail with return receipt requested;
or when sent by private courier service for same-day delivery or one day after being sent by private
courier service for next-day delivery. Notices shall be sent via e-mail and also to the respective
addresses set forth below:

RECONVEYANCE AGREEMENT
This Reconveyance Agreement is dated as of this ______ day of ____________, 2026, by
and between the City of Coldwater, a Michigan municipal corporation, of 1 Grand Street,
Coldwater, Michigan 49036 (the “City”), and Green Development Ventures, LLC, a Michigan
limited liability company, of 795 Clyde Ct., SW, Byron Center, Michigan 49315 (the
“Developer”).
RECITALS
A. The City has given an option to the Developer to purchase certain real estate described
on Exhibit “A” attached hereto (the “Property”) pursuant to a schedule set forth in the Real Estate
Purchase Agreement for parcels on Wallace Lane, commonly known as Western Meadows, of
even date herewith between the City and Developer.
B. The Developer has agreed to construct single family dwellings on and adjacent to the
parcels of the Property (the “Improvements”) that the Developer purchases.
C. If the Developer does not construct the Improvements as set forth in this Agreement,
then Developer shall reconvey the Property to the City.
NOW, THEREFORE, in consideration of the transfer of the Property to the Developer and
the receipt and sufficiency of which are acknowledged, the parties agree as follows:
1.
Developer agrees, at its sole cost and expense, to complete construction of five (5) parcels,
with two parcels being completed each calendar year until completion. Complete
construction shall mean the completion of a habitable single family dwelling constructed
in accordance with state construction code and pursuant to a building permit obtained from
the City of Coldwater. If closing occurs after February 15th, the Purchaser will have until
the following year to complete construction of two parcels. Additionally, construction shall
not cease at any time for more than twelve months.
2.
In the event that the Developer does not complete construction or ceases construction for
more than twelve months of the Improvements as defined above, then, the Developer shall
reconvey the uncomplete parcels to the City. Upon the request of the City, the Grantor will
provide a general warranty deed to the Property in form and substance acceptable to the
City evidencing the reconveyance of the Property.
3.
During the construction of the Improvements, Developer will not place any additional liens
or encumbrances on the Property except as consented to by the City. In that regard, the
City agrees not to unreasonably withhold its consent to any construction loan financed with
a commercial bank or similar lender intended to fund the construction and development of
the Improvements. In such an event, the City will enter into a Subordination Agreement in

form and satisfactory to such lender. Upon completion of the Improvements satisfactory to
the City, the City agrees to issue a letter acknowledging the release of the reconveyance
obligation of the Developer described herein.
This Agreement shall be binding upon the parties hereto and shall be binding upon and
inure to the benefit of their successors and assigns.
This Agreement shall be governed by and interpreted in accordance with the laws of the
State of Michigan.
This Agreement may only be modified or amended by a written agreement signed by
authorized representatives of the parties hereto.

Background: In accordance with MCL 211.7u the local legislative body shall establish an
application process to provide for a property tax exemption for persons who, by reason of poverty
are unable to contribute toward public charges.
Previously, the City of Coldwater required an application with substantiating documentation,
which was provided for by Policy No. P21-01 Application for Poverty Exemption. Recent
legislative revisions necessitates that the City update this policy to conform to current standards
and requirements.
Highlights of some of the changes include:

A RESOLUTION TO AMEND POLICY AND GUIDELINES
FOR APPLICANTS REQUESTING POVERTY EXEMPTIONS
Minutes of a regular meeting of the City Council of the City of Coldwater, County of
Branch, State of Michigan (the “City”), held on January 26, 2026, at 5:30 p.m., prevailing Eastern
Time.

The following preamble and resolution were offered by Councilmember _________, and
seconded by Councilmember __________:
WHEREAS, the General Property Tax Act, specifically section MCL 211.7u, states that the
principal residence of persons who, in the judgment of the board of review, by reason of poverty,
are unable to contribute to the public charges are eligible for exemption in whole or part from
taxation under the General Property Tax Act; and
WHEREAS, a municipality must adopt guidelines that specify the total household income
levels used to approve or deny poverty exemptions. The adopted income levels shall not be set
lower than the federal poverty guidelines published in the prior calendar year in the Federal
Register by the United States Department of Health and Human Services; and
WHEREAS, a municipality must include an asset test which must clearly state the
maximum value of assets allowable to be eligible for the poverty exemption. This means that the
guidelines must state a total dollar limit, and the value of all assets cannot exceed that amount;
and
WHEREAS, PA 253 of 2020 made changes regarding the granting of full or partial poverty
exemptions. MCL211.7u(5) provides that if an applicant meets all eligibility requirements, the
Board shall grant the poverty exemption, in whole or in part, as follows: a full exemption equal
to 100% reduction in taxable value for the year in which the exemption is granted; or a partial
exemption equal to 75% reduction in taxable value for the year in which the exemption is
granted; or a partial exemption equal to 50% reduction in taxable value for the year in which the
exemption is granted; or a partial exemption equal to 25% reduction in taxable value for the year
in which the exemption is granted. No other methods of calculating taxable value may be used
except for the percentage reductions specifically authorized by statute, or any other percentage
reduction approved by the State Tax Commission. If any other percentage reduction other than
what is stated in MCL211.7u(5), local assessing units must obtain approval by filing Form 5738,
Request for Approval of Percentage Reduction in Taxable Value for Poverty Exemptions Under
MCL 211.7u with the State Tax Commission.
NOW, THEREFORE, BE IT RESOLVED, pursuant to MCL 211.7u, the Coldwater City Council
of Coldwater, Branch County, shall adopt guidelines that specify total household income that
align with US Department of Health and Human Services on an annual basis, adopt guidelines for
an asset test that clearly state the maximum value allowed, adopt ability to grant full or partial
exemptions ranging from 100%, 75%, 50% and 25%, and if requesting any other percentage
reduction, form 5738 must be filed with the State Tax Commission.
FURTHER RESOLVED, pursuant to MCL 211.7u hereby amends Policy No. P21-01 - Policy
and Guidelines for Applicants Requesting Poverty Exemption for the City of Coldwater as
attached.

and all requested documents must be given to the Assessor prior to the Board of
Review.

2. Applicants must own and occupy the property for which the exemption is requested.
The Principal Residence Exemption must have been filed for the residence. Form 5739
must be completed with accompanying documentation.
3. Applicants cannot be considered for exemption if their total household gross income
exceeds the Federal Poverty Guidelines as defined and determined annually by the U.S.
Department of Health and Human Services (Exhibit A). Income is from all occupants
of your home.
4. Total assets for the household may not exceed $15,000. The following assets are
excluded from this limit (Exhibit C):

5. The Board of Review will consider all revenue and non-revenue producing assets of
the owner, co-owner, and all members of the household. Any attempt to hide and/or
shift income and/or assets to another person, business or corporation may be grounds
for denial.
6. If the application is incomplete or you do not provide copies of the required financial
documents, it may deem the applicant ineligible for an exemption. Please do not submit
originals of supporting documentation as we must keep these for our records and cannot
return them.

7. Applicants must produce a driver’s license or other acceptable identification if asked
by the Board of Review. Applicants must also produce a deed, land contract or other
proof of property ownership to the Board of Review.
8. Exemptions once granted may remain in effect for up to three (3) years for persons who
receive a fixed income solely from public assistance that is not subject to significant
annual increases. A person who receives an extended exemption must file an affidavit
rescinding the exemption with the local assessor within 45 days after: 1) ceasing to own
and occupy the property as a principal residence; or, 2) a change in household assets or
income that defeats eligibility for the exemption. Failure to file rescission paperwork
is subject to correction as outlined in MCL 211.7u(6)(b).
9. If an applicant meets all eligibility requirements in statue, the Board of Review shall
grant a full exemption equal to 100% reduction in taxable value OR a partial exemption
equal to a 25%, 50% or 75% reduction in taxable value OR any other percentage
reduction in taxable value approved by filing form 5738 with the State Tax Commission
(Exhibit B).
10. The Board of Review will review applications. The applicant must appear before the
Board of Review by making an appointment. Please call the Assessor’s Office at 517279-6932 to make an appointment.
11. All applications will be evaluated based on data and statements given to the Board by
the Applicant. The Board can also use information gathered from any other source.
12. The Board shall follow the policy and guidelines established by the City of Coldwater
Council in granting or denying an exemption.
13. Applicants may be subject to investigation of their entire financial and property records
by the City. This would be done to verify information given or statements made to the
Board of Review or Assessor in regard to the poverty application.
14. Applicants will be sent a written notice of the Board’s final decision. An Applicant may
appeal the Board’s decision to the Michigan Tax Tribunal. An assessor may also appeal
the Board’s decision. Appeals must be filed with the Tribunal within 30 days of the
Board’s final decision.

Local governing bodies are required to adopt guidelines that set income levels for their poverty
exemptions and those income levels shall not be set lower by a City or Township than the Federal
poverty guidelines updated annually by the U.S. Department of Health and Human Services. This
means, for example, that the income level for a household of three (3) persons shall not be set

Reduction Calculation
Exhibit B
PA253 of 2020 and PA191 of 2023 amended MCL 211.7u relating to poverty exemptions. These
acts list the specific percentage reduction in taxable value that may be used by the Board of Review
in granting poverty exemptions. No other method of calculating taxable value may be utilized,
except for those percentage reductions specifically authorized in statute (see below), or any other
percentage reduction approved by the State Tax Commission.
The Board of Review shall follow the adopted Policy of the local assessing unit in granting or
denying an exemption under MCL 211.7u. If a person claiming an exemption under this section is
qualified under the eligibility requirements (see Policy), the Board of Review shall grant the
exemption in whole or in part as follows: a full exemption equal to 100% reduction in taxable
value for the tax year in which the exemption is granted or a partial exemption equal to a 75%,
50% or 25% reduction in taxable value for the tax year in which the exemption is granted. If
requesting a reduction that defers from the specified percentages, form 5738 must be filed with the
State Tax Commission.

Asset Guidelines
Used in the Determination of Poverty Exemptions
Exhibit C
As required by PA 390 of 1994, all guidelines for poverty exemption as established by the
governing body of the local assessing unit SHALL include an asset level test. The purpose of an
asset test is to determine the resources available (cash and non-cash fixed assets and property that
could be converted to cash) that could be used to pay property taxes in the year the poverty
exemption is filed.
The following asset test shall apply to all applications for poverty exemption:

Dear Mayor and Council Members:
For many years, the Coldwater Noon Club and Coldwater Township Sunrise Rotary Club promoted the annual
community July 4th fireworks event and held fundraising activities to offset the cost of the annual fireworks
display.
In 2023, the City took over the contract and liability insurance coverage for the annual fireworks display. Staff
has confirmed with the City’s liability insurance carrier that managing the contract for the fireworks display does
not add any additional cost or risk from what is currently covered by the City’s policy since the display is
conducted from Heritage Park.
The City’s Police, Fire and Municipal Services departments continue to provide public safety and logistical
support for the event. The total cost of the display in 2026 to celebrate the 250th birthday of the United States
would be in the amount of $24,000. The Coldwater Noon Club, Coldwater Township Sunrise Rotary Club and
Coldwater Board of Public Utilities have each pledged $6,000 toward the cost of the display.
Therefore, staff is recommending that the City of Coldwater Council consider adoption of Resolution No. 26-08
approving the application Agreement No. A26-04 to the State of Michigan to perform a fireworks display
conducted by Pyrotecnico Fireworks, Inc. under the supervision and direction of the City of Coldwater,
authorizes a contribution of $6,000 toward the expense of the planned display and authorizes the City Manager
and Clerk to execute required documents.

Instructions for Application for Fireworks Other Than Consumer or Low Impact
Applications shall be submitted to the legislative body of a city, village or township board. A permit may be issued as a result of
official action by the legislative body. A permit shall be valid only for use within the limits of the jurisdiction of the legislative body of a
city, village or township board.
1.
Type of Permit – check all boxes that may apply to the type of permit needed. You may select several permit types
depending on your fireworks display. You may check with your legislative body of a city, village or township board for
assistance when making your selection. Please review the following definitions to determine which type of permit to select:

Agricultural or Wildlife Fireworks – devices distributed to farmers, ranchers, and growers through a
wildlife management program administered by the US Department of Interior or Michigan DNR.
Articles Pyrotechnic – 1.4G fireworks for professional use only that is classified as UN0431 or UN0432.
Display Fireworks – 1.3G fireworks for professional use only
Special Effects Manufactured for Outdoor Pest Control or Agricultural Purposes – devices with a
combination of chemical elements or compounds capable of burning independently of the oxygen of
the atmosphere and designed and intended to produce an audible, visual, mechanical or thermal effect
for pest or animal control.
Public Display – a fireworks display that is open to all persons for viewing.
Private Display – a fireworks display that is not open to the general public for viewing.

Name of applicant – list the name of the applicant. The applicant may be a person representing an organization, group, firm
or corporation, or self. If the applicant is also the operator, enter the same name in the operator’s section.

Address of applicant – complete the address of the applicant; include the street address, city, state and zip code.

agent that represents the corporation, LLC, DBA or other.

operator before granting a permit and may require an affidavit from the applicant as to the operator’s experience, former
pyrotechnic accidents, criminal record, sobriety, etc.

Address of pyrotechnic operator – list the address of the pyrotechnic operator; include the street address, city, state and zip
code.
9.
Age of the pyrotechnic operator – list the age of the pyrotechnic operator; the operator must be 18 years of age or older.
10. Name of assistant – list the name of the assistant to the pyrotechnic operator;
11. Address of assistant – list the address of the assistant; include the street address, city, state and zip code. If there is more
than one assistant, please list additional assistants on a separate sheet and include the address and age of those additional
assistants.
12. Age of assistant – list the age of the assistant to the pyrotechnic operator; the assistant must be 18 years or older.
13. Name of other assistant – list the name of other assistant to the pyrotechnic operator.
14. Age of other assistant – list the age of the assistant to the pyrotechnic operator; the assistant must be 18 years or older.
15. Exact location of proposed display – list the address of the exact location of the proposed fireworks display.

application.

18. Manner and place of storage - indicate the manner and place of storage within the legislative body of a city, village or
township board of fireworks that are ready for display, just prior to the display in the area of exhibition. The legislative body
of a city, village or township board shall obtain approval from the local fire authorities of the manner and place of storage
before any permit is issued.

19. Amount of bond or insurance - the issuing legislative body of a city, village or township board shall set the amount of and
proof of bond or insurance for the protection of the public to satisfy claims for damages to property or personal injuries
arising out of any act or omission on the part of the person, firm or corporation, or any agent or employee of the applicant.
The applicant shall assure the bond or insurance required is provided.
20. Name of bonding corporation or insurance company – provide the name of the bonding corporation or insurance company
for which the bond was issued through.
21. Address of bonding corporation or insurance company – list the address of the bonding corporation or insurance company;

24. Permit fees shall be established by the legislative body of a city, village or township board and shall be submitted to and
retained by legislative body of a city, village or township board.
25. Permitting will be in compliance with the Michigan Fireworks Safety Act, PA 256 of 2011, MCL 28.466, Section 16.
26. Mail the application to the legislative body of a city, village or township board within the location jurisdiction of the
display. DO NOT mail the application to the Bureau of Fire Services (BFS). If mailed to the BFS, it will be returned to the
sender.
