1. SRF Results for Bulldog WWTF
City Manager Martin announced that Freeport was awarded $20 million for the Bulldog
Road WWTF. Next year we will have to go through the same process for the additional
30 Million needed. The interest rate is just above 2%. Once this finalizes and we get
the design from Dewberry, City Manager Martin will be coming back to council to start
moving this project along. The second piece of the financing will be run through USDA
as a loan as well.

2. Jackson Street Intersection Improvements / Survey
City Manager Martin stated he is looking for approval to have the survey done for a
total of $4250.00. Councilwoman Brannon stated that she knew that we needed to have
this survey completed as soon as possible to get the legal description included in the
eminent domain for Marquis Way. She wanted to know how this was going to work.
Would there be 2 surveys? Mr. Knauer with Knauer Never Engineering, stepped forward
to answer. The survey would cover both of the intersections and everything that would
be needed on 331. When the survey is completed, they would do the alignment based
on that survey then once the alignment is done, they can do just the legal and sketch in
order for Mr. Adkinson to file what he needs to file. Councilwoman Brannon asked if
there was an idea of the timeline for this. Mr. Knauer stated that he had scheduled a
preapplication meeting with FDOT and he is waiting on that, but he also stated that the
2018 Traffic study that FDOT had showing the turn lane was warranted could still be
used. The only thing that has to be done is to update the traffic counts on 331 and he
received a proposal to do that yesterday for $3800.00. Instead of redoing what FDOT
had in 2018 we’re going to reuse whatever they have. We have to update the traffic
counts to see how long the queue lanes will have to be. Councilwoman Haffner stated
that Chance said that FDOT was doing a traffic study right now and asked if Mr. Knauer
would be able to use what they’re doing as far as car counts or would he have to do
something separate. Mr. Knauer stated that he would find out at the preapplication
meeting any other details that would be needed. Councilwoman Haffner asked that Mr.
Knauer keep council closely updated as he moves through this.
Moved by: Councilwoman Haffner
Seconded by: Councilwoman Brannon

Jones Drive. Currently there are 3 single family homes on this location. They’re
requesting this change so they can put in a design office. Currently, it is Rural Village,
and they are requesting the change to Mixed Use. Current zoning is Rural Village and
are requesting General Commercial rezoning. This property is located right on 331 on
our commercial corridor and there are other businesses in the area that are consistent
with the uses they are requesting. Requesting two motions. First, to hold first reading
of the small-scale amendment and to allow for advertising for second reading / public

Deputy Planning Director Graves held first reading:
AN ORDINANCE AMENDING THE COMPREHENSIVE PLAN OF THE CITY OF
FREEPORT, SPECIFICALLY THE FUTURE LAND USE MAP, SPECIFICALLY THE
PARCEL IDENTIFIED WITH PROPERTY REFERENCE NUMBER 22-1S-1923030-000-0240 CONTAINING APPROXIMATELY 1.43 ACRES MORE OR LESS,
FROM CITY FUTURE LAND USE DESIGNATIONS OF RV (RURAL VILLAGE) TO
THE CITY’S MU (MIXED-USE) FUTURE LAND USE DESIGNATION.
And
AN ORDINANCE AMENDING THE ZONING MAP SERIES INCLUDED BY
REFERENCE IN ARTICLE 3 OF THE LAND DEVELOPMENT CODE OF THE
CITY OF FREEPORT, SPECIFICALLY THE PARCEL IDENTIFIED WITH
PROPERTY REFERENCE NUMBER 22-1S-19-23030-000-0240 CONTAINING
APPROXIMATELY 1.43 ACRES MORE OR LESS AND DESCRIBED BY THE
LEGAL DESCRIPTION CONTAINED IN SECTION 1 BELOW AMENDING THE
ZONING ASSIGNMENT FROM RURAL VILLAGE TO GENERAL COMMERCIAL.
5. Political Signage Regulations
Planning Director Hughes-Neel stated that she received a request from council to
address the rules of political signage in the city. Planning Director Hughes-Neel went
through all the instances in the Land Development Code where this issue is addressed.
Councilwoman Brannon stated that she thought that we used to have a single page of
the rules that the Supervisor of Elections gave out to candidates. This year political
signage seems to be out of control. Every highway and right of way has been overrun
with signage. Councilwoman Brannon’s suggestion was that we have one section that is
for political signs instead of them being listed in different places of the Land
Development Code. City Attorney Adkinson asked for clarification on specifically where
we’re saying that political signs will not be allowed. City property and right of ways
seemed to be the consensus. Mr. Adkinson’s stated that he had no problem with where
council was going but they needed to be careful of how they threaded that needle.
Planning has created something that says temporary signage cannot be placed on
public property or right of ways without city approval. That works. If we specifically call
out political signs and prohibit them, but not other temporary signs, we do run into a
potentially political speech issue under the first amendment. We want to be careful of
that. His recommendation would be if you don’t want political signs on city property,
including right of way, simply say we aren’t going to allow any political signage or any
temporary signage. We aren’t going to allow any political speech. If you want to
7

REGULAR COUNCIL MEETING, August 27, 2026
outright ban political speech you have that ability. The difference is if you don’t do that,
you’re going to have everyone coming before you deciding whether or not they can put
their sign up and in what form. This is what other places have found to be very
problematic. Limitations can be set easier than deciding what to allow. Planning will be
drawing up something to bring back council based on this discussion.
Planning Director Hughes-Neel updated council on receiving $75,000.00 for a technical
assistance grant to update the City Comprehensive Plan.

11. New Business
1. Walton County Commissioner Curry – Traffic in Freeport
Commissioner Curry spoke to Council regarding the Infrastructure issues not only in
Freeport but all of Walton County. Mr. Curry stated that he felt we had an opportunity
to work together for our communities. Mr. Curry stated the importance of all facets of
government working together for a stronger voice. He then shared an idea that he
thinks can make a real difference in how we approach infrastructure in Walton County.
Mr. Curry would like to get all involved parties under one roof, the County, the City of
Freeport, the City of DeFuniak Springs, Walton County Sheriff’s Office, The Walton
County School Board, FDOT, and our State Representatives to sit down as partners and
develop one Comprehensive Priority List for the infrastructure and transportation needs
for our communities. Once that list is established, we can work it from the top to the
bottom together. Mr. Curry has been working on this idea since he took office through
county staff, and the idea hasn’t progressed any further. He wanted to come here
tonight in person to ask the City of freeport to join him in person. We have the
opportunity to change the way we approach these challenges. If we can speak with one
voice, working together, we will have a much stronger opportunity to get the attention,
funding, and results that our communities deserve. Mr. Curry then asked if the City
Council would be open to holding this meeting in the Community Center. Council stated
they would be willing to do that.

a. Mayor Barley
b. Councilman Dickey
1. TPO Minutes
Councilman Dickey stated that he wanted to bring back the TPO minutes from the last
meeting. There is a QR code that takes you to the meeting schedules.

c. Councilwoman Brannon
1. Citywide Lighting Plan
Councilwoman Brannon asked for an update to the Citywide Lighting Plan. Planning
Director Hughes-Neel stated there is a different grant that was received from FDOT that
is called Safe Routes 4 All. This is also a technical assistance grant. This is specifically
for creating a safety action plan. This plan will include existing, planned, under
construction, and new multi-modal paths, sidewalks, crosswalks, intersection lighting,
intersection improvements including push buttons, streets that are dark, streets that
need more lights. She is working on mapping out all of Highway 20 with every other
light pole having lights on both sides. We need to do the same thing on Madison Street.
Planning Director Hughes-Neel will bright back this basic lighting plan at the next
meeting. Mr. Curry stepped up to let council know that the county is currently doing a
study to put up 4 lights around the Bear Creek bridge and try to light up the path
around there.

d. Councilman Farris
1. Marquis Way
Councilman Farris asked City Attorney for an update on the section of Marquis Way
where the eminent domain properties are located. City Attorney Adkinson stated that he
thought it would be helpful to go through what the eminent domain process was and
what that entails. Before we can file the eminent domain suit, council must pass a
resolution to do that. That resolution must have the right of way maps and legal
descriptions attached to it. Those maps have to match the ask of the eminent domain
suit paperwork. We are waiting for those maps to be finalized and not to change
anymore. That will allow us to move forward.

e. Councilwoman Hurst
1. Pedestrian Bridge Update
Councilwoman Hurst wanted to update council on the pedestrian bridge of Four Mile
Creek. The renovations on that bridge is now complete. Councilwoman Hurst wanted to
thank the county for allowing us to partner with them to add the safety lighting on the
pedestrian bridge to make it safer for our citizens. She also wanted to thank the Water
Department of the city for working on the lighting and making the bridge safe.
2. Phase 3 City Grounds Lighting
Councilwoman Hurst asked if we could give approval for the lighting company to go
ahead and start on phase 3 of the city grounds lighting project. Lightscapes has
finished early with phase 2 and would like to go ahead and start on the last phase. This
will include the Community Center and the Community Pool. Councilwoman Brannon
asked if this was in this year’s budget. Finance Director Simmons stated it is carried in
FY 2025-2026 budget as an earmarked item but had not been released yet to spend in
9

REGULAR COUNCIL MEETING, August 27, 2026
this year’s budget. When we came to phases 1 and 2, we did a budget amendment to
pull those into FY 2026. What we’re carrying for phase 3 is FY 2027. If you approve
this, we will take that out of the FY 2027 budget and do a budget amendment for FY
2026. Councilwoman Haffner asked if there was a reason we couldn’t wait until October
1 to start. Councilwoman Hurst stated they were already onsite and have positioned
themselves to continue. The total would be $58,700.00. City attorney Adkinson asked if
there was a mobilization fee that would add to the cost if they had to stop and then
come back. Finance Director Simmons stated that he didn’t remember seeing one when
there was a gap between phases 1 and 2. Planning Director Hughes-Neel stated that a
major part of this is ordering the materials. Finance Director Simmons agreed that the
upfront deposit went for ordering the materials.
Moved by: Councilwoman Hurst
Seconded by: Councilman Farris
Mayor Barley called for public comment and there was none.

To approve starting phase 3 of the City Grounds Lighting Plan.
A roll call vote was ordered, and the vote was as follows:

1. Bypass Road
Councilwoman Haffner asked if we could start thinking about another potential bypass
road? Councilwoman Haffner stated that she had a conversation with Representative
Abbott where he stated that the city needed to come up with another option while the
four lane of Highway 20 has been shelved. She is asking if council can direct City
Manager Martin to work with an engineer to identify other potential options to move
traffic through town. Council agreed on direction.

revenue increases and any additional Departmental Increases. Discussion then moved
to the Welcome to Freeport Signage. Council looked at pictures of the existing signs
and agreed that they were in disrepair and needed to be updated. They also need to be
moved to the actual entrance of the city. There was discussion about seeing if we could
move them out of DOT right of way. After additional discussion, the direction of council
was to leave the signage in the budget. Discussion then moved to Christmas
Decorations. There was discussion regarding the total amount of money in the budget
for Christmas Decorations. The discussion was the directed toward the need for climatecontrolled space for the decorations. There was discussion of doing an inventory of the
decorations we currently have and the pricing for what we need to replace. Parks
Director Bartlett asked if there was an option to split the money to put it into a building
and use the other half for decorations. It was agreed upon to use the leftover money
from FY 2025-2026 and half of the budgeted amount for FY 2026-2027 for the climatecontrolled building. Parks Director Bartlett reminded council that we got negative

Reason for the amendment:

On 27 August 2026, Council approved the request for decorative lighting at Community Center, Pool/Basketball Court Picnic Areas, & Blueberry Road Boardwalk. While

RE: Proposal for Traffic Engineering and Conceptual Design Services
SR 20 at Blueberry Lane Intersection Improvements
Freeport, Florida
Dear Ms. Hughes-Neel:
North Florida Professional Services, Inc. (NFPS) appreciates the opportunity to provide
this proposal for traffic engineering and conceptual design services for proposed
improvements at the intersection of State Road 20 and Blueberry Lane.
The purpose of this study is to collect current traffic data, evaluate the intersection for
applicable turn-lane and traffic-control warrants, submit the findings to the Florida
Department of Transportation (FDOT), and prepare a conceptual improvement plan and
preliminary construction-cost estimate based on the study results.
SCOPE OF SERVICES
TASK 1 – PROJECT INITIATION AND EXISTING DATA REVIEW
NFPS will meet with City staff to confirm the project objectives, anticipated development
conditions, known operational concerns, and desired improvements.
NFPS will obtain and review reasonably available information relevant to the
intersection, including:
•

Existing roadway and intersection geometry.

•

FDOT roadway characteristics, functional classification, posted speed and
available traffic data.

•

Available right-of-way maps and property information.

•

Available crash-history information.

•

Existing aerial imagery and geographic information system data.

•

Available development traffic information provided by the City.

•

Previous traffic studies or improvement concepts provided by the City or FDOT.
Start to Finish Engineering Solutions for Your Community

NFPS will conduct a field review of the intersection to document existing traffic-control
devices, lane configurations, apparent sight-distance constraints, pedestrian and bicycle
facilities, drainage features, utilities and other visible conditions that may affect the
study or conceptual improvements.
TASK 2 – TRAFFIC DATA COLLECTION
NFPS will collect traffic data necessary to evaluate existing intersection operations and
applicable FDOT warrants. Data collection is anticipated to include:
•

Turning-movement counts at the SR 20/Blueberry Lane intersection during
representative weekday conditions.

•

Classification of passenger vehicles, trucks and other heavy vehicles.

•

Documentation of pedestrian and bicycle activity observed during the count
periods.

•

Directional approach-volume data on SR 20 and Blueberry Lane.

•

Peak-hour identification and calculation of peak-hour factors.

•

Speed data on SR 20, if required for the applicable turn-lane evaluation.

•

Review of available annual average daily traffic and seasonal adjustment factors.

Traffic counts will generally be conducted on a typical weekday while school is in
session and outside holidays, special events, major construction activities or abnormal
weather conditions. NFPS anticipates collecting up to 12 hours of intersection turningmovement data and up to 48 hours of roadway volume, classification and speed data at
locations selected for the study.
Additional counts, weekend counts, seasonal counts or traffic monitoring requested
after completion of the initial data collection are not included.
TASK 3 – TRAFFIC WARRANT ANALYSIS AND REPORT
NFPS will analyze the collected and available traffic data in accordance with applicable
FDOT criteria and accepted traffic-engineering practices.
The evaluation will include, as applicable:
•

Existing traffic-volume summary.

•

Identification of weekday morning and afternoon peak-hour conditions.

•

Existing intersection lane-use and traffic-control assessment.

•

Left-turn-lane warrant evaluation on SR 20.

•

Right-turn-lane warrant evaluation on SR 20.

•

Preliminary evaluation of turn-lane storage and deceleration requirements.

•

Review of available crash patterns relevant to the proposed improvements.

•

Preliminary sight-distance assessment based on field observations and available
mapping.

•

Evaluation of appropriate traffic-control alternatives at Blueberry Lane.

•

Assessment of whether additional operational analysis or signal-warrant
evaluation is recommended.

•

Identification of the improvements supported by the collected traffic data.

NFPS will prepare a traffic warrant report documenting the data, methodology,
analyses, findings and recommendations. The report will include supporting traffic-count
information, calculations, figures and warrant exhibits.
TASK 4 – FDOT COORDINATION AND SUBMITTAL
Because SR 20 is under FDOT jurisdiction, NFPS will submit the traffic warrant report
and supporting documentation to the appropriate FDOT District office for review.
This task includes:
•

Preparation of one initial FDOT submittal.

•

Coordination with City staff before submittal.

•

Participation in up to one coordination meeting with FDOT.

•

Responses to one consolidated set of reasonable FDOT review comments.

•

Preparation of one revised report or supplemental memorandum, if required.

NFPS cannot guarantee FDOT concurrence, approval or authorization of any proposed
improvement. Substantial additional analysis, data collection or revisions resulting from
new FDOT requirements will be considered additional services.
TASK 5 – CONCEPTUAL INTERSECTION DESIGN
Following completion of the traffic study and consideration of FDOT’s preliminary
comments, NFPS will prepare a conceptual design illustrating the recommended
intersection improvements.
The concept may include, as supported by the study:
•

Left-turn and/or right-turn lanes on SR 20.

•

Turn-lane tapers, deceleration lengths and storage lengths.

•

Preliminary widening limits.

•

Lane-use arrows, pavement markings and signing.

•

Blueberry Lane approach modifications.

•

Preliminary intersection realignment, if warranted.

•

Pedestrian and bicycle accommodations.

•

Preliminary limits of pavement, shoulders, curb or roadside improvements.

•

Apparent right-of-way impacts.

•

Apparent utility, drainage and access constraints.

•

Conceptual maintenance-of-traffic considerations.

The conceptual design will be prepared using available aerial imagery, GIS information,
FDOT right-of-way information and other existing data. The concept is intended for
planning, coordination, budgeting and funding purposes and will not constitute final
construction plans.
NFPS will provide one draft conceptual plan for City review and one revised conceptual
plan incorporating one consolidated set of City comments.
TASK 6 – ENGINEER’S OPINION OF PROBABLE CONSTRUCTION COST
NFPS will prepare a planning-level engineer’s opinion of probable construction cost for
the recommended conceptual improvements.
The estimate will include, as applicable:
•

Mobilization and maintenance of traffic.

•

Clearing and removal items.

•

Earthwork and roadway widening.

•

Base, pavement and shoulder construction.

•

Curb, sidewalk and detectable-warning improvements.

•

Drainage modifications identifiable at the conceptual level.

•

Signing and pavement markings.

•

Utility adjustments represented by an appropriate allowance.

•

Erosion-control measures.

•

Construction contingency.

•

Estimated construction-engineering and inspection allowance, if requested by the
City.

The estimate will be based on available FDOT historical bid prices, recent comparable
project costs and NFPS’s professional judgment. Actual construction costs will depend
upon final design, market conditions, contractor availability, utility conflicts, right-of-way
requirements and other conditions not fully defined during conceptual design.

Attachment A
Scope of Work/Agreement
September 2nd, 2026
Reference is made to that certain Continuing Services Contract for Engineering and Related
Services Agreement between The City of Freeport and Dewberry Engineers, Inc. dated May 12th,
2016, (the “Agreement”), the terms, conditions, and definitions of which are incorporated herein
as if set forth in full. Neither part is in breach of the Agreement.
This agreement is entered into this __________ day of _______________2026, between
City of Freeport known hereinafter as CLIENT, and Dewberry Engineers Inc.
This agreement defines the terms under which Dewberry shall provide professional services to
CLIENT for the City of Freeport Living History Park project.
PROJECT UNDERSTANDING
The CLIENT and Dewberry Engineers, Inc. entered into a professional services agreement for
the Design and Permitting of the City of Freeport Living History Park project on October 25,
2024. The site was undergoing design and in the Development Order review phase when it was
determined that the Marquis West Road Improvements project would encumber portions of the
proposed Living History Park site that were already designed.
It is understood that the previous survey provided by GeoPoint Surveying, Inc. under the
proposal executed 10/25/2024 will not need to be added to or modified for the revised design.
It is also understood that no additional Environmental Services will be required beyond those
provided in as part of the proposal dated 10/25/2024.
December of 2025 the State of Florida adopted new stormwater management criteria that
affects the design of stormwater management facilities by requiring more stringent and
advanced treatment criteria. In an effort to satisfy the additional treatment requirements and to
account for the alterations in the site plan, additional Geotechnical Services will be needed to
establish seasonal high water table elevations in areas not previously determined and to
establish infiltration rates in areas where percolation could potentially occur as a stormwater
treatment mechanism. As the site and design conditions have changed, the previous design and
permitting efforts will not reduce the effort required for the design and permitting of the new
site plan.

ATTACHMENT B
STANDARD TERMS AND CONDITIONS

These Standard Terms and Conditions (“STCs”) are incorporated by reference into the foregoing agreement or proposal, along with any future modifications or amendments thereto made
in accordance with Paragraph 23 below (the "Agreement") between Dewberry (“we" or “us” or “our”) and its client (“you" or “your”) for the performance of services as defined in our
proposal ("Services"). These STCs are fully binding upon you, just as if they were fully set forth in the body of the Agreement, and shall supersede any term or provision elsewhere in the
Agreement in conflict with these STCs.
1. Period of Offer. Unless we decide, in writing, to extend the period for acceptance by you of our proposal, you have 90 days from our proposal date to accept our proposal. We have the
right to withdraw the proposal at any time before you accept. Delivery of a signed proposal—whether original or copy—to us constitutes your acceptance of the proposal, including
attachments expressly incorporated into the proposal by reference. The proposal and incorporated attachments shall constitute the entire Agreement between you and us. If you request
us to render Services before you deliver a signed proposal to us, and we render Services in accordance with the proposal, you agree that the proposal and these STCs constitute the
Agreement between you and us even if you fail to return a signed proposal to us.
2. Scope of Services. For the fee set forth in the Agreement, you agree that we shall only be obligated to render the Services expressly described in the Agreement. Our Services shall not
be construed as providing legal, accounting, or insurance services. Unless the Agreement expressly requires, in no event do we have any obligation or responsibility for:
a. The correctness or completeness of any document which was prepared by another entity.
b. The correctness or completeness of any drawing prepared by us, unless it was properly signed and sealed by a registered professional on our behalf.
c. Favorable or timely comment or action by any governmental entity on the submission of any construction documents, land use or feasibility studies, appeals, petitions for
exceptions or waivers, or other requests or documents of any nature whatsoever.
d. Taking into account off-site circumstances other than those clearly visible and actually known to us from on-site work.
e. The actual location (or characteristics) of any portion of a utility which is not entirely visible from the surface.
f. Site safety or construction quality, means, methods, or sequences.
g. The correctness of any geotechnical services performed by others, whether or not performed as our subcontractor.
h. The accuracy of earth work estimates and quantity take-offs, or the balance of earthwork cut and fill.
i. The accuracy of any opinions of construction cost, financial analyses, economic feasibility projections or schedules for the Project.
Should shop drawing review be incorporated into the Services, we shall pass on the shop drawings with reasonable promptness. Our review of shop drawings will be general, for
conformance with the design concept of the Project to which this Agreement relates (“Project”) and compliance with the information given in the construction documents, and will not
include quantities, detailed dimensions, nor adjustments of dimensions to actual field conditions. Our review shall not be construed as permitting any departure from contract
requirements nor as relieving your contractor of the sole and final responsibility for any error in details, dimensions or otherwise that may exist.
3. Your Oral Decisions. You, or any of your directors, officers, partners, members, managers, employees or agents having apparent authority from you, may orally: (a) make
decisions relating to Services or the Agreement; (b) request a change in the scope of Services under the Agreement; or (c) request us to render additional Services under the
Agreement, subject to our right to require you to submit the request in writing before your decision or request shall be considered to have been effectively made. You may, at any
time, limit the authority of any or all persons to act orally on your behalf under this Paragraph 3, by giving us seven 7 days advance written notice.
4. Proprietary Rights. The drawings, specifications and other documents prepared by us under this Agreement are instruments of our service for use solely for the Project and,
unless otherwise provided, we shall be deemed the author of these documents and shall retain all common law, statutory, and other reserved rights, including the copyright and
rights to any Dewberry trademarks. Upon payment in full for our Services, you shall be permitted to retain copies, including reproducible copies of our instruments of service for
information and reference for the Project. Our instruments of service shall not be used by you or others on other projects for any reason or for completion or modification of this Project
by other professionals, unless you enter into a written agreement with us allowing for such use. Submission or distribution of documents to meet official regulatory requirements or for
similar purposes in connection with the Project is not to be construed as publication inconsistent with our reserved rights. You shall defend, indemnify and hold us harmless, and
release us, from any and all liability, loss, damages, claims and demands for loss, damages, property damages or bodily injury, arising out of any use (including, without limitation, the
means or media of transfer, possession, use, or alteration) of our instruments of service by (i) you, if such use is inconsistent with our reserved rights or this Paragraph 4, or (ii) any
third party, regardless of the manner of use, if such third party received our instruments of service directly or indirectly from you (including if we or others have transmitted such
instruments of service to the third party at your request or direction, for your benefit, or, and without limiting the foregoing, pursuant to a contractual obligation that is directly or indirectly
derived (or flowed down) from a contract to which you have privity).
5. Fees and Compensation. If you request us to render services not specifically described in the Agreement, or, if we or anyone in our employ, is called upon to be deposed or to
testify in a matter in which we are not a named party, that relates to the Project, you agree to compensate us for such services in accordance with the hourly rates as set forth on
Attachment A of this Agreement or in any subsequently effective schedule, unless otherwise agreed in writing. If no compensation rate is set forth on Attachment A, or through
written agreement between you and us, we shall be compensated for such services at our then current hourly rates. We may unilaterally increase our lump sum or unit billing rates
on each anniversary of your acceptance of this Agreement by as much as five percent or the percentage increase in the CPI-W (U.S. Department of Labor Consumer Price IndexWashington), whichever is greater. Hourly rates are subject to periodic revision at our discretion.
6. Period of Service. The provisions of this Agreement and the compensation provided for under the Agreement have been established in anticipation of the orderly and continuous
progress of the Project. Our obligation to render the Services will extend only for that period which may reasonably be required to complete the Services in an orderly and continuous
manner, and we may then, at our sole option, terminate the Agreement.
7. Reimbursable Expenses. Unless the Agreement otherwise provides, you shall reimburse us, or our affiliates, for all expenses we incur to render the Services for you under this
Agreement, plus fifteen percent. We may submit invoices for reimbursable expenses separately from invoices for Services.
8. Payment Terms. We may submit invoices at any time to you for Services and for reimbursable expenses incurred. Invoices are payable within 30 days of the invoice date, and you
agree to pay a finance charge of 1½% per month on any unpaid balance not received by us within 30 days of the invoice date. If you require payment via credit card, Dewberry will
assess a 3% processing fee on the total amount invoiced. Invoices may be based either upon our estimate of the proportion of the total Services actually completed at the time of billing
for lump sum or fixed fee services, or in the case of hourly services, upon rendering of the Services. If any invoice is not paid within 30 days of the invoice date, we shall have the right
either to suspend the performance of our Services until all invoices more than 30 days past due are fully paid or to terminate the agreement and to initiate proceedings to recover
amounts owed by you. Additionally, we shall have the right to withhold from you the possession or use of any drawings or documents prepared by us for you under this or any other
agreement with you until all delinquent invoices are paid in full. You shall not offset payments of our invoices by any amounts due or claimed to be due for any reason.
If you do not give us written notice disputing an invoice within 20 days of the invoice date, the invoice shall conclusively be deemed correct. All payments made by you should specify
the invoice numbers being paid. If we receive payments that do not specify the invoices being paid, you agree that we may apply payments in our sole discretion. Time is of the
essence of your payment obligations; and your failure to make full and timely payment shall be deemed a material breach.
9. Information from You and Public Sources. You shall furnish us all plans, drawings, surveys, deeds and other documents in your possession, or that come into your possession,
which may be related to the Services, and shall inform us in writing about all special criteria or requirements related to the Services (together, "Information"). We may obtain deeds, plats,
maps and any other information filed with or published by any governmental or quasi-governmental entity (together, "Public Information"). Unless we are engaged in writing as an
additional service to independently verify such, we may rely upon Information and Public Information in rendering Services. We shall not be responsible for errors or omissions or
additional costs arising out of our reliance on Information or Public Information. You agree to give prompt notice to us of any development or occurrence that affects the scope or timing of
Services, or any defect in the final work submitted by us, or errors or omissions of others as they are discovered. We shall not be responsible for any adverse consequence arising in
whole or in part from your failure to provide accurate or timely information, approvals and decisions, as required for the orderly progress of the Services.
10. Plan Processing. We may submit plans and related, or other, documents to public agencies for approval. However, it may be necessary, in order to serve your interests and needs,
for us to perform special processing, such as attending meetings and conferences with different agencies, hand carrying plans or other documents from agency to agency, and other
special services. These special services are not included in the basic fee and shall be performed as additional services on an hourly fee basis in accordance Paragraph 5 above.

II Dewberry·

11. Meetings and Conferences. To the extent the Agreement provides, we will attend meetings and conferences that you, or your representatives, reasonably require. Furthermore,

we will meet on an as-needed basis with public agencies that might be involved in the Project. Because we cannot forecast the scope and nature of these meetings and
conferences, we will perform meeting and conference services on an hourly fee basis in accordance with our applicable hourly rate schedule.
12. Your Claims. You release us from, and waive, all claims of any nature for any and all errors or omissions by us related to our performance under this Agreement, or in the
performance of any supplementary services related to this Agreement, unless you have strictly complied with all of the following procedures for asserting a claim, as to which
procedures time is of the essence:
a. You shall give us written notice within 10 days of the date that you discover, or should, in the exercise of ordinary care, have discovered that you have, or may have, a
claim against us. If you fail to give us written notice within such 10 days, then such claim shall forever be barred and extinguished.
b. If we accept the claim, we shall have a reasonable time to cure any error or omission and any damage. This shall be your sole remedy, and you must not have caused the
error or omission, or any damage resulting from the error or omission, to be cured, if we are ready, willing and able to do so.
c. If we reject the claim, we shall give you written notice of our rejection within 30 days of our receipt of your notice of claim. You shall then have 60 days to give us an opinion
from a recognized expert in the appropriate discipline, corroborating your claim that we committed an error or omission, and establishing that the error or omission arose
from our failure to use the degree of care ordinarily used by professionals in that discipline in the jurisdiction local to the Project. If you fail to give us such an opinion from a
recognized expert within 60 days from the date we send you notice of our rejection of the claim, then such claim shall forever be barred and extinguished.
d. We shall have 60 days from receipt of your expert’s written opinion to reevaluate any claim asserted by you. If we again reject such claim, or if the 60-day period from
receipt of the written opinion of your expert elapses without action by us, then you may have recourse to such other remedies as may be provided under this Agreement.

ANY CLAIMS FOR CONSTRUCTION DEFECTS ARE SUBJECT TO THE NOTICE AND CURE PROVISIONS OF CHAPTER 558, FLORIDA STATUTES.
13. Hazardous or Toxic Wastes or Substances, Pollution or Contamination. You acknowledge that Services rendered under this Agreement may be affected by hazardous or toxic

wastes or substances, or pollution or contamination due to the presence of hazardous or toxic wastes or substances. To induce us to enter into this Agreement, you agree to indemnify,
defend and hold us harmless from and against any and all liability, loss, damages, claims and demands for loss, damages, property damages or bodily injury, that relate, in any way, to
both (a) hazardous or toxic wastes or substances, or pollution or contamination due to the presence of hazardous or toxic wastes or substances, and (b) the performance by us of our
obligations under the Agreement, whether or not such performance by us is claimed to have been, or was, or may have been, negligent. Unless otherwise expressly set forth in this
Agreement, we shall have no responsibility for searching for, or identifying, any hazardous or toxic wastes or substances, or pollution or contamination due to the presence of hazardous
or toxic wastes or substances; but if we discover or suspect the presence of any such wastes, substances, pollution or contamination due to the presence of hazardous or toxic wastes or
substances, then we, in our sole discretion, and at any time, may stop work under, or terminate, this Agreement, in which event we will have no further liability to you for performance
under this Agreement, and you shall make the payments to us required by Paragraph 14 of the STCs.
14. Termination. Either party may terminate the Agreement if the other party materially breaches the Agreement and does not cure the breach within 7 days after receiving notice of
the breach from the non-breaching party. You shall immediately pay us for our Services rendered and expenses incurred through the termination date, including fees and
expenses that we incur as a result of the termination.
15. Payment of Other Professionals. If this Agreement includes continuation of services begun by other architects, engineers, planners, surveyors, or other professionals, we may
suspend our Services until you make arrangements satisfactory to such other professionals for payment. If satisfactory arrangements have not been made within a time determined by us
to be reasonable, then we may in our sole discretion terminate this Agreement.
16. Assignment and Third-Party Beneficiaries. Neither party shall assign or transfer any rights, interests or claims arising under this Agreement without the written consent of the
other, provided, however, that we are permitted to (i) employ independent consultants, associates, and subcontractors as we may deem necessary to render the Services, (ii) assign
our right to receive compensation under this Agreement, and (iii) transfer the Agreement to an affiliate of ours, in our sole discretion, with written notice to you (an affiliate for purposes
of this Paragraph 16 is defined as any other business entity that directly or indirectly, through one or more intermediaries, controls, is controlled by, or is under common control with,
us). This Agreement does not confer any benefit or right upon any person or entity other than the parties, except that our partners, members, managers, directors, officers,
employees, agents and subcontractors shall have and be entitled to the protection afforded us under Paragraphs 9, 12, 13, 16, 20 and 22 of this Agreement.
17. Applicable Law and Forum Selection. The Commonwealth of Virginia’s laws shall govern this Agreement in all respects, including matters of construction, validity, and
performance. Except as provided in Paragraph 18, the parties agree that the courts of Fairfax County, Virginia, and the Federal District Court, Eastern District of Virginia, Alexandria
Division, (together, “Courts”) shall have exclusive jurisdiction over any controversy, including matters of construction, validity, and performance, arising out of this Agreement. The
parties consent to the jurisdiction of the Courts and waive any objection either party might otherwise be entitled to assert regarding jurisdiction. The parties irrevocably waive all right to
trial by jury in any action, proceeding, or counterclaim arising out of or related to this Agreement.
18. Arbitration of Our Claims for Compensation. Instead of proceeding in court, we, in our sole and absolute discretion, may submit any claim for compensation due us under this
Agreement to arbitration in Fairfax County, Virginia in accordance with the Construction Industry Arbitration Rules of the American Arbitration Association, and judgment upon the
arbitration award may be entered in any court having jurisdiction. You agree not to assert any counterclaim or any defense by way of set-off in such arbitration, and that the arbitrator or
panel shall have no authority to consider, or to render, an award based upon any such counterclaim or defense by way of set-off. We shall have the right to withdraw our demand for
arbitration at any time before the arbitration hearing starts by giving written notice to the arbitrator or panel and you; and upon the giving of such notice by us, the arbitration shall
terminate, no award shall be rendered, and we may then pursue our remedies in accordance with Paragraph 17 above.
19. Severability. If any part, term, or provision of this Agreement is held to be illegal or unenforceable, the validity and enforceability of the remaining parts, terms, and provisions of this
Agreement shall not be affected, and each party’s rights shall be construed and enforced as if the Agreement did not contain the illegal or unenforceable part, term, or provision.
20. Limitations on Liability. In recognition of the relative risks and benefits of the Project to you and us, you agree, that our liability for any loss, damages, property damages or bodily
injury of or to you caused in whole or in part by us in the performance of this Agreement or any supplementary services in any way related to this Agreement, shall be limited in the
aggregate to the amount of fees that you have paid to us for the Services. The parties intend that the foregoing limitation on liability shall apply to all claims, whether sounding in tort,
contract, warranty, or otherwise. You release, waive, and shall not seek contribution from, or indemnification by, us for any claims of any nature made against you by any other person
who may suffer any loss, damages, property damages or bodily injury in any manner associated with our services, or any supplementary services in any way related to this Agreement.
Notwithstanding anything to the contrary elsewhere in the Agreement, we shall not be liable to you, in any event or for any amount, for delays; or for consequential, special or incidental
damages; or for punitive or exemplary damages; or for the cost to add an item or component that we omitted from the instruments of service due to our negligence, to the extent that item
or component would have otherwise been necessary, or adds value or betterment, to the Project. Should you find the terms of this Paragraph 20 unacceptable, we are prepared to
negotiate a modification in consideration of an equitable surcharge to pay our additional insurance premiums and risk.

PURSUANT TO FLORIDA STATUTE §558.0035, AN INDIVIDUAL EMPLOYEE OR AGENT MAY NOT BE
HELD INDIVIDUALLY LIABLE FOR NEGLIGENCE.

21. Payment of Attorney's Fees. The losing party shall pay the winning party's reasonable attorney's fees and expenses for the prosecution or defense of any cause of action, claim

or demand arising under this Agreement in any court or in arbitration.

22. Indemnification. You agree to indemnify, defend and hold us harmless from and against any and all liability, loss, damages, claims and demands for loss, damages, property damages

or bodily injury, arising out of acts or omissions by you, or your contractor, subcontractor or other independent company or consultant employed by you to work on the Project, or their
respective partners, members, managers, directors, officers, employees, agents or assigns; or arising out of any other operation, no matter by whom committed or omitted, for and on
behalf of you, or such contractor, subcontractor or other independent company or consultant, whether or not due in part to errors or omissions by us in the performance of this
Agreement, or in the performance of any supplementary service in any way related to this Agreement, provided that you are not required to indemnify and hold us harmless under this
Paragraph 22 in the event of our sole negligence.

23. Integration Clause. The Agreement represents the entire agreement of the parties. No prior representations, statements, or inducements made by either us, you, or the

respective agents of either, that is not contained in the Agreement shall enlarge, modify, alter, or otherwise vary the written terms of the Agreement unless they are made in writing
and made a part of the Agreement by attachment, incorporated by reference in the Agreement or signed or initialed on behalf of both parties.
24. Notice. Any notices issued to us shall be sent to our project manager with a copy sent via email to [email protected] or mailed to 8401 Arlington Blvd, Fairfax VA

“To laugh often and much; to win the respect of intelligent people and the affection of children; to earn the appreciation of honest critics and
endure the betrayal of false friends; to appreciate beauty, to find the best in others; to leave the world a bit better, whether by a healthy child, a
garden plot or a redeemed social condition; to know even one life has breathed easier because you have lived. This is to have succeeded.”

Background:
The City’s new lighting for the governmental complex and City Hall is not
connected with the City Hall lighting itself. At a prior event, the front porch
lights were turned off to make the lighting more vibrant and brighter. Staff
has not been able to determine a way to dim the porch lights, or to install a
less bright light in place of the current ones. For future events, the City can
continue to deactivating those lights through their dedicated breaker.
Council discussion, and potential action, is requested by City staff to
determine the appropriate course of action and policy on this matter
