ORDINANCE O.2289-2026
AN ORDINANCE AMENDING CHAPTER 37, “ZONING,” OF THE TOWNSHIP CODE
TO DESIGNATE DATA CENTERS AS A PROHIBITED USE IN ALL ZONES WITHIN
THE TOWNSHIP OF EDISON
WHEREAS, the Township of Edison intends to protect the character, landscapes,
environment, natural resources, and residents of Edison; and
WHEREAS, data centers have severe negative and detrimental impacts related to land
use, energy demand, water use, air quality, noise, and public health and wellbeing; and
WHEREAS, unsustainable large-scale development and overexploitation of natural
resources are inconsistent with the land uses that the governing body believes are in the best
interest of the Township of Edison; and
WHEREAS, data centers, depending on size, can consume the same amount of energy as
anywhere from 100,000 households to two million households; and
WHEREAS, the buildout of data centers and associated infrastructure has been linked to
an increase in energy costs for communities across the country; and
WHEREAS, data centers can use several million gallons of water per day and over one
hundred million gallons of water per year for cooling, and even more for electricity generation;
and
WHEREAS, the buildout of data centers can strain community water resources, impair
water quality, and increase water rates; and
WHEREAS, data centers often rely on backup diesel generators, which emit harmful
pollutants such as nitrogen oxide, exacerbating the risk of asthma and other health issues in
communities; and
WHEREAS, data centers and their cooling systems, generators, and other operational
equipment can result in noise pollution of more than ninety (90) decibels, a level that is harmful
to hearing; and
WHEREAS, this governing body is conscious of these and other severe negative and
detrimental impacts that data center development could have on the local environment and the
residents of Edison Township; and
WHEREAS, this governing body has determined that it is a necessary and appropriate
exercise of municipal authority to amend its ordinances to adequately address the threats posed
by data centers in context of the present needs of the community; and
WHEREAS, this governing body has determined that, in order to protect the welfare,
health, and safety of the residents of Edison Township, it should amend the municipal zoning
ordinance, pursuant to the authority granted by the New Jerey Municipal Land Use Law (NJSA
40:55D-1 et seq.), to designate data centers as a prohibited use within the geographic boundaries
of Edison Township;
NOW, THEREFORE, BE IT ORDAINED by the Township Council of Edison, in the
County of Middlesex, State of New Jersey that Chapter 37 of the Township Code be and hereby
is amended as follows:
SECTION I.
• Section 3.1 of Chapter 37, “Definitions,” shall be amended to add the following:
“Data Center. Any facility used primarily for the storage, management, and
processing of digital or electronic data, which houses computer and network
systems, including associated components such as servers, network equipment
and appliances, telecommunications, and data storage systems, systems for
monitoring and managing infrastructure performance, Internet-related
equipment and services, data communications connections, environmental
controls, fire protection systems, and security systems and services. Typical
accessory components of a data center may include transformers, electrical
substations, environmental controls, fire suppression, generators, redundant
power supplies and security facilities. The term “Data Center” is intended to be
construed broadly and shall include, but not be limited to, all facilities, located
on either a single site or on contiguous, adjacent, or otherwise connected sites,
whose primary purpose is housing active information technology or digital
infrastructure, including but not limited to hyperscale facilities, colocation
facilities, cloud computing infrastructure, cryptocurrency mining operations,

artificial intelligence processing facilities, and other high-density digital
infrastructure uses, regardless of how such facility is labeled or described. Any
facility, regardless of designated use, that is designed to operate or capable of
operating at a power density of 4MW or more per acre, or more than 20MW for
the entire facility, shall be considered a data center.”
Section 4.14 of Chapter 37, “Prohibited Uses in All Zones,” shall be amended to
add the following: “g. Data centers.”
Section 20.1 of Chapter 37, “Permitted Uses,” shall be amended to remove the
phrase “experimental or computation centers.”
Section 21.2 of Chapter 37, “Permitted Uses,” shall be amended to remove the
phrase “experimental or computation centers.”

SECTION II. Notice. The Township Clerk is directed to give notice of the proposed zoning
amendment at least ten (10) days prior to a hearing on the adoption of this Ordinance to the
Middlesex County Planning Board and to all other persons or entities entitled thereto pursuant to
N.J.S.A. 40:55D-15, including to the Clerk of adjoining municipalities, and to all other affected
persons or entities entitled thereto pursuant to N.J.S.A. 40:55D-62.1 and N.J.S.A. 40:49-2c.
SECTION III. Referral. After introduction, the Township Clerk is hereby directed to submit a
copy of the within Ordinance to the Planning Board of the Township of Edison for its review and
determination of consistency with the Master Plan pursuant to N.J.S.A. 40:55D-26 and N.J.S.A.
40:55D-64. The Planning Board is directed to make and transmit to the Township, within thirtyfive (35) days after referral, a report including identification of any provisions in the proposed
Ordinance which are inconsistent with the Master Plan and recommendations concerning any
inconsistencies and any other matter as the Board deems appropriate. Upon the adoption of this
Ordinance, after public hearing, the Township Clerk is further directed to publish notice of the
passage and to file a copy of this Ordinance, as finally adopted, with the Middlesex County
Planning Board, as required by N.J.S.A. 40:55D-16.
SECTION IV. Repealer. All ordinances or parts of ordinances contrary to or inconsistent with
the provisions of this Ordinance are hereby repealed to the extent of such conflict or
inconsistency.
SECTION V. Severability, Any portion of this Ordinance, or its application to any person or
circumstances, shall be adjudged or otherwise determined to be invalid, unconstitutional,
preempted, void, or ineffective for any cause or reason, such determination shall not affect the
validity of the remaining provisions or applications of this Ordinance, and the application of such
remaining provisions of this Ordinance, that can be given effect without the invalid provision or
application, and the application of such remaining provisions shall not be affected thereby and
shall remain in full force and effect, and to this end, such that the provisions of this Ordinance
are severable.
SECTION VI. Effective Date. This Ordinance shall take effect immediately upon final passage
and approval by the Mayor, if applicable, and publication according to law.
SECTION VII. Prior Actions. All actions of the Township of Edison taken prior to the date of
adoption hereof contemplated by this Ordinance are hereby ratified and approved.
SECTION VIII. Codification. This Ordinance may be renumbered for codification purposes.

the Tax Collector advises that the requesters are entitled to refunds as provided the attached listing; and
NOW THEREFORE, BE IT RESOLVED, by the Municipal Council of the Township of Edison, that the
aforementioned recitals are incorporated herein as though fully set forth at length.

RESOLUTION R.517-102026
Authorizing Cancelation and Refund of Taxes for Exempted Disabled Veteran
WHEREAS, pursuant to N.J.S.A. 54:4-3.30, the dwelling of a disabled veteran shall be exempt from real
property taxes; and
WHEREAS, Attached listing includes veterans who have been determined to have suffered a 100% servicerelated disability, with the determination of said disability being retroactive to the indicated effective date; and their
respective owned properties, identified with their block, lot and qualifier, were already billed for indicated tax year;
and
WHEREAS, pursuant to N.J.S.A. 54:4-3.32, the governing body of a municipality may cancel by resolution
taxes due on a property which would have been exempt had the claim been made at the time they were due; and
WHEREAS, as permitted by N.J.S.A. 54:4-3.32, Township Code Section 5-7(d) also authorizes the return
of property taxes for the current year and prior year but not greater than for a twenty-four (24) month period in the
aggregate, or, should the Veteran's Administration determine that a veteran's disability date is greater than twentyfour (24) months from the date the applicant submits his/her application with the Tax Assessor's office, the Township
will only be obligated to return taxes for a period of no greater than twenty-four (24) months from receipt of a
completed application to the Tax Assessor; and
WHEREAS, pursuant to Township Code Section 5-7(d) the listed applicants are also due a refund of property
taxes paid from the effective date of the determination; and the Tax Collector has reviewed the applications, approvals
and taxes paid and recommends that the listed applicants are entitled to receive refund of paid taxes in the amount
indicated on the attached list.
NOW THEREFORE, BE IT RESOLVED, by the Municipal Council of the Township of Edison, that the
aforementioned recitals are incorporated herein as though fully set forth at length.
BE IT FURTHER RESOLVED, by the Township Council of the Township of Edison that property taxes due
and assessed as specified on the attached list be cancelled for the indicated quarters, tax years and amounts, and also
refunded for the municipal property taxes already paid from the effective date; and
BE IT FURTHER RESOLVED, by the Municipal Council of the Township of Edison that the appropriate
official of the Township is hereby authorized to draw checks to the noted disabled parties for the taxes already paid
during the applicable exemption periods set forth and for the amount specified in the attached list totaling $ 7,714.52.

Authorizing Overpayment Refund caused by Successful Tax Court Appeal
WHEREAS, The Office of the Tax Collector has received a successful tax appeal judgments from the Tax
Court of New Jersey for the cases on list attached, and
WHEREAS, in accordance with the Tax Court of New Jersey, the assessed value of the properties has been
reduced for the for the tax years indicated in the list, including Freeze Act Year(s), if any, as per provisions of N.J.S.A.
54:51A-8 (Freeze Act), and

WHEREAS, per N.J.S.A. 54:3-27.2 (Refund of Excess Taxes; Interest), “in the event a taxpayer is successful

WHEREAS, the Township of Edison (hereinafter referred to as “Edison”) is a municipal corporation in the
County of Middlesex, State of New Jersey; and
WHEREAS, Edison and Woodbridge Township (“Woodbridge”) previously entered into a Shared Services
Agreement for the provision of elevator safety subcode services (the “Shared Services Agreement”); and
WHEREAS, the Shared Services Agreement was scheduled to expire on December 31, 2027; and
WHEREAS, as the result of the retirement of key personnel from Woodbridge who were responsible for the
performance of the services in the Shared Services Agreement, the parties have mutually agreed to terminate the
Shared Services Agreement prior to its scheduled expiration date; and
WHEREAS, Woodbridge has already adopted a resolution authorizing the termination of the Shared
Services Agreement; and
NOW, THEREFORE, BE IT RESOLVED, that the Municipal Council of the Township of Edison, County
of Middlesex, State of New Jersey hereby authorizes the Mayor or his designee and the Municipal Clerk to execute
an Agreement to terminated the Shared Services Agreement for the provision of elevator safety subcode services
between the Township of Edison and the Township of Woodbridge in the form substantially similar to the agreement

WHEREAS, the Township of Edison is a municipal corporation operating under the laws of the State of
New Jersey, with offices located at 100 Municipal Boulevard, Edison, New Jersey 08817; and
WHEREAS, JVS Industrial & Commercial Contractors, Inc.’s (hereinafter “JVS”) predecessor J. Scheer
Industries, Inc. ( hereinafter “J. Scheer”) and 41 Glendale LLC and Stalwart Equities Inc. (together “41 Glendale”)
entered into a Settlement and Land Exchange Agreement, dated as of October 31, 2019 in settlement litigation
between them, filed in the Superior Court of New Jersey, Middlesex County, Chancery Division, under Docket No.
MID-C-182-18; and
WHEREAS, JVS’s predecessor, J. Scheer and 41 Glendale entered into a First Amendment to the
Settlement and Land Exchange Agreement, effective as of February 9, 2022; and
WHEREAS, the First Amendment provided for an updated land swap plan pursuant to which J. Scheer
was to convey certain real property (“Lot 2A”) to 41 Glendale and 41 Glendale was to convey certain real property
(“Parcel 1”) to J. Scheer; and
WHEREAS, by written agreement effective as of February 23, 2024, J. Scheer assigned all its rights and
obligations under its agreements with 41 Glendale to JVS, and JVS assumed all obligations and responsibilities of J.
Scheer under those agreements; and
WHEREAS, by agreement dated December 22, 2023, 41 Glendale entered into an Agreement for Sale of
Real Estate with the Township, pursuant to which 41 Glendale agreed to sell its property, including Parcel 1, to the
Township; and
WHEREAS, 41 Glendale conveyed its property, including Parcel 1, to the Township by deed, dated
January 31, 2024; and
WHEREAS, on March 20, 2024, JVS filed a Verified Complaint against 41 Glendale and the Township
arising out of 41 Glendale’s sale of Parcel 1 to the Township, under Docket No. MID-C-23-24 (the “Litigation”);
and
WHEREAS, the Parties desire, without any admission of liability by any party, to resolve their differences
and settle the disputes by and between them in substantial accordance with the terms set forth in the attached
settlement agreement and release without the need for expending the time and expense of further litigation; and
WHEREAS, the Township Council has reviewed the terms of the settlement agreement and release and
concur that it is in the best interest of the Township to resolve this matter amicably;
NOW, THEREFORE, BE IT RESOLVED by the Township Council of the Township of Edison that the
Mayor and the Municipal Clerk are hereby authorized to execute the attached Settlement Agreement and Release
between JVS Industrial & Commercial Contractors, Inc., 41 Glendale LLC and Stalwart Equities, Inc. and the
Township of Edison in substantially similar form attached, upon final approval by the Director of Law.

writing, research, and management services, and the Township is authorized pursuant to the Local Public Contracts
Law, N.J.S.A. 40A:11-1 et seq. to contract for “professional services” as it may require; and
WHEREAS, MILLENNIUM STRATEGIES, LLC, 60 Columbia Road, Building B, Suite 230, Morristown
NJ, 07960 has submitted a proposal to provide such services in the amount of $6,630.00 per month, $79,560.00 for
the one-year contract commencing on September 1, 2026; and
WHEREAS, the Local Public Contracts Law, more specifically N.J.S.A. 40A:11-5, allows for the
awarding of a contract for “professional services” without public advertising for bids; and
WHEREAS, this Contract is not awarded through a “fair and open process” pursuant to N.J.S.A. 19:44A20.5, et seq.; and

lowest legally responsible, responsive bid for selected items on the bid summary sheet.
20. The Mayor, or his designee, is hereby authorized to execute a contract in the collective not to exceed amount
of $950,000.00, for the first year and any succeeding renewal year, contingent upon appropriation of
sufficient funds each renewal year and any other necessary documents, as described herein.

WHEREAS, the Township of Edison, through its Department of Recreation, administers Before and
Aftercare programs for eligible participants; and
WHEREAS, from time to time, refunds may be necessary due to program cancellations, participation
withdrawals, overpayments, registration adjustments or other circumstances determined appropriate by the
Department of Recreation; and
WHEREAS, the Township desires to establish a consistent and efficient method for processing refunds
associated with Before and Aftercare program fees; and
WHEREAS, all approved refunds shall be processed electronically through the Township’s online
registration system by either a credit card refund or an e-check, as applicable; and
WHEREAS, the Director or Recreation or their designee shall review and authorize eligible refunds in
accordance with applicable Township policies and procedures;
NOW; THEREFORE, BE IT RESOLVED by the Township Council of the Township of Edison, County
of Middlesex, State of New Jersey, that the Department of Recreation is hereby authorized to process approved
refunds for Before and Aftercare program fees; and
BE IT FURTHER RESOLVED, that all approved refunds shall be processed through the Township’s

for architectural/engineering firm for architectural/engineering services for the renovation of the Police Fire Arms
Range Facility in the amount of $46,480.00; and

WHEREAS, the mechanical/electrical systems must be upgraded to support the new design due to new state
regulations; and
WHEREAS, this change order in the amount of $54,120.00, is an increase of 116.44%% from than the
original contract; and
WHEREAS, the total amount of this change order is more than 20% of the original contract; and
WHEREAS, the Township Council accepts Edison Township’s recommendations as described herein.
NOW, THEREFORE, IT IS RESOLVED by the Township Council of the Township of Edison, that
Change Order #1 to the contract with Design Resources Group Architects, A.I.A. (formerly The Vaughn

for a total amended contract amount of $100,600.00.

ENTERTAINMENT
WHEREAS, Round One Entertainment, 3070 Saturn St. Ste. 200, Brea, CA 92821 has
submitted an application to the Office of the Municipal Clerk for an Amusement Games License
pursuant to the Amusement Games Licensing Law (N.J.S.A. 5:8-100 et seq.) and such
regulations as promulgated under Chapter 3, Office of Amusement Games Control (N.J.A.C.
13:3-1.1 et seq.) to operate at its location at and 55 Parsonage Road, Space 1850A, Edison
08837(aka Menlo Park Mall)
WHEREAS, N.J.A.C. 13:3-1.13 (a) provides that no license shall be issued in any
municipality unless and until the issuance thereof has been authorized by a resolution duly
adopted by the municipal governing body which shall, among other things, specifically recite
that the premises to be licensed is designated as a recognized amusement park in the
municipality; and
WHEREAS, pursuant to Ordinance 2155-2022, which created new Licensing subsection
11-7.10 “Recognized Amusement Parks”, Chapter 11 Licensing , of the Revised Ordinances
of the Township of Edison designates 1120 Route 1 N, Edison, New Jersey as a Recognized
Amusement Park in accordance with N.J.A.C. 13:3-1.5; and
WHEREAS, the Municipal Clerk has deemed the application of Round One
Entertainment complete for 2027 license year.
NOW, THEREFORE, BE IT RESOLVED by the Municipal Council of the Township
of Edison that, Round One Entertainment is hereby granted an Amusement Games License to
operate at its location at 55 Parsonage Road, Space 1850A, Edison 08837(aka Menlo Park Mall)
and
BE IT FURTHER RESOLVED that pursuant to N.J.A.C. 13:3-1.13 (b), a certified copy
of this Resolution, together with a copy of the application endorsed to show the granting of the
license, shall be forwarded to the Legalized Games of Chance Control Commission within three
(3) business days of the Township license being granted.
