Mr. Larry Swales
Chancery Clerk
22 1 East Government Street, Suite D
Brandon, MS 39042
Dear Mr. Swales,
This letter will confirm our understanding of the arrangements for our audit of the primary
government financial statements of Rankin County, Mississippi, for the year ending September 30,2008.
Section 7-7-21 l(d), Miss. Code Ann. (1972), requires the Office of the State Auditor to audit the
financial records of the county for each fiscal year. Our firm has been contracted through the Ofice of the
State Auditor and Rankin County to audit only the financial statements of the county as primary
government for the year ending September 30, 2008 for the purpose of expressing our opinion on them.
Primary government financial statements do not include the data of component units necessary for fair
presentation in conformity with generally accepted accounting principles.
We will conduct our audit in accordance with generally accepted auditing standards accepted in
the United States of America and the standards for financial audits contained in Governmental Auditing
Standard, issued by the Comptroller General of the United States, and will include those tests of the
accounting records and other procedures we consider necessary to enable us to express an unqualified
opinion that the primary government financial statements present fairly, in all material respects, the
financial position of Rankin County, Mississippi, as of September 30,2008, and the results of its operations
and cash flows of its enterprise fund type for the year then ended in conformity with accounting principles
generally accepted in the United States of America.
However, the primary government financial statements, because they do not include the financial
data of component units of Rankin County, Mississippi, do not purport to, and do not, present fairly, the
financial position of Rankin County, Mississippi, as of September 30,2008, and the results of its operations
and cash flows of its enterprise fund types for the year then ended in conformity with accounting principles
generally accepted in the United States of America for the entire reporting entity. If our opinion is other
than unqualified for other reasons, we will fully discuss the reasons with you in advance.
If we are required to perform a Single Audit, then our audit will also be conducted in accordance
with the Single Audit Act Amendments of 1996 and the provisions of OMB Circular A-133, Audits of
State, Local Governments, and Non-Projt Organizations. OMB Circular A-133 requires that we plan and
perform the audit to obtain reasonable assurance about whether the county has complied with certain
provisions of laws, regulations, con*,
and grants. Our procedures will consist of applicable procedures
described in the OMB's compliance supplement. The purpose of our audit will be to express an opinion on
the county's compliance with requirements applicable to major programs and to perform tests of controls to
evaluate the effectiveness of the design and operation of controls that we consider relevant to preventing or
detecting material noncompliance with compliance requirements applicable to each of the county's major
federal programs. Our tests of controls will be less in scope than would be necessary to render an opinion
on these controls and, accordingly, no opinion will be expressed.

Attachment: Dribben Audit (RFA-2009-162 : Letter of Engagement for FY08 Audit)
PRIMARY GOVERNMENT LETTER OF ENGAGEMENT
April 14,2009
5.1.B.a
Governmental reporting standards require that we should inform the auditee about information
relating to certain audit responsibilities. Therefore, we have provided you at the beginning of our audit
engagement a written report called: "Our Responsibilities as Your Entity's Auditor." These responsibilities
involve testing and reporting on internal controls and compliance with laws and regulations.
An audit includes examining, on a test basis, evidence supporting the amounts and disclosures in
the financial statements and includes assessing the accounting principles used and significant estimates
made by management, as well as evaluating the overall financial statement presentation; therefore, our
audit will involve judgment about the number of transactions to be examined and the areas to be tested.
Also, we will plan and perform the audit to obtain reasonable assurance about whether the financial
statements are free of material misstatement, whether caused by error or fraud. Because of the concept of
reasonable assurance, and because we will not perform a detailed examination of all transactions, there is a
risk that a material misstatement may exist and not be detected by us. In addition, an audit is not designed
to detect errors, h u d , or other illegal acts that are immaterial to the financial statements. However, we
will inform you of any material errors and any h u d that may come to our attention. We will also inform
you of any other illegal acts that come to our attention, unless clearly inconsequential. Our responsibility
as auditors is limited to the period covered by our audit and does not extend to matters that might arise
during any later periods for which we are not engaged as auditors.
Our procedures that will be applied to the accounting records of the county as primary government
will include tests of documentary evidence supporting the transactions recorded in the accounts, tests of the
physical existence of inventories, and direct confirmation of receivables and certain other assets and
liabilities by correspondence with selected customers, creditors, legal counsel, and financial institutions. If
we are required to perform a Single Audit, then additional tests of transactions related to federal major
programs for compliance with applicable laws and regulations will be made. We will request written
representations from your attorneys as part of the engagement, and they may bill you for responding to this
inquiry. At the conclusion of our audit, we will also request certain written representations from you about
the primary government financial statements and related matters.
We understand that you will provide us with the basic information required for our audit and that
you are responsible for the accuracy and completeness of that information. We may prepare or assist in the
preparation of your primary government financial statements, but the responsibility for the primary
government financial statements remains with you. This responsibility includes the maintenance of
adequate records and related internal control policies and procedures, the selection and application of
accounting principles, and the safeguarding of assets. Management is also responsible for identifying and
ensuring that the county complies with applicable laws and regulations.
In addition to our independent auditor's report on the primary government financial statements, we
will publish various special reports which include our findings of any opinion qualifications, state law
violations, weaknesses in internal control, and any other compliance violations that may have come to our
attention during the course of the audit. The county's management will be allowed to respond to our
comments on any of the above findings prior to the publication of our report. Responses should be limited
to fifty words for each finding. Responses will then be included in the published audit report.
Packet Pg. 10
Attachment: Dribben Audit (RFA-2009-162 : Letter of Engagement for FY08 Audit)
General auditing standard requires that we have an appropriate internal quality control system in
place and that we undergo an external quality control review. The review is conducted at least once every
three years by a team of independent qualified reviews, and a written report is prepared communicating the
results of the external quality control review. As required by general auditing standard, we have provided
you at the beginning of our audit engagement a copy of our most recent external quality control review
report. This report documents whether the required internal quality control system is in place and operating
effectively to provide reasonable assurance that established policies and procedures and applicable auditing
standards are being followed.
5.1.B.a
Our fee for these services is based on the contracted amount negotiated with the State Department
of Audit and Rankin County. This fee is based on historical costs and the assumption that unexpected
circumstances and difficulties will not be encountered during the audit. We may have to expand our audit
requirements for the following reasons:
Attachment: Dribben Audit (RFA-2009-162 : Letter of Engagement for FY08 Audit)
1. Condition or auditability of financial records.
2. Single Audit requirements
3. Difficulties in including component units within the financial reporting entity.
4. Errors and irregularities discovered during the course of the audit.
5 . Lack of cooperation and assistance from personnel and computer assistance when needed.
We ask that you please acknowledge acceptance of the terms of this letter of engagement by
signing in the space provided below.
Sincerely,
Albert F. Dribben

Re:
Application for Rezoning- Parcel K5-95-10
Grantland Courtney
Highway 18 E, Brandon, MS
To:
Rankin County Board of Supervisors
From: Roger and Louise Anderson
4084 Highway 18 E, Brandon, MS 39042
Gentlemen:
We oppose the application for rezoning of the above referenced for the following reasons:
1. As stated in the C-3 District, "The purpose of this district is t o provide relatively spacious
areas for the development of vehicle-oriented commercial activities which typically
require direct auto traffic access and visibility from major thoroughfares. This district is
intended to encourage those commercial activities which function relatively
independent of intensive pedestrian traffic and proximity to other commercial
establishments. In accordance with the adopted Goals and Objectives of the
Comprehensive Plan of Rankin County, the outdoor commercial uses (i.e., those in
which all or much of the business is conducted out-of-doors) first permitted outright in
this district shall be located well awav from all residential uses."
2. The property is in a residential neighborhood.
3. The proposed zoning classification of C-3 allows the following:
a. Vehicle sales, rental or lease and vehicle service.
b. Boat and marine sales, rental or lease and service.
c. Warehousing and storage, provided that all storage is within enclosed structures,
such as mini-warehouses.
d. Convenience stores.
e. Conditional uses - commercial recreational and entertainment enterprises, such
as golf driving or putting courses, water amusement parks, building materials
sales, heavy construction equipment sales and service, manufactured home and
recreational vehicle sales and services, truck stops, bars, liquor stores, sale of
fireworks.
f. Shopping centers.
Any of the above uses will prove detrimental to the neighborhood and infringe on our rights as
property owners to quiet enjoyment of our property. As you can see from the photo provided
to you, the existing property is an eyesore to the neighborhood. Highway 18 is a very busy
highway and accidents have happened in front of the property as a result of trucks backing into
the property and deliveries being made to the property.
Some history of the property owner's disregard for his neighbors is as follows:
Packet Pg. 89
Attachment: grantland courtney PH (RFA-2009-183 : Action on Grantland Courtney Rezoning Request)
10.J.a
He and our neighbor David Cooksey had a disagreement soon after he purchased the
property, so Mr. Courtney began walking across our property so that he could take
photos of Mr. Cooksey's property. When we asked him not t o do that, he stated that he
was in the highway right-of-way and could do whatever he wanted. When we further
explained that Roger worked at night and slept during the day and that Mr. Courtney's
actions were causing our dogs t o bark and wake Roger from much needed sleep, he
continued to ignore our request.
Additionally, rather than come over and ask us t o allow him t o have his electrical power
lines run from the power poles on our property, he left an arrogant message on our
answering machine demanding that we sign the permission document from the power
company. When we called the power company to inquire what would be required, we
were advised that they would have to cut down 30-40 trees. The trees serve as a sound
buffer to lessen the highway traffic noise. Cutting down the trees would have resulted
in additional traffic noise to our home, so we advised him that we would not agree t o
the request. Less work would have been required for running the electrical power lines
if he had asked his adjacent neighbor, David Cooksey for this right.
When he was clearing the property to build his building, trucks bringing building
materials used our driveway as a turnaround -without our permission. When we asked
him to stop doing this, he ignored our requests. At one point, the Rankin County
Sheriff's Department had to come out and direct traffic due to the problems he created
while his building was under construction.
Because of these incidents and others not stated, it is apparent to us that he will do
whatever he can t o irritate his neighbors. If the property were not overpriced, we
would buy it so that we would not have to deal with him and could return the property
to an esthetically pleasing property that would not detract from our neighborhood.
We respectfully request that you deny the request for rezoning.
Very truly yours,
Roger and Louise Anderson

REGARDING CLAIM FREE DISCOUNT
If you are a new applicant, the Claim Free Discount Plan, if in effect in your state, provides a premium discount if you have not had any claims considered
for the Plan in the fwe-year period before applying for coverage with State Farm. When rating new applicants, State Farm considers all claims, including
weather-related claims, that resulted in property damage or injury.
If you are a current policyholder and have been insured by State Farm for three or more years, the Claim Free Discount Plan provides a premium discount
if you have not had any claims considered for the Plan in the most recent three-year period since becoming insured with State Farm. Claims considered
for the Plan generally include claims resulting in a paid loss and, depending on the Claim Free Discount Plan that applies in your state, may include
weather-related claims. Additionally, if you have been insured with State Farm for less than three years, your claim record in the five-year period before
applying for coverage with State Farm may affect your eligibility for the Claim Free Discount. To find out whether a Claim Free Discount Plan is in effect in
your state and to leam more about the Plan and the claims we consider for the Plan, please contact your State Farm agent.
...
REGARDING CONSUMER REPORTS
Consumer reports, including credit and insurance loss history reports, may be ordered in conjunction with this application. We may also obtain and use a
credit-based insurance score developed from information contained in these reports. We may use a third party in connection with the development of your
insurance score. These reports provide information that assists with determining your eligibility for insurance and the price you are charged.
REGARDING YOUR COVERAGE AMOUNT...
The State Farm replacement cost is an estimated replacement cost based on general information about your residence. It is developed from models
assuming a variety of contents in a typical unit. The actual cost to replace your personal property may be significantly different. State Farm does not
guarantee that this figure will represent the actual cost to replace your personal property. You are responsible for selecting the appropriate amount of
coverage. Higher coverage amounts may be selected and will result in higher premiums.

REGARDING CLAIM RECORD RATING PLAN
The longer you are insured with State Farm, and the fewer claims you have, the lower your premium. Our Claim Record Rating Plan determines if a
premium discount or premium increase applies. The premium adjustment is based on the number of years you have been insured with State Farm and on
the number of claims that we consider for the Plan. Depending on the Claim Record Rating Plan that applies in your state, claims considered for the Plan
generally include claims with State Farm resulting in a paid loss. And depending on your state's Plan and your tenure with State Farm, any claims with
your prior insurer resulting in property damage or injury may also influence your premium. For further information about whether a Claim Record Rating
Plan applies in your state and to learn about the claims we consider for the Plan, please contact your State Farm agent.
