WADENA COUNTY BOARD OF COMMISSIONERS’ MEETING
July 7, 2026
The Wadena County Board of Commissioners’ Meeting was held on Tuesday, July 7th, 2026 in the
Wadena County Courthouse Small Courtroom at 415 Jefferson St. S., Wadena, Minnesota. The
meeting was called to order at 9:00 a.m. by Chairman Noon and all present recited the Pledge of
Allegiance.
Present were: Commissioners Bryan Winkels, Ron Noon, Jon Kangas, and Bill Stearns.
Commissioner Murlyn Kreklau was not present. County Attorney Kyra Ladd, County Engineer
Anthony Maule, Planning & Zoning/ Building Services Administrator Deana Malone, County
Administrator Colleen Winter, Transit Director Randy Jahnke, City of Wadena Planning and Zoning
Director Dean Uselman, City of Wadena Administrator Kim Schroeder, Wadena HRA Programs
Manager Tammy Trosdahl, Human Services and Human Resources Director/Deputy County
Administrator Jennifer Westrum, and Auditor/Treasurer Heather Olson.

REGULAR AGENDA ITEMS:
Approve Conditional Use Permit for Ryan Busch 02-001-2030: Planning & Zoning/Building
Services Administrator Deana Malone and Ryan Busch approached the Board with a conditional use
permit for expanding an existing self-storage facility in Blueberry Township. The use of uniformcolored containers, single story not stacked, and a well-maintained area and fence are included in the
conditions addressing neighbor concerns. The Planning Commission has recommended approval
with the above stated conditions.
Motion by Commissioner Kangas to approve the Conditional Use Permit, by Resolution, of Ryan
Busch on PID 02-001-2030 to expand a previously permitted storage facility to include shipping
containers with conditions as stated in Resolution 2026-23. Motion seconded by Commissioner
Stearns and carried unanimously.
Public Hearing for Proposed Tax Abatement on parcels 02-537-0030, 04-023-1010, 07-012-2010,
and 11-002-1015: This public hearing was opened at 9:17 a.m.
Approve Purchase of Trees for Old Wadena Campground from Tax Forfeited Land Sale Park
Reserve: Planning & Zoning/Building Services Administrator Deana Malone presented the proposal
to purchase ten Maple trees for $100 each from Williams Floral in Staples, using the Tax Forfeited
Park Reserve Funds. The Wadena County Parks employee will take care of watering these trees.
Motion by Commissioner Winkels to approve the purchase of 10 Maple sapling trees for planting at
Old Wadena Park at a total cost of $1,000, said cost to be paid from the Tax Forfeited Land Sale Park
Reserve Fund. Motion seconded by Commissioner Stearns and carried unanimously.
Approve the Petition of the Planning Commission and a Resolution to Amend the Subdivision
Ordinance #4: Planning & Zoning/Building Services Administrator Deana Malone brought forth
Resolution 2026-22 to amend the Ordinance allowing up to 4 splits resulting in 5 parcels including
remnant parcel. This amendment sets a standard to move forward, exceptions can be handled through
a variance process.
Motion by Commissioner Kangas to approve the Petition of the Planning Commission and
Resolution to amend the Subdivision Ordinance #4 as stated in the Petition. Motion seconded by
Commissioner Winkels and carried unanimously.
Friendly Rider 2027 Transit Operating and Capital Grant Resolution 2026-21: Transit Director
Randy Jahnke provided an overview of the transit budget cycle, deadlines, procurement schedule, and
operating/capital cost shares. For 2027 the local operating share is at 10% with the Capital local
share at 20%.
Motion by Commissioner Winkels to approve the Friendly Rider 2027 Transit Operating and Capital
Grant Resolution 2026-2 as presented, seconded by Commissioner Stearns. Motion carried
unanimously.

Public Hearing on Commercial Tax Abatement for parcel 17-300-0370: This public hearing was
opened at 9:32 a.m.
Approval of Final Payment of CP 080-002-026 Resolution 2026-24: County Engineer Anthony
Maule was present and requested Board approval of this resolution for final payment of the contract
to Corbin Excavating Inc. as all work has been completed.
Motion by Commissioner Stearns to approve Resolution 2026-24 authorizing final payment for CP
080-002-026 to Corbin Excavating Inc. of Sebeka in the amount of $6,036.41. Motion seconded by
Commissioner Winkels and carried unanimously.
Auditor/Treasurer Department Update: Auditor/Treasurer Heather Olson provided a
comprehensive overview of her office's responsibilities, including elections, tax maintenance and
collection, parcel transfers, budget oversight, licensing, County insurance oversight, and many
administrative functions. The field work of the 2025 Audit is just getting started. To note is that 53
housing tax abatements have been completed to date. The discussion concluded with a brief review
of ditch management responsibilities, noting that the financial components will remain with the
Auditor/Treasurer, per state statute, while the remaining responsibilities will transfer to the County
Administrator.
The Public Hearing for Proposed Tax Abatement on parcels 02-537-0030, 04-023-1010, 07-0122010, and 11-002-1015 was closed at 9:48 a.m. Chairman Noon made a final request for any public
comments, there were none.
MCIT Update: Auditor/Treasurer Heather Olson provided an overview of the June 10, 2026 hail
storm damage, reporting a total of 8 property claims and 10 vehicle claims received so far. Of the 10
vehicle claims, 1 belongs to the Assessor’s Office, 3 to Human Services, and 6 to the Sheriff’s Office.
Adjusters are onsite this morning conducting inspections of the Fairgrounds and Human Services
buildings.
Of the 10 vehicle claims filed countywide, 3 Human Services and one Sheriff’s Office vehicles were
declared total losses. Auditor/Treasurer Olson and MCIT recommended not buying back the
damaged vehicles due to long-term fiscal concerns.
Human Services and Human Resources Director/Deputy County Administrator Jennifer Westrum
explained that the Human Services department cannot complete daily services being short 3 vehicles
and reminded the Board that the department removed its planned 2026 vehicle purchase from the
budget to remain fiscally conservative, leaving no capacity to replace three totaled vehicles.
Commissioner Stearns asked how the Minnesota African American Family Preservation and Child
Welfare Act will affect her department when it is put into place 01/01/2027. She replied that the
‘Act’ will require expanded hours leading to increased client transportation to therapy, family
visitations and medical appointments further away. More staff in the field increases vehicle demand
and often large vehicles are needed, such as minivans or SUVs for children and car seats, she
estimated one additional vehicle would likely be needed beyond replacing the three destroyed cars.

Motion by Commissioner Stearns to authorize Human Services to purchase three vehicles
immediately using the MCIT insurance payout first, then up to $150,000 from the South County
Health Alliance Fund. Motion seconded by Commissioner Winkels and carried unanimously.
Auditor/Treasurer Olson clarified that MCIT cannot tow away totaled vehicles until the Board
authorizes transfer and Human Services would remain operational until replacements arrive.
The Public Hearing on Commercial Tax Abatement for parcel 17-300-0370 was closed at 10:05
a.m. Chairman Noon made a final request for any public comments, there were none.
A Break was taken from 10:07 – 10:17 a.m.
Housing Trust Fund Discussion: County Administrator Winter presented an update on Wadena
County's Housing Trust Fund, which currently holds $276,286 in state affordable housing set-aside
funds. The county needs to spend these funds by year-end and is proposing to use some of the money
to fund a new housing study, with the City of Wadena committing up to $15,000 through a
Sourcewell grant and the City of Wadena HRA contributing $7,500. There is also interest from the
City of Staples to contribute. Administrator Winter recommended reconvening the Housing Trust
Committee to establish guidelines and priorities, with a focus on expanding the committee to include
broader representation from communities like Verndale, Menahga, and Sebeka.
Auditor/Treasurer Olson expressed concerns about repeating past mistakes where studies were
conducted but not acted upon, emphasizing the need to ensure actual implementation of any new
housing plan. Auditor/Treasurer Olson confirmed that the policy already exists through the
Ordinance and that reporting and compliance has been done.
Wadena City Administrator Kim Schroeder added that a city-only study is $20,000 and a countywide study is $35,000. Also for further consideration, the City of Wadena could apply for
Sourcewell grants up to $15,000 but it would need to be run through the city, not the county.
It was the consensus of the Board that County Administrator Winter would research with the State
about using Housing Trust Fund funding for a housing study then reach out to inform the cities, and
report back to the full board after consulting the Housing Trust Committee.
Motion by Commissioner Stearns to approve reconvening the Housing Trust Committee to begin
updating guidelines, policies, and priorities, seconded by Commissioner Winkels. Motion carried
unanimously.
H2 Over Viewers Summary, Request for Board Action: County Administrator Winter presented a
detailed timeline for redetermining benefits of Wadena County Ditches 7 and 8 and joint ditches 2, 4,
and CD-2, and proposed a public hearing date of August 4, 2026, at 11:30 AM.
Auditor/Treasurer Olson clarified that this would be the Final Hearing and must be referred to as such
and also that CD 2 is included not CD 4.

After a discussion of the logistics for the final hearing venue, it was agreed to schedule the Final
Hearing the week of August 3 – 6, 2026, with the location to be determined.
Motion by Commissioner Winkels to move forward with the August 4, 2026 11:30 a.m. Final
Hearing for CD 7 & 8, seconded by Commissioner Noon.
Motion by Commissioner Winkels and seconded by Commissioner Noon to rescind the previous
motion to move forward with the August 4, 2026 11:30 a.m. Final Hearing for CD 7 & 8. Motion
carried unanimously.
Motion by Commissioner Winkels to have the Final Hearing on County Ditches 7 & 8 the week of
August 3 – 6, 2026 in the evening with the location to be determined. Motion seconded by
Commissioner Stearns and carried unanimously.
A Break was taken from 11:40 – 11:42 a.m.
ADA Courthouse Entrance Project: County Administrator Winter and County Engineer Maule
presented the final modified design for the ADA improvements at the courthouse, eliminating the
ramp connection to the annex and keeping the pine tree, while including steps as a bid alternative.
MnDOT will install the new curb ramp later this summer, after which time this project could begin.
Motion by Commissioner Winkels to approve a modified design that eliminates the ramp connection

Housing Tax Abatements: Auditor/Treasurer Olson presented the Housing Tax Abatements
applications for Board approval.
Motion by Commissioner Winkels to approve the Housing Tax Abatement for parcel 04-023-1010,
seconded by Commissioner Kangas. Motion carried unanimously.
Motion by Commissioner Winkels to approve the Housing Tax Abatement for parcel 11-002-1015,
seconded by Commissioner Kangas. Motion carried unanimously.

REGULAR AGENDA ITEMS:
Approval to Transfer Funds for Friendly Rider Facility: Transit Director Randy Jahnke
addressed the Board regarding invoices paid for the Friendly Rider new facility and the procedure.
County Engineer Maule explained that general obligation bond funds are reimbursement-based
meaning that the County pays them first, then goes through the reimbursement process which takes a
couple of weeks. The process was discussed.
Motion by Commissioner Winkels to approve transferring funds from the General Fund to Friendly
Rider Reserve Account as needed to cover costs until State Reimbursed GO Bonds are sent as
reimbursement, at which time Friendly Rider will transfer the funds back to the General Fund.
Motion seconded by Commissioner Stearns. A Roll call vote was taken: Kreklau – aye, Kangas –
nay, Stearns – aye, Noon – aye, Winkels – aye. Motion passed 4 – 1.

CP 080-112-004 Professional Land Survey Services Contract: County Engineer Maule went over
the proposed contract with O’Malley & Kron Land Surveyors, Inc. to develop a right-of-way plat for
a project on County Road 112 south of Verndale. The project involves shoulder widening, in-slope
flattening, and curve modifications, with a total cost of $16,800 that is budgeted for 2026 expenses.
Proposals were received from 5 different consulting firms and evaluated with O’Malley & Kron Land
Surveyors, Inc. found to offer the best value having met the requirements of the proposal and having
provided the lowest not-to-exceed contract cost.
Motion by Commissioner Kreklau to approve the agreement with O’Malley & Kron Land Surveyors,
Inc. for Professional Land Survey services for CP 080-112-004. Motion seconded by Commissioner
Kangas and carried unanimously.
Capital Building Projects Discussion: County Administrator Winter led the discussion about
upcoming county capital projects, with the goal of having the board prioritize them and noted that the
county website had switched to wadenacounty.gov, with staff already notified about the change.
County Administrator Winter then went through the Capital Building Projects list giving a brief
review of item and the current status. County Engineer Maule suggested prioritizing the Fairgrounds
fencing for yet this fall or early spring in order to have it completed by Fair time next year, or to
make provisions for temporary fencing again next year.
Planning & Zoning/ Building Services Administrator Deana Malone also joined the discussion to
discuss the Elevator Modernization. She has received one quote and a second is pending, the quotes
are expected to be a little over $100,000 for modernization only, not replacing it. She is also
exploring maintenance contract options with TKE. It was noted that the deadline for bringing the
elevator car up to code and be within compliance is 2028.
The discussion also touched on the condition of county highway shops and the possibility of
consolidating facilities.
The Board took a walking tour of the Fairgrounds at 10:10 – 11:08 a.m.
Capital Building Projects Discussion Continued: Following a tour of the 4-H grounds, the Board
reviewed key facility issues across county properties. Discussions focused on capital priorities, ADA
compliance, courthouse modernization, fairgrounds infrastructure, and coordination with city utility
work. The Top Priorities were identified as:

Wadena County Public Health Selected as
Buckle Up for Life Gift of Safety Partner
Wadena County Public Health is excited to announce that it has been selected
as a 2026–2027 Buckle Up for Life Gift of Safety partner, a nationally recognized
child passenger safety program sponsored by Toyota and Cincinnati Children's
Hospital Medical Center. This year's program was highly competitive, with only
36% of applicants selected.
Through this partnership, Wadena County Public Health will receive 50 new
child safety seats to distribute at no cost to eligible families and provide:
Education on proper child passenger safety to at least 110 parents,
caregivers, and community members; and
Training and resources to help ensure children are riding safely every trip,
every time
Motor vehicle crashes remain one of the leading causes of injury and death for
children. Properly installed, age and size appropriate car seats significantly
reduce the risk of serious injury. Through the Buckle Up for Life program,
Wadena County Public Health will provide child passenger safety education and
assist families who may otherwise be unable to afford a car seat.
The program runs from August 1, 2026, through July 31, 2027, and will include
child passenger safety education, car seat checks, and the distribution of free
car seats to qualifying families throughout Wadena County.
"Wadena County Public Health is grateful for the opportunity to partner with
Buckle Up for Life, Toyota, and Cincinnati Children's Hospital Medical Center,"
said Sarah Ness, Public Health Director. "This partnership allows us to improve

Wadena County Human Services has been asked to host a social work intern to satisfy internship requirements
by Southwest State University, Marshall, MN. This has been a beneficial arrangement for both the intern and
Wadena County Human Services in the past. This intern would be placed at Human Services from August 24,
2026 through December 31, 2026. Human Services has applied for an internship grant through Sourcewell and
funding for this internship position has been approved by Sourcewell. This funding excludes ESST and PFML
hours.
The intern would be reimbursed $15.00/hour for the entirety of the internship which will be reimbursed by
Sourcewell. Interns are not eligible for any benefits, however, will be eligible for Emergency Sick & Safe Time
(ESST). Based upon the 480 required internship hours, the intern would accrue 16 ESST hours. This is
equivalent to $240.00. How and if this would be paid to the intern is defined in policy. The County will also be
responsible for .39% of the Paid Family Medical Leave (PFML) costs as will the intern. This will amount to
approximately $280.80 for each.
The intern will be shadowing the Child Protection (CP) staff. As the internship progresses, the intern may have
some assigned duties as determined by the CP Supervisor.

WHEN STATE TAX BATTLES BECOME LOCAL PROPERTY TAX PROBLEMS
WHEREAS, local government leaders—including counties, school boards, and townships—have a
responsibility to protect the taxpayers who fund essential public services such as roads, schools,
emergency response, and local government operations; and
WHEREAS, rural communities across Minnesota are facing renewed uncertainty due to another major
property tax dispute between Enbridge and the State of Minnesota; and
WHEREAS, although the legal arguments are between a private company and the State, the financial
consequences fall directly upon rural communities that played no role in establishing pipeline valuations
or negotiating the dispute; and
WHEREAS, pipeline property valuations are determined exclusively by the State of Minnesota due to
their highly complex nature, and counties simply receive their share of property taxes based on those
assessments; and
WHEREAS, successful appeals or settlements by Enbridge may require local governments to refund tax
dollars already collected and already spent on community needs, despite having no involvement in the
valuation process; and
WHEREAS, the assessed value of Enbridge pipeline assets equals multiple billions of dollars statewide,
directly influencing tax bases that fund county government, school districts, townships, and other public
services, placing millions of dollars at risk when valuations are challenged; and
WHEREAS, refund obligations resulting from appeals force local governments to draw from reserves
and/or increase property tax levies, thereby impacting essential services such as public safety, road
maintenance, education, teacher salaries, library hours, and first responders; and
WHEREAS, Enbridge’s ongoing litigation against the State of Minnesota over pipeline valuations, while
within its legal rights, continues to generate collateral financial damage for communities that have no
seat at the negotiating table; and
WHEREAS, previous valuation disputes stretched across multiple tax years, creating prolonged financial
instability and leading to refund requirements large enough to threaten the fiscal sustainability of
several rural communities; and
WHEREAS, in 2021 the Minnesota Legislature appropriated nearly $30 million to protect local taxpayers
from bearing the full cost of these disputes, acknowledging that local governments should not become
collateral damage in state-level tax litigation; and

WHEREAS, without a new long-term solution, additional years of appeals remain likely, prolonging
uncertainty, burdening local governments with planning challenges, and increasing administrative and
legal costs; and
WHEREAS, the recurring disputes highlight a broader policy issue—specifically the need to strengthen
Minnesota’s pipeline valuation process to reduce appeals and shield local communities from their
impacts; and
WHEREAS, companies that rely on community support should recognize that repeated valuation
appeals undermine the financial stability of the very communities they claim to partner with; and
WHEREAS, every year without resolution forces rural communities to budget around uncertainty
they cannot control, potentially placing them at extreme financial risk, including the possibility of
bankruptcy; and
WHEREAS, local governments should not serve as the financial backstop for state tax litigation.
NOW, THEREFORE, BE IT RESOLVED that the Wadena County Board of Commissioners urges the State
of Minnesota and Enbridge to work together to establish a permanent solution that prevents rural
communities from bearing the financial burden of pipeline valuation disputes; and
BE IT FURTHER RESOLVED that rural Minnesota deserves long-term certainty, stability, and a
valuation system that does not leave communities vulnerable to repeated appeals and retroactive
financial obligations.

General Terms and Conditions for the Sale of Goods
by
Subsidiaries of ASH North America, Inc.
1. SCOPE AND VALIDITY
1.1. These General Terms and Conditions for the Sale of Goods (these
"Terms") govern the sale and delivery of all goods and products (the
"Products"), and all transactions incidental thereto, by such sub-sidiary
of ASH North America, Inc. identified on the respective Con-firmed
Order (as defined below) as the seller or supplier ("Seller") to any of its
customers (each a "Customer"). The liability of each such subsidiary
under these Terms or any Confirmed Order shall be several and not
joint. Customer acknowledges and agrees that nothing in these Terms
or any Confirmed Order shall be construed as implying joint lia-bility in
any case of ASH North America, Inc. or any of its subsidiaries. Each
Seller shall be solely responsible for its own acts or omissions under the
respective agreement with Customer.

cancellation occurs before Seller's commencement of production. In the
event Customer cancels any Confirmed Order for any reason and Seller
has started the production of the Product on the respective Con-firmed

2.7. Each Confirmed Order shall be considered a separate agree-ment
between the parties, and any failure to deliver the Products under any
Confirmed Order shall have no consequences for other deliveries of
Products.
3. PRICES
3.1. Unless otherwise agreed to by the parties in the applicable
Confirmed Order, the prices of the Products shall be FCA (agreed delivery location on the applicable Confirmed Order), Incoterms 2022.

1.2. No other terms or conditions shall be of any force or effect un-less
otherwise specifically agreed upon by Seller in a writing duly exe-cuted
by an authorized officer of Seller. These Terms supersede any and all
prior oral quotations, communications, agreements, or under-standings
of the parties in respect to the sale and delivery of the Prod-ucts. The
Seller may issue additional Terms and Conditions of Sale for certain
products. These shall apply in addition to to the present Terms. Any
additional or different terms or conditions contained in Customer's Order
(as defined below), response to Seller's confirmation, or any other form
or document supplied by Customer are hereby expressly rejected and
are rendered null, void, and of no effect. These Terms may not be
modified, amended, waived, superseded, or rescinded, ex-cept by
written agreement signed by an authorized officer of Seller. Delivery of
the Products by Seller does not constitute acceptance of any of
Customer's terms and conditions and do not serve to modify or amend
these Terms.

3.2. Unless otherwise agreed by the parties in a Confirmed Order, the
price of the Products shall not include transportation, insurance,
packaging, and Tooling (as defined below) and other materials used for
the manufacturing and delivery, sales or Heavy Vehicle Use Tax
(HVUT), other use tax or any other similar applicable federal, state or
foreign taxes, duties, levies, or charges in any jurisdiction in connection
with the sale or delivery of the Products ("Taxes"), Such Taxes shall be
payable by Customer, and if Seller is responsible for the collection
thereof, such Taxes shall either be added to the price invoiced or be
separately invoiced by Seller to Customer. Any special requests concerning shipping, transportation, and insurance shall be communicated
to Seller in a timely manner and subject to Seller's prior written approval. Customer shall bear all costs resulting from such requests.

1.3. The issuance of an Order (as defined below) by Customer to Seller
or any communication or conduct of Customer which confirms an
agreement for the delivery of Products by Seller, as well as ac-ceptance
in whole or in part by Customer of any delivery of Products by Seller,
shall be construed as Customer's acceptance of these Terms.

In case of lead delivery times of more than two (2) months, Customer
hereby acknowledges and agrees that Seller, may, at its sole discretion, increase or decrease the agreed prices on any Confirmed Order in
the event of material price changes in wages, materials, energy or raw
material after the date of the Confirmed Order.

2. OFFERS, ORDERS AND CONFIRMATION

4. PAYMENT TERMS

2.1. Unless otherwise specified by Seller in writing, all offers made by
Seller are not binding and may be revoked by Seller at any time without
any liability to Customer.

4.1. Except as set forth in Section 4.2 or unless otherwise agreed in
writing by Seller, the purchase price for the Products and all other
amounts due under a Confirmed Order shall be due and payable in US
dollars within thirty (30) days following the date of Seller's invoice for
such Products without any discount, deduction or offset whatsoever. In
no event shall any loss, damage, injury or destruction, Force Majeure
(as defined below), or any other event beyond Customer's control release Customer from its obligation to make the payments required
herein. Payment of all amounts due hereunder shall be made by bank
transfer or in any other manner set forth on Seller's invoice. Customer
shall be solely responsible for any bank fees, or other fees, incurred due
to the wire transfer or any other selected payment method. If Seller
agrees to payment by credit card, Seller shall charge an appropriate
transaction fee, which the Customer shall also pay.

2.2. Customer shall issue to Seller orders for the purchase of Prod-ucts,
in written form via the order process determined by Seller from time to
time (each, an "Order"). By issuing an Order to Seller, Customer makes
an offer to purchase the Products pursuant to these Terms and the
terms set forth on such Order. Provided that the Order contains the
same terms as in Seller's corresponding offer, the Order shall be binding on Customer for six (6) weeks after Seller's receipt of such Order.
2.3. Seller may refuse an Order for any or no reason. No Order is
binding upon Seller until Seller's acceptance of the Order in writing, the
issuance of any governmental permit, license, or authority to Seller, as
may be required under applicable laws, rules and regulations, and the
receipt by Seller of a resale license to be provided by Customer (a
"Confirmed Order").
2.4. Specifications and other information on drawings, data sheets,
pictures, plans, brochures, catalogs, or Seller's website shall not be
binding on Seller unless such specifications and information have been
agreed to in writing by Seller in a Confirmed Order. Notwithstanding a
Confirmed Order, Seller shall have no obligation to deliver Products to
Customer or otherwise fulfill any of its obligations set forth in a Confirmed Order if Customer is in breach of any of its obligations hereunder or any Confirmed Order.
2.5. Customer may submit to Seller written requests to change the
terms of a Confirmed Order (each such request, a "Change Order Request"). Seller may, at its sole discretion, consider such Change Order
Request, provided that Seller will have no obligation to perform any
Change Order Request unless and until Seller has agreed in writing to
adopt such Change Order Request. If Seller elects to consider such a
Change Order Request, then Seller shall promptly notify Customer of
any adjustment to the applicable purchase price for the Products.
2.6. In the event Customer cancels any Confirmed Order for any
reason, Customer shall reimburse to Seller all of Seller's costs and

to believe that there are circumstances that may have an adverse effect
on Customer's financial condition, Seller may require the Cus-tomer to
pay the total amount of the purchase price or fees, or a portion thereof
prior to the delivery of the Products. Seller may, without any liability to
Customer, refuse the delivery of any Product in the event the Customer
fails to make the payment as required under this Section 4.2.
4.3. Time is of the essence for the payment of all amounts due to Seller
under any Confirmed Order. If Customer fails to make payments of any
amount when due, Customer shall pay interest to Seller at the rate of
one percent (1%) per month or such lesser amount as may be permitted
by applicable law starting from the due date until payment to Seller of
such amount in full. In addition to the interest, Seller may, at its sole
discretion, charge the Customer a flat fee of $40 for each re-minder
notice issued to Customer due to late payments. If Customer fails to
comply with these Terms or a Confirmed Order, or if Customer becomes
insolvent, all balances then due and owing to Seller shall be-come due
immediately, notwithstanding any payment terms agreed by the parties.
All costs and expenses incurred by Seller with respect to the collection
of overdue payments (including, without limitation, rea-sonable
attorney's fees, expert fees, and other expenses of litigation) shall be
borne by Customer. Every payment by Customer shall first be

applied to pay for Seller's cost of collection, then interest owed by Customer, and then to the oldest outstanding claim.
4.4. Notwithstanding anything in the foregoing Section 4.3 or Sec-tion 5,
if the parties agreed on installment payments in a Confirmed Order and
Customer fails to make any installment payment when due, the
remaining balance including accrued interest, and any expenses
incurred by Seller shall be due and payable to Seller promptly upon
Customer's receipt of written notice of delinquency from Seller.

In such event, Customer shall be responsible for any and all costs and
expenses incurred, or damages or losses suffered by Seller in connection with any such delay notwithstanding any action or inaction by Seller
with regard to such delay. Any remaining Products that have not been
accepted by Customer within the extended delivery period deter-mined
by Seller will be delivered and invoiced by Seller to Customer and
Customer agrees to accept such delivery and pay for the purchase price
and other amounts payable for the delivered Products.
8. EXAMINATION AND CONFORMITY TO ORDER

5. SECURITY INTEREST
5.1. If Seller extends credit to Customer for the purchase price for any
Products (including but not limited to pursuant to Section 4.1.), or any
other amounts due to Seller, Customer hereby grants to Seller as
security for the timely payment and performance of all Customer's payment obligations to Seller, a first priority security interest (the "Security
Interest") in all Products heretofore or in the future delivered to Customer and in the proceeds thereof for as long as such Products shall not
have been sold by Customer in the ordinary course of business (the
"Collateral"). Seller shall be entitled to file any and all financing,
continuation, or similar statements under the Uniform Commercial Code
in any jurisdiction and take any and all other action necessary or
desirable, in Seller's sole and absolute discretion, to perfect its Security
Interest in the Collateral and to establish, continue, preserve, and protect Seller's Security Interest in the Collateral. Customer agrees to take
any and all actions and provide Customer with all information necessary to enable Seller to perfect and enforce its Security Interest in all
jurisdictions and vis-à-vis any of Customer's creditors, and hereby irrevocably grants to Seller a power of attorney to execute all necessary
statements or documents in Customer's name for the perfection and
enforcement of such Security Interest. The Security Interest shall remain in force until payment in full of the entire purchase price for such
Products, and any other amounts due to Seller by Customer. Seller
may, without notice, change or withdraw extensions of credit at any
time.
6. OBLIGATIONS OF CUSTOMER
6.1. Customer shall use the Products solely for their intended pur-pose
and pursuant to Seller's instructions, and agrees to use only qual-ified
personnel for the handling of the Products. Customer shall ensure that
its customers, employees, agents, and other representatives com-ply
with this Section 6.1. and shall be responsible for their acts and
omissions.
7. DELIVERY AND ACCEPTANCE
7.1. Unless otherwise agreed in writing by Seller, all deliveries of
Products shall be made FCA (agreed delivery location) (Incoterms
2020) and title to and risk of loss for the Products shall pass to Customer upon delivery pursuant to this Section 7.1.
7.2. Any delivery and performance times or dates communicated by or
on behalf of Seller are estimates and shall not be binding on Seller.
Seller may make partial delivery of Products to be delivered under any
Confirmed Order and invoice Customer separately for such partial deliveries or performance. If Customer has not received the Products after six (6) weeks from the estimated delivery date, Customer may make
a written request to Seller for delivery. Customer hereby acknowledges
and agrees that the actual delivery date of the Products is conditioned
upon the complete, accurate and timely delivery of materials from
Seller's vendors and suppliers. No delay in delivery of any Products
shall relieve Customer of its obligation to accept the delivery or performance thereof and make payments of any amounts due in accordance
with these Terms, including but not limited to delays caused governmental restrictions on exports or imports and similar measures.
7.3. Customer's failure to accept the delivery of Products pursuant to a
Confirmed Order shall not release or excuse Customer from its
obligation to timely pay all amounts due in connection with such Confirmed Order. The Products shall be deemed delivered at the time they
have been made available to Customer. If Customer rejects or revokes
acceptance of Products, or fails to pay any amounts when due, Seller,
in its sole and absolute discretion, may extend the period of delivery of
Products by such period as Seller may deem reasonable with such
period not exceeding three (3) months from the agreed delivery date, or
withhold or cancel delivery of any Products, or cancel any or all Confirmed Orders without any further obligations to Customer whatsoever.

8.1. Promptly upon receipt of any Products, Customer shall conduct a
full and complete inspection of such Products as to any defects and to
confirm compliance with all requirements of the applicable Con-firmed
Order. Customer shall notify Seller in writing of any packaging defects,
apparent defects, or non-compliance of such Products with the
applicable Confirmed Order that Customer has or could reasonably
have discovered during such inspection within seven (7) days from the
date of receipt of such Products, and Customer shall notify Seller in
writing within three (3) days of the date on which Customer shall first
have become aware of any hidden defect or non-compliance which
could not reasonably have been discovered during Customer's initial
inspection of the Products. Such notification shall include reasonable
details (including images) on the alleged defects including lot, batch, or
Order numbers.
8.2. If Customer fails to timely notify Seller of any defects or other noncompliance of any Products delivered or Customer (or its custom-ers,
employees, agents, or representatives) uses, destroys, or modifies any
Products that Customer knows or should have known to be defec-tive or
non-compliant without Seller's prior written consent, Customer shall be
deemed to have unconditionally accepted such Products and waived all
of its claims for breach of warranty or otherwise in respect of such
Products.
8.3. Customer may only return the Products to Seller with Seller's prior
written approval. If the return has been approved by Seller, Cus-tomer
shall return the Products to Seller at Customer's sole risk and expense
to the destination directed by Seller.
8.4. Complaints of Customer in connection with the shipping or transport
shall be directed to the carrier promptly upon receipt of the delivery or
the freight documents.
9. LIMITED PRODUCT WARRANTY
9.1. Seller warrants to Customer that the Products will be free of defects
in material and workmanship and conform with the require-ments set
forth in the applicable Confirmed Order for a period of twelve (12)
months from the date of delivery for new business Products and ninety
(90) days for after sales Products. (the "Limited Product War-ranty").
9.2. Unless expressly agreed to in writing by Seller, Seller makes no
warranty that the Products comply with applicable law, regulations, or
specifications in any jurisdiction in which the Products may be used,
integrated or incorporated. Any governmental or other approvals necessary in connection with the use, integration or incorporation of the
Products shall be Customer's sole responsibility.
9.3. The Limited Product Warranty shall be void if the Defect (as defined
below) resulted from (a) improper or inadequate use, storage, handling,
operation, integration, incorporation, assembly, mainte-nance, or
unauthorized alteration, modification, repair of the Products (including
without limitation, the use storage, handling, operation, or integration of
the Products contrary to written instructions and/or rec-ommendations of
Seller or inadequate training of personnel), (b) changes to construction
and materials pursuant to Customer's re-quests, (c) use of improper
tools, resources, or accessories including those but not limited to any
third party tools, resources, or accessories that are not approved by
Seller or not in accordance with Seller's rec-ommendations, instructions,
or directions, (d) acts or omissions of Cus-tomer or third parties
following delivery of the Product, (e) Customer's failure to properly
communicate Seller's instructions and warnings to users of the
Products, (f) Customer's, its employees, agents, repre-sentatives,
customers or any third party's non-compliance with appli-cable laws,
rules and regulation, (g) Force Majeure, or (h) ordinary wear and tear of
the Products (e.g., sweep bristles).

9.4. In the event of an alleged breach of the Limited Product War-ranty
(a "Defect"), Customer shall, at Customer's sole expense, send the
Product to Seller. Seller shall conduct the necessary tests on such
Product within a reasonable period. If Seller confirms the Defect, Seller
shall, at its sole option and discretion, repair or replace the Defective
Product. If the repair or replacement of the Defective Product is commercially unreasonable to Seller, Seller may, at its sole discretion, issue a refund to Customer in the amount Seller deems adequate. Such
repair, replacement, or refund shall be the sole liability of Seller and the
sole remedy of Customer with respect to a Defect. In no event shall any
warranty claims for a Defect be made after twelve (12) months from the
date of Customer's receipt of the Products. Any Products or parts
returned to Seller for removal or repair under this Section 9.4 shall be
the property of Seller. Any applicable Limited Product War-ranty period
shall not start anew with the repair or replacement of the Defective
Product (or any portion thereof).
9.5. Except for Limited Product Warranty, SELLER HEREBY EXPRESSLY EXCLUDES AND DISCLAIMS ANY AND ALL OTHER
WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT
NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR
NONINFRINGEMENT. Seller makes no other warranties with respect to
the Products, and no person is authorized to make any warranties on
behalf of Seller that are inconsistent with the warranties set forth under
this Section 9.
10. LIMITATION OF LIABILITY
10.1. IN NO EVENT SHALL SELLER BE LIABLE TO CUSTOMER, ITS
CUSTOMERS, EMPLOYEES, AGENTS, AND OTHER REPRESENTATIVES FOR ANY INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, OR USE, WHETHER IN AN ACTION IN CONTRACT, TORT,
STRICT LIABILITY, OR IMPOSED BY STATUTE, OR OTHERWISE,
EVEN IF SELLER WAS ADVISED OF THE POSSIBILITY OF SUCH
DAMAGES. NOTWITHSTANDING ANY OF THE TERMS CON-TAINED
HEREIN, SELLER'S LIABILITY FOR ANY CLAIM - WHETHER BASED
UPON CONTRACT, TORT, EQUITY, NEGLI-GENCE, OR ANY OTHER
LEGAL CONCEPT - SHALL IN NO EVENT EXCEED THE PURCHASE
PRICE PAID BY THE CUSTOMER FOR THE PRODUCTS, GIVING
RISE TO SUCH CLAIM. CUSTOMER HEREBY ACKNOWLEDGES
AND AGREES THAT THE PROVI-SIONS OF THESE TERMS FAIRLY
ALLOCATE THE RISKS BE-TWEEN SELLER AND CUSTOMER,
THAT SELLER'S PRICING RE-FLECTS THIS ALLOCATION OF RISK,
AND BUT FOR THIS ALLO-CATION AND LIMITATION OF LIABILITY,
SELLER WOULD NOT HAVE ENTERED INTO AN AGREEMENT
WITH CUSTOMER FOR THE SALE OF THE PRODUCTS.
10.2. Seller shall not be liable for, and Customer assumes responsibility and shall indemnify, defend, and hold Seller harmless for any and
all claims, including without limitation claims for personal injury or property damages, resulting from (a) the improper or inadequate use, storage, handling, operation, assembly, integration, incorporation, assembly, maintenance, or unauthorized alteration, modification, or repair of
the Products (including without limitation, the use storage, handling,
operation, or integration of the Products contrary to written instructions
and/or recommendations of Seller or inadequate training of personnel),
(b) changes to construction and materials pursuant to Customer's requests, (c) use of improper tools, resources, or accessories including
those but not limited to any third party tools, resources, or accessories
that are not approved by Seller or not in accordance with Seller's recommendations, instructions, or directions, (d) acts or omissions of Customer or third parties following the delivery of the Products, (e) Customer's failure to properly communicate Seller's instructions and warnings to users of the Products, or (f) Customer's, its employees, agents,
representatives, customers or any third party's non-compliance with
applicable laws, rules and regulation, (g) Force Majeure, or (h) ordinary
wear and tear of the Products (e.g., sweep bristles).
10.3. In jurisdictions that limit or preclude limitations or exclusion of
remedies, damages, or liability, such as liability for gross negligence or
willful misconduct or do not allow implied warranties to be excluded, the
limitation or exclusion of warranties, remedies, damages, or liability set
forth in these Terms are intended to apply to the maximum extent
permitted by applicable law, and these Terms shall be deemed

amended to comply with such limitations or exclusions. Customer may
also have other rights that vary by state, country or other jurisdiction.
11. CONFIDENTIALITY
11.1. "Confidential Information" means: (i) any know-how, trade secrets, and other business or technical information of Seller that is confidential or proprietary or due to its nature or under the circumstances of
its disclosure the Customer knows or has reason to know should be
treated as confidential or proprietary, including but not limited to quotations, drawings, project documentation, samples and models.
11.2. Confidential Information does not include information that: (i) is or
becomes generally known to the public through no fault or breach of
these Terms by the Customer; (ii) is rightfully known by the Customer at
the time of disclosure without an obligation of confidentiality; (iii) is
independently developed by the Customer without use of Seller's Confidential Information; (iv) is rightfully received by the Customer from a
third party without restriction on use or disclosure; or (v) is disclosed
with Seller's prior written approval.
11.3. Customer shall not use Seller's Confidential Information except as
necessary to use the Products and will not disclose such Confiden-tial
Information to any third party except to those of its employees, agents,
subcontractors, or representatives who have a bona fide need to know
such Confidential Information to enable Customer to use the Products;
provided that each such employee, agent, subcontractor, and/or
representative is/are bound by a written agreement that con-tains use
and nondisclosure restrictions not less stringent than the terms set forth
in this Section 11.3. The Customer will employ all rea-sonable steps to
protect Seller's Confidential Information from unau-thorized use or
disclosure, including, but not limited to, all steps that it takes to protect
its own information of like importance. The foregoing obligations will not
restrict the Customer from disclosing Seller's Con-fidential Information:
(i) pursuant to the order or requirement of a court, administrative
agency, or other governmental body, provided that the Customer gives
reasonable notice to Seller to contest such order or requirement; (ii) to
its legal or financial advisors; and (iii) as required under applicable
securities regulations.
11.4. In the event of a violation or threatened violation of Customer's
obligations under this Section 11, Seller shall be entitled to seek equitable relief, including in the form of a restraining order, orders for preliminary or permanent injunction, specific performance and any other
relief that may be available from any court, without the requirement to
secure or post any bond, or show actual monetary damages in connection with such relief. These remedies shall not be deemed to be
exclusive but in addition to all other remedies available under these
Terms, at law, or in equity.
12. INTELLECTUAL PROPERTY
12.1 Seller reserves the sole and exclusive ownership of the intellec-tual
property rights in the Products (including but not limited to the technology used to manufacture the Products) and any improvements
thereof regardless of inventorship or authorship. Customer shall not
(and shall cause its employees, agents, representatives and custom-ers
to not) reverse engineer, decompile, disassemble, or decode any of
Seller's intellectual property embedded or used in any of the Prod-uct.
13. FORCE MAJEURE
13.1. Seller shall not be responsible for any failure or delay in its performance under these Terms due to causes beyond its reasonable
control, including, but not limited to, disruptions of the public power
supply, communications, and transportation infrastructure, governmental measures, malware or hacker attacks, fire, extraordinary
weather events, epidemics, pandemics (or any government restrictions
implemented as a result thereof), nuclear and chemical accidents,
earthquakes, war, terrorist attacks, labor disputes, strikes, lockouts,
shortages of or inability to obtain labor, energy, raw materials or supplies, or other acts of God.
14. MISCELLANEOUS
14.1. If any provision contained in these Terms or any Confirmed Or-der
is held by final judgment of a court of competent jurisdiction to be
invalid, illegal, or unenforceable, such invalid, illegal, or unenforceable

provision shall be severed from the remainder of these Terms or such
Confirmed Order, and the remainder of these Terms or such Confirmed
Order shall be enforced. In addition, the invalid, illegal, or unenforceable provision shall be deemed to be automatically modified, and, as so
modified, to be included in these Terms, such modification being made
to the minimum extent necessary to render such provision valid, legal,
and enforceable.
14.2. Seller may assign its rights and/or delegate its liabilities under any
Confirmed Order at any time. Customer may not assign its rights or
delegate its responsibilities under a Confirmed Order without Seller's
prior written consent.
14.3. Seller's waiver of any breach or violation of these Terms or the
provisions of any Confirmed Order by Customer shall not be construed
as a waiver of any other present or future breach or breaches by Customer.
14.4. The parties hereto are independent contractors and nothing in
these Terms will be construed as creating a joint venture, partnership,
employment, or agency relationship between the parties.
14.5. Notices by a party regarding the exercise of rights and obliga-tions
under these Terms must be signed by authorized representatives of
such party, and delivered via courier, mail, or e-mail to the other party's
address indicated in the applicable Confirmed Order, provided that a
notice by e-mail shall only be validly given if receipt thereof is
acknowledged in writing by the recipient.
15. ENTIRE AGREEMENT; CONFLICTS.
15.1. These Terms, including the applicable Confirmed Order, constitute the entire and exclusive agreement of the parties regarding the
subject matter hereof and supersede any and all prior or contemporaneous agreements, communications, and understandings (both written
and oral) regarding such subject matter. In the event of a conflict between the provisions of these Terms and the provisions of a Confirmed

Order, the provisions of the Confirmed Order will govern and control.
Seller may amend or modify these Terms from time to time. Seller may,
at its sole discretion, provide Customer with written notice of any such
changes, revisions, amendments, or modifications, provided, however
that any such changes, revisions, amendments, or modifications shall
become effective without any further action by any party and that they
shall not apply to any Confirmed Order prior to the effective date of such
changes, revisions, amendments, or modifications.
16. APPLICABLE LAW AND JURISDICTION
16.1. These Terms and the Confirmed Orders shall be governed by and
construed in accordance with the laws of the State of Wisconsin without
giving effect to any choice or conflict of law provision or rule that would
defer to or cause the application of the substantive laws of any
jurisdiction other than Wisconsin. The parties hereby expressly ex-clude
the application of the 1980 United Nations Convention on Con-tracts for
the International Sale of Goods.
16.2. Any dispute, controversy, or claim arising out of or relating to
these Terms and any Confirmed Order, including but not limited to the
execution, performance, or termination thereof or to any issue of liability arising out of the performance of these Terms or any Confirmed
Order, which the parties have not been able to settle amicably shall be
submitted to the exclusive jurisdiction of the state or federal courts with
jurisdiction in the County of Calumet, Wisconsin, provided that notwithstanding the foregoing, Seller shall be entitled to seek specific performance and injunctive relief in any court of competent jurisdiction. Each
party hereby waives any and all claims, pleas, or defenses (including
without limitation a plea for forum non conveniens) that would permit
such party to seek the jurisdiction of any courts or arbitration tribunals
other than those set forth in the preceding sentence.
16.3. EACH PARTY HEREBY WAIVES, TO THE FULLEST EXTENT
PERMITTED BY APPLICABLE LAW, ANY RIGHT IT MAY HAVE TO A
TRIAL BY JURY IN ANY LEGAL PROCEEDING DIRECTLY OR INDIRECTLY ARISING OUT OF OR RELATING TO THESE TERMS.

As part of the 2027 Road and Bridge Budget and 10 Year Equipment Replacement Program, the Highway
Department has a line item budgeted every year for the replacement of heavy equipment. Attached is a proposed
purchase agreement for a new Tandem Axle Cab and Chassis based on Minnesota State contract prices. A quote was
received from RDO Truck Centers Co. in Fargo, ND via State Contract Number 242588 for a 2027 Tandem Axle Cab
& Chassis. It should be noted that RDO has indicated that it’s pricing includes Mack’s 2027 model year pricing.

$161,488.00

Once purchased the cab and chassis will need to be sent off to be outfitted with plows and equipment. Delivery of
the fully outfitted plow truck would be estimated to be around October, 2027.

Dear Commissioners,
On October 14th, 2025 the Wadena County Board of Commissioners as Drainage Authority for the
portion of JD3 located in Orton Township in Wadena County held an obstruction hearing in accordance
with Minnesota State Statute 103E.075 regarding complaints that the landowner of Parcel R090134030
had constructed unauthorized crossings of the ditch that were creating obstructions. At the obstruction
hearing the Board of Commissioners ordered the following as cited from the October 14th, 2025 Board
meeting minutes:

Obstruction A:
o “ 24” culvert obstruction recognized as Obstruction A be removed and replaced with a
48” culvert by 07/01/2026.”
Obstruction B:
o “ remove additional rocks they placed in the ditch by July 1, 2026.”

o “ The landowner must also execute a Hold Harmless Agreement and record it as well as
apply for appropriate crossing requests as needed.”

A follow up inspection was performed by Anthony Maule, Wadena County Engineer with the presence
of the landowner on July 16th , 2026. On the pages that follow is a summary of that inspection:

• The 24” culvert noted in this location has been removed and replaced with a 48” CMP culvert as
ordered by the Board of Commissioners

Obstruction B:
• The Board had authorized an additional crossing in this location on 11/4/25. The landowner
stated that they were unable to complete installation of this crossing because of the elevations of
the adjacent ditch banks made this not feasible. The landowner has deemed the crossing
unnecessary and has abandoned plans to install a crossing in this location.
• The original crossing which lacked a culvert has been removed and the landowner has removed
the large rocks they placed in the ditch as ordered by the Board of Commissioners.
• Some large rocks remain in the ditch bottom, but the landowner had noted and the Board
acknowledged the presence of large rock in the ditch bottom prior to the landowner’s
construction of the trail that obstructed the ditch.

Housing Survey and Housing Trust Fund

Background
On July 30, 2026, Wadena County, area city representatives, WCEDA, and the Wadena HRA met to discuss ongoing
housing needs and the renewed request for a regional Housing Study. Prior Board discussions in July highlighted
stakeholder support for conducting a new study and the need to coordinate next steps with the Housing Trust Fund
Committee.
Housing Study Funding
The study cost is $36,000, with $32,500 already secured from the Initiative Foundation, Wadena HRA/Sourcewell,
and the Greater MN Housing Fund. A remaining gap of $3,500 is expected to be filled through contributions from
the cities of Staples, Wadena, and Menahga, pending approval by their respective Boards.
While the County holds Housing Trust Fund dollars, it is unclear whether those funds can appropriately be used for
this specific expense. Because the study is time-sensitive—MState needs the results to advance financing for
student housing—waiting for a determination on Housing Trust Fund eligibility could delay the project. So with
others participating in the study it would be appropriate for the County to also participate at this time.
Recommendation
CA Winter recommends that the County participate in the Housing Study at a cost not to exceed $1,500, funded
through County reserve funds rather than the Housing Trust Fund, to ensure timely completion of the study.

Housing Trust Fund/SAHA discussion
The committee reviewed the County’s ordinance establishing the Housing Trust Fund and the funding source
currently supporting it—Statewide Affordable Housing Aid (SAHA), which the County has received since 2023. The
statutes governing the Housing Trust Fund and SAHA are separate. SAHA funds must be spent on a qualifying
project by December 31 in the fourth year following the year after the aid was received.

SAHA dollars may also be considered “spent” if both of the following conditions are met:
• The County demonstrates to Minnesota Housing that it is unable to expend the funds on a qualifying project by the
statutory deadline due to circumstances outside its control.
• The funds are transferred into the local Housing Trust Fund.
The committee recommends that the County Board formally request Minnesota Housing to consider these
conditions, noting that significant staff turnover at the County, WCEDA, and WHRA has contributed to delays and
impacts the County’s ability to meet expenditure deadlines.

The committee further recommends formalizing a Housing Committee structure that includes the representatives
who attended the July 30 meeting, as well as those unable to attend. This committee would develop guidelines and
parameters for the use of Housing Trust Fund dollars, evaluate additional funding sources, and provide a
coordinated approach to housing initiatives.
There was broad agreement that housing is a critical economic development tool for Wadena County and that
Housing Trust Fund dollars should be directed in a strategic way to address the needs.

Move to direct CA Winter to formally request that Minnesota Housing consider Wadena County’s SAHA funds as
“spent” under statutory provisions allowing such classification when (1) the County is unable to expend the funds
on a qualifying project due to factors outside its control, and (2) the funds are transferred to a local Housing Trust
Fund. Further, move to establish a formal Housing Committee consisting of representatives from the July 30
stakeholder meeting and additional invited members, with the charge of developing guidelines, parameters, and
funding strategies for the Housing Trust Fund, evaluating SAHA-eligible projects, and coordinating future housing
initiatives.

1. Welcome & Introductions
Everyone introduced themselves and shared their organization and role.
2. Housing Study Update
The process completed so far was shared with the committee. Funding currently secured
for the county-wide housing study by Maxfield totals $32,500. This includes $7,500
Initiative Foundation Grant and $15,000 Sourcewell Grant to Wadena HRA, and Greater
MN Housing Fund has committed $10,000 to be paid directly to Maxfield.
With $3,500 still needed for the project, the committee discussed additional funding
options. The following entities committed (pending board approvals) putting funds
towards the housing study: WDA $1,000, City of Staples $1,000, Wadena County up to
$1,500, and City of Menahga $500. The City of Wadena committed to covering up to
$500 for incidentals, with further discussion if more funds are needed. An updated
housing study proposal will be emailed to the committee members to review.
3. Housing Trust Fund: Where We Are Today
Wadena County created Ordinance No. 20 establishing a local housing trust fund. The
county received Statewide Affordable Housing Aid (SAHA) funding in 2023, 2024, 2025,
and 2026 totaling $297,000. There are eligibility requirements for how these funds can
be used. The funds for 2023 need to be committed to an eligible project by the end of
2026. With the short time frame and turnover of staff, the county can demonstrate
circumstances outside its control for not having these funds committed. The county will
contact Minnesota Housing for next steps to hold these funds in the HTF to be in
compliance.
4. Housing Trust Fund Committee
A Housing Trust Fund (HTF) Committee will need to be created as an advisory
committee. The committee members will be the following: Jennifer Westrum, Colleen
Winter, Alison Medeck, Commissioner Murlyn Kreklau, Commissioner Ron Noon, Dean
Uselman, Brett Gagnonpalick, Melissa Current, Cheryl Hahn, Jerel Nelsen and Tammy

Trosdahl. This ensures all communities are represented. This committee will be
responsible for creating priorities and process for this funding. Ultimately, funding
projects will go before the county board for approval.
There are other counties that have HTF Programs that the committee can look at for
ideas. It was recommended to research other counties who levy through the HRA to
acquire additional funds for the housing trust fund.
It was recommended that developers who access TIF or tax abatement are ineligible to
access additional funds through the HTF. Another recommendation from the committee
is to consider loans instead of grants from the HTF to create a revolving fund.
5. Moving Forward
• Pending board approvals, the following is committed to the housing study: WDA
$1,000, City of Staples $1,000, Wadena County up to $1,500, and City of
Menahga $500.
•

The County Administrator will contact Minnesota Housing to hold 2023 funds in
the HTF.

•

The HTF Committee will review current county housing and commercial
abatement policies, review other counties HTF programs, and appoint a chair,
vice-chair, and secretary at next meeting.

•

Tammy will contact Maxfield to move forward with the housing study and
research levy options for Housing Trust Fund through HRA.

•

Alison Medeck will contact Minnesota Housing Partnership (MHP) to have a
representative available to consult with the whole committee at upcoming
meeting.
