AN INTERGOVERNMENTAL AGREEMENT
CONCERNING MULTI-USE PATH CONSTRUCTION AND MAINTENANCE
THIS INTERGOVERNMENTAL AGREEMENT (“Agreement”) is made and
entered into this ___ day of August, 2026 (“Effective Date”) by and between the VILLAGE OF
WORTH, an Illinois municipal corporation (“Worth”), and the CITY OF PALOS HEIGHTS,
an Illinois municipal corporation (“Palos”) (collectively, Worth and Palos are the “Parties,” and,
sometimes individually, a “Party”).
W I T N E S S E T H:
WHEREAS, Worth and Palos are each municipal corporations duly organized and
existing pursuant to the Illinois Municipal Code (65 ILCS 5/1-1, et seq.); and
WHEREAS, Article VII, Section 10, of the 1970 Constitution of the State of Illinois
encourages and provides for units of local government to contract and otherwise associate to
exercise, combine or transfer any power of function; and
WHEREAS, Worth and Palos are public agencies within the meaning of the Illinois
Intergovernmental Cooperation Act as provided for in Illinois Compiled Statutes, 5 ILCS
220/1, et seq.; and
WHEREAS, the purpose of the Intergovernmental Cooperation Act and Article 7,
Section 10 of the Constitution of the State of Illinois includes fostering cooperation among
units of local government in planning and providing services to their constituents; and
WHEREAS, Worth has secured funding to construct a paved bicycle and pedestrian
path generally connecting the Palos Heights Metra Station on the west and the parking lot
serving Altman Park and Water’s Edge Golf Club on the east (“Path Project”), which will
enhance local and regional bicycle and pedestrian connectivity; and
WHEREAS, a portion of the Path Project is located within Palos’ jurisdiction and on
land that Palos occupies pursuant to a lease agreement with the Metropolitan Water
Reclamation District; specifically, the Path Project includes a multi-use path measuring +/-8
feet in width and +/-347 feet in length that connects to the Palos Heights Metra Station, all as
generally depicted and described in Exhibit A (“Palos Trail”); and
WHEREAS, the Parties intend that the Path Project including, without limitation, the
Palos Trail, be part of a trail network that qualifies as a “trail” for tort immunity purposes under
Illinois law; and
WHEREAS, the Parties wish to enter into this Agreement to establish each Party’s
rights and responsibilities concerning the Palos Trail;
1
NOW, THEREFORE, in consideration of the foregoing recitals, pursuant to their
powers of intergovernmental cooperation and in consideration of the mutual promises and
covenants hereinafter set forth, and other good and valuable consideration, the receipt and

including, without limitation, Worth’s right to maintain, operate, and make the Palos Trail open
and accessible for public use. Palos reserves the right to utilize property under its control in a
manner that does not materially interfere with Worth’s rights under this Agreement including,
without limitation, granting other non-exclusive licenses or easements.
Section 4.
INDEMNIFICATION. To the fullest extent permitted by law, each Party
shall defend, indemnify, and hold the other Party and its elected and appointed officials, officers,
administrators, employees, volunteers, and agents, harmless against any and all liability, loss,
expense, including reasonable attorneys’ fees, or claims for injury or damages arising out of the
Party’s negligence or willful and wanton conduct.
Section 5.

less than what it maintains for itself in its normal course of business, including commercial
general liability and workers’ compensation/employer’s liability, for claims arising from Worth’s

foregoing policies that are applicable to the Palos Trail, and Worth shall provide evidence of

FIRST AMENDMENT TO AGREEMENT FOR THE OPERATION AND
MAINTENANCE OF A COMMUTER STATION FACILITY IN THE
CITY OF PALOS HEIGHTS
THIS FIRST AMENDMENT, Metra Agreement No. SW9461-1, dated this ___ day of
__________, 20___, shall amend and modify the Agreement for Operation and Maintenance of
Commuter Station Facility entered into November 9, 2004, (“Agreement”) between the
Commuter Rail Division of the Northern Illinois Transit Authority, a division of an Illinois
municipal corporation (“Metra”) and the City of Palos Heights, an Illinois municipal corporation
(“Municipality”) for the Municipality’s operation and maintenance of a Station Facility, as such
is defined in the Agreement. Metra and Municipality are hereinafter sometimes singularly referred
to as a “Party” and jointly referred to as the “Parties”.
RECITALS
A.
Metra and the Municipality entered into the Agreement whereby Metra granted the
Municipality permission to manage, operate, and maintain the Station Facility.
B.
The Agreement allocates certain maintenance obligations between Metra and the
Municipality, and the Parties acknowledge that, with respect to certain maintenance
responsibilities assigned to Metra, Metra may, from time to time, request that the Municipality
perform such obligations on Metra’s behalf, subject to reimbursement by Metra.
C.
The Parties desire to amend the Agreement to expressly authorize the Municipality
to perform certain maintenance obligations otherwise assigned to Metra, and to establish the terms
and conditions governing such performance and reimbursement.
NOW, THEREFORE, for and in consideration of the foregoing recitals, which by this
reference are hereby incorporated into this First Amendment, the mutual agreements set forth
herein and other good and valuable consideration, the receipt, and sufficiency of which are hereby
acknowledged by the Parties, the Parties agree to amend and modify the Agreement as follows:
1.
The following shall be inserted as the new Section 4(f):
(f)
Metra may, from time to time, request the Municipality to perform Metra’s
obligations regarding maintenance, replacements, or repairs (“Work”) on Metra’s
behalf. Only upon receipt of a written request from Metra, Municipality may, at its option,
affect such Work, provided that Metra shall have prior written notice of Municipality’s
intention to so perform, and Municipality shall not begin any Work until it receives a
written notice to proceed (“Notice to Proceed”) from Metra. Said Notice to Proceed shall
contain any restrictions that may be necessary regarding work to be performed, plan
approval and any procedures required for reimbursement of funds for the cost of any Work
performed on behalf of Metra. It is further agreed that Metra shall be under no obligation
to pay for any costs arising from Work performed prior to receiving, or falling outside the
restrictions or scope of, the Notice to Proceed. All such Work shall be done lien-free and
in a good and workmanlike manner consistent with the quality of labor and materials used
Page 1 of 3
in originally constructing such improvements and in accordance with all applicable laws
and Railroad requirements and regulations to be advised by Metra.
2.
Section 4 of the Agreement is hereby amended by deleting the term ‘heating plant’ and
replacing it with ‘integrated HVAC system’ wherever it appears.
3.
To the extent the provisions of the amended Agreement are in conflict with the provisions
of this First Amendment, the provisions of this First Amendment shall control.
4.
Terms, not otherwise defined herein, shall have the same meanings ascribed to them in the
Agreement. The remaining terms, covenants, provisions, and conditions of the amended
Agreement shall remain in full force and effect.
(Signature Page to Follow)

M.E. Simpson Co., Inc. | Valve Assessment Program
SCOPE OF SERVICES
Valve Assessment and Exercise Program
At M.E. Simpson Co., Inc., our Valve Assessment and Exercising Program is designed to help utilities ensure
the operability, accuracy, and reliability of critical valve assets across their water distribution systems.
Much like other buried infrastructure, water valves are subject to deterioration, corrosion, and neglect—
issues that can lead to severe service disruptions if left unaddressed. Our program combines decades of
field expertise with disciplined procedures and precision tools to provide water utilities with precise,
actionable data to maintain and optimize their valve networks.
Field Scope of Service
M.E. Simpson Co., Inc. will conduct comprehensive valve assessments in the water distribution system as
determined by the Utility. Here's a condensed breakdown of our field scope of service:

M.E. Simpson Co., Inc. will supply all necessary resources, including
labor, materials, transportation, tools, and equipment
A minimum of Two Persons per team will work on the valve assessment
at all times
Field staff will work in an orderly and safe manner, wearing readily
observable identification badges
We will adhere to the safety specifications outlined for equipment use
Review water maps to locate valves as indicated
Conduct visual inspections and utilize appropriate equipment to locate
valves accurately
Document mapping discrepancies and update existing maps accordingly
Maintain a progression map indicating valves that have been assessed
Apply environmentally formulated paint for future identification
Due to inherent limitations in underground utility detection—such as
incomplete records, site-specific interference, topography, soil

OPTIONAL SERVICE: HYDROV® SEIZED
VALVE RELEASE
Seized Valve Release Services Program
As an additional service option, M.E. Simpson Co., Inc.’s Seized Valve Release Services Program offers
utilities a field-proven and patented solution to these challenges by combining expert personnel with our
HydroV® Valve Release System—a specialized tool designed to safely and effectively release seized valves
without damaging critical infrastructure.
Our program supports municipal utilities in regaining control of their system by releasing previously
immobile valves and returning them to functional service. The HydroV® system is designed specifically for
this task, using a controlled application of torque and vibration to gently and gradually overcome the
resistance of stuck valve components. This approach minimizes the risk of valve breakage and adheres
strictly to AWWA torque specifications, ensuring both the safety of the system and the integrity of the
asset.
Field Scope of Service
M.E. Simpson Co., Inc. will provide and use the HydroV technology on selected seized valves in the water

PROJECT SAFETY PLAN
M.E. Simpson Co., Inc.’s Safety Programs cover all aspects of the work performed by M.E. Simpson Co.,
Inc. We take great pride in our safety program, and that is evident in our EMR scores over the last five
years. The safety of our employees, the utilities employees, and that of the general public is our #1
priority.
“Safety is a significant part of any project. M.E. Simpson Co., Inc. consistently provides a safe work
environment for its employees. Our staff is trained in General Industry OSHA rules, Confined Space
Entry & Self-Rescue, First Responder First Aid, CPR, and Traffic Control. While in the field on your
project, M.E. Simpson Co., Inc., and its employees will follow all of the necessary safety procedures to
protect themselves, your staff, and the general public.”
Our Safety Program, with all of its parts, is 140 pages in length. To be more efficient and less wasteful, we
do not print copies of the safety program for RFPs. There is nothing secretive or proprietary contained
within our safety program, and we are happy to share its contents. If you would like a PDF copy, please
contact Terrence Williams, Vice President of Operations, at (800) 255-1521, and a copy will be sent to you
via email.
M.E. Simpson Co., Inc. uses Two-Person Teams for Safety and Quality Assurance.
The use of a “one-person” team is dangerous. Many of the utilities' assets are located in roadways,
treatment facilities, and confined spaces. For safety, M.E. Simpson Co., Inc. always deploys a two-person
team.
M.E. Simpson Co., Inc. adheres to the following:
The Project Manager and the Project Leader will be trained in accordance with OSHA Standard 1910
(General Industry) and have an OSHA 10-Hour or 30-Hour Card.
Any activity located in a "confined space", such as pit and vault installations that require entry, will be
treated per the safety rules regarding Confined Space Entry, designated by the Utility, the Department
of Labor, and OSHA. All personnel are trained in Confined Space Entry & Self-Rescue.
We will follow all safety rules regarding First Aid & CPR, designated by the Utility, the Department of
Labor, and OSHA. All personnel are trained and certified in First Aid & CPR.
We will follow all traffic safety rules designated by the Utility, the Department of Labor, OSHA, and
the Department of Transportation. All personnel are trained and certified by the AMERICAN TRAFFIC
SAFETY SERVICES ASSOCIATION (ATSSA) in Traffic Control and Safety.
Current documentation of safety training and certifications can be provided for all Utility project
personnel. These certifications are current and up to date for all project personnel.
