MAYOR ESPOSITO
Thank you to Tim Murry, Supervisor of York Township, for accommodating the Oakbrook
Terrace Regular City Council Meeting while the City Council Chambers are under construction.
Provided an update on the Council Chambers renovation, noting that progress is proceeding
smoothly. The processors have been installed, an 115-inch television has been mounted, and
programming is underway.
Mayor Esposito expressed appreciation for the Oakbrook Chamber’s Inspiring Leadership
Award and Luncheon, thanking those who participated in the nomination and voting process, as
well as those who attended.
Thanked all who attended the City’s Annual Pumpkins in the Park event.
Noted that police officers will patrol the streets on Halloween and that speed bumps will be
placed on MacArthur Drive to help ensure the safety of children who are trick-or-treating.
The City will join the Village of Villa Park at the VFW Post 2801 on Wednesday, November 11,
at 11:00 a.m., for a Veterans Day observance honoring local veterans. All are welcome to
attend
XI.
COMMITTEE OF THE WHOLE
1. Pumpkins in the Park Memo
M. Tannehill reported that Pumpkins in the Park was a great success, with nearly 150
residents in attendance. The total cost of the event was $8,804.89, which included a tractorpulled hayride, face painters, three inflatables, refreshments, pumpkins, and goody bags for
each child. The Mayor generously provided brats for attendees, while Chief Calvello handled
the grilling. The total cost also included the printing and mailing of informational flyers to

every household. Overall, the event featured a variety of activities and attractions for
residents to enjoy.
2. Luminaries Discussion
The City’s annual tradition of placing luminaries along the driveways on December 24th will
continue this year. An additional 1,000 lanterns were purchased last year and will be used
for this year’s display.
Aldermen were unanimously in favor of continuing the tradition.
3. Department Head Updates
M. Headley – Community Development
Major Permits Issued: 27 permits have been issued since the last department head update,
including new tenant buildouts for Boot Barn and Edward Jones, interior remodels for
Chicago Oakbrook Financial Group and Synaptix, sign permits for the BP-to-Mobil
conversion and Premier Tax/Premier Law, and driveway permits for 17W466 Karban. Panel
delivery is tentatively scheduled for November 5.
Major Permits Under Review: Commercial remodel for ICI at 1 Mid America Plaza, a new
nail salon at 1S550 Route 83, and a café remodel at the Joint Commission.
Business Updates: One Salon & Spa celebrated a well-attended grand opening. Legacy
Physical Therapy and Wellness is now open, with a grand opening scheduled for Thursday
from 4–8 p.m.
Inspections and Zoning: Annual aesthetics inspections are complete, with follow-up
inspections underway. A text amendment addressing timber retaining walls and fences is
scheduled for the Planning & Zoning Commission meeting on November 17.
C. Ward – Public Works
The front-end loader has been delivered. The one-ton dump truck is currently being
assembled and is expected to be ready shortly after the new year. All state-required truck
inspections have been completed. Fall cleanup throughout the City is underway, including
winterizing the irrigation systems.
D. Clark – Police
Police Commissions has extended two lateral offers and started the process with another
lateral hire. Congratulations to Sgt. Mellons who was promoted as Assistant Commander to
the DuPage County Merit Forensic Investigation Unit County Wide Task Force.
Police officers will be out and present for Halloween passing out candy.
Alderman Rada asked if the police department is fully staffed with the three recent lateral
hires. D. Clark replied, one more hire would bring it to full staff.
Alderman Biskup commented that the police do a fantastic job on Halloween with their
police presence.
Alderman Barbari asked whether any police officers left the City over the last few months; D.
Clark replied that one officer retired and another left voluntarily.

XII.
COUNCIL MEMBER COMMENTS
Alderman Greco thanked Tim Murray for his hospitality.
The Aldermen congratulated Mayor Esposito on receiving the Inspiring Leadership Award,
noting that it was well deserved.
Alderman Petro shared information he found on the social media regarding, “Have I Been
Flocked”. He expressed concern that data, including financial and health information, could
potentially be shared with foreign corporations.
Attorney Ramello suggested that the concern may relate to the misuse of flock cameras and
third parties attempting to obtain information.
Mayor Esposito stated that flock cameras have been beneficial in helping the City’s Police
Department solve crimes and that no misuse of the cameras has occurred in OBT.
D. Clark added that an audit process is in place to monitor access to flock cameras. The
process includes the supervisor auditing officer’s use of the cameras, while D. Clark audits the
supervisor.

Re:
Insurance Renewals 2027
Date:
November 6, 2026
We are approaching the renewal period for the City’s Property, Casualty, and Workers’
Compensation insurance coverage as well as Group Health Insurance. Staff have obtained
updated quotes and pricing from our insurance broker, Marsh Agency.
Marsh Agency continues to serve as the City’s broker for risk management services, and we
believe they consistently prioritize the City’s best interests in securing coverage. The proposed
insurance package provides comprehensive protection, including general liability, automobile,
property, equipment, law enforcement, crime, workers’ compensation, cyber (privacy), and
extended coverage. All current policies are scheduled to expire on December 31, 2026.
The Workers’ Compensation renewal reflects a 26.5% increase from last year. This increase is
primarily due to increase in payroll as we see 24.4% increase over the prior year’s estimates.
There is also a small increase in rate due to claims history.
The Illinois Public Risk Fund (IPRF), one of the state’s largest workers’ compensation carriers
and our long-standing provider, has allocated a 2027 Safety Grant of $46,270 to the City of
Oakbrook Terrace.
The Cyber Liability renewal from HCC came in flat with no increase.
The Storage Tank Pollution Liability renewal increased by 9.8%, due to the aging of the tanks
and the associated higher risk of failure and claims. It is recommended that the tanks be replaced
before reaching 20 years of service.
We are continuing with Obsidian as the City’s Property and Casualty insurance carrier, given the
2-year rate guarantee.

Group Health
Since 2015, the City has provided the current HMO plan and high-deductible health plan
(HDHP) PPO for eligible employees through Blue Cross Blue Shield and Blue Shield of Illinois
with a health savings account. We have been satisfied with these plans and the ease of claim
handling.
During our renewal process Blue Cross Blue Shield provided the following:
Rate Relief for medical reduced the renewal from 15.4% to 10%, an estimated annual savings of
approximately $38,676. Bundling discounts bring the final medical renewal to 10%.
Dental-Vision-Life
During our renewal process Blue Cross Blue Shield provided the following:
Rate Relief for dental reduced the renewal from 20% to 18%, an estimated annual savings of
approximately $855. Bundling discounts bring the final dental renewal to 18%.
Vision and Life Insurance renewed with no increase in cost.
Voluntary Benefits
The following new benefits, available through The Standard, will be offered on a 100%
employee-paid basis.
➢
➢
➢
➢
➢
Voluntary Life and AD&D
Short & Long Term Disability
Accident
Critical Illness
Hospital Indemnity
Overall, I believe the proposed renewals provide the City with comprehensive insurance
protection while maintaining continuity of coverage with our current providers. Although certain
lines of coverage have experienced increases, we have worked with Marsh Agency to secure rate
relief where available and identify opportunities to manage costs without compromising
coverage. The addition of voluntary employee-paid benefits also provides employees with
expanded options for supplemental coverage at no additional cost to the City.

Re:
2026 Property Tax Levy Estimate
Date:
November 10, 2026
Each year, the first step of the tax levy process involves adopting a tax levy estimate for purposes of
holding a public hearing (if required).
Although Oakbrook Terrace is a home rule community, the City Code contains a provision placing the City
under similar limitations imposed by the property tax cap. Pursuant to PTELL (Property Tax Extension
Limitation Law), two factors determine how much the City can increase its levy by each year: the equalized
assessed valuation (EAV) of new construction and the year-over-year change in inflation (as measured by
the Consumer Price Index or CPI).
As shown on the Exhibit A, after two consecutive years of low inflation (levy years 2015-2016), CPI
returned to more of a historical norm in 2017 of 2.1%. After holding right around 2.0% in levy years
2018 through 2020, CPI fell to 1.4% in 2021, before skyrocketing to 7% (capped at 5% - lessor of 5% or
CPI per PTELL) in 2022 followed by 6.5% in 2023. As of 2025 CPI beginning to slowly reduce and as of
today is at 2.7%. For this year’s levy new construction EAV is currently estimated by DuPage County at
$63,288 which would generate additional property tax proceeds of $227.41 for the City, for an
estimated grand total of $30,838.29 in additional property taxes that could be levied under PTELL.
The City’s actuary, Foster and Foster, recommended a 2026 Police Pension levy of $1,400,108 which is
$75,876 more than last year’s recommendation of $1,324,232. As you can see, the Total Recommended
Contribution shows an increase from the May 1, 2025 actuarial valuation report. The increase is mainly
attributable to an increase in normal cost, an increase in assumed administrative expenses, and the
natural increase in amortization payment due to the payroll growth assumption. The increase was offset
in part by the application of Open Amortization Method.
Plan experience was unfavorable overall on the basis of the plan's actuarial assumptions. Sources of
actuarial loss included the disablement of 1 active employee and an average salary increase of 9.45%
which exceeded the 6.42% assumption. These losses were offset in part by gains associated with an
investment return of 8.19% (Actuarial Asset Basis) which exceeded the 6.50% assumption and more
turnover than expected.
Beginning in 2016, Public Act 96-1495 authorizes the Illinois Comptroller to withhold local government
distributions to municipalities that do not fund the full actuarial recommendation for the police pension.
Accordingly, the City has no choice, but to finance the police pension or face reductions in state shared
taxes. Furthermore, this Act requires the City to achieve a 90% funded actuarial liability by April 30,
2040. The City is on target to be 100% funded in 2040. The current funding level of the Police Pension
Fund is 93.3% (as calculated by dividing the market value of assets of $28,910,573 by the accrued
liability of $39,877,283), which is up from last year’s funding level of 83.1%.
17 W 275 Butterfield Road, Oakbrook Terrace, Illinois 60181
Phone (630) 941-8300 FAX (630) 617-0036
Based on the information presented above, it is the recommendation of staff that the City increase its
levy by 2.7%. An increase of 2.9% over last year’s property tax extension would bring this year’s
requested levy to $1,172,997.11 an increase of $30,838.29. Inclusion of new construction in the amount
of $227.41, brings the total levy request to $1,173,224.52, an increase of 2.70% over the $1,142,158.82
extended last year.
A tentative timeline for the 2026 tax levy process is presented below:
•
November 10th (City Council) - Tax Levy Estimate review and approval
o Tax Levy Estimate must be adopted 20 days prior to City Council approval of levy
•
December 8th (City Council) - Approval of the Tax Levy Ordinance
o Must be filed with Dupage County before the last Tuesday in December (December 31h)

City of Oakbrook Terrace
October 19, 2026
November 10, 2026
Fiscal Year 2028 Budget Calendar Detail
Budget Kick-off, new guidelines and any changes for the FY 2027 Budget are discussed and worksheets are
distributed to Department Heads.
Property tax levy estimates (35 ILCS 200/18-60) must be determined not less than 20 days prior to the
adoption of the actual levy.
November 27, 2026
Department Heads must submit their FY 2028 proposed Budget and updated capital improvement requests
on BS&A Portal. Department Heads must include all supporting documentation justifying changes in service
levels and activities. In addition, Departments link their proposed budgets to the strategic goals.
December 1 – 31, 2026
Department Heads review their budgets with the City Administrator. The City Administrator reviews
Department budgets in light of major increases, new programs, and to ensure the Departments complied with
the budgetary guidelines for the year. The City Administrator also reviews the departmental budgets for
mistakes and accuracy in calculation of their requests. Finally, the City Administrator reviews the
Department requests to determine if certain requests achieve overall strategic goals. Department Heads will
make any necessary changes and re-submit their revised budgets to the City Administrator.
December 8, 2026
Truth in Taxation Hearings (35 ILCS 200) are required by all governmental units in Illinois when the
proposed levy is 105% more than the prior year. The purpose of the Truth and Taxation hearings is to
disclose through publication and public hearing proposed levy increases in excess of 105%. Public hearings
and notices are only required when the levy exceeds the prior year’s final extension by 105%. The notice of
the Truth and Taxation hearing must be published in a local newspaper not more than 14 days nor less than 7
days prior to the actual public hearing date. If the proposed levy is less than a 105% increase, then no hearing
or notice is required.
December 8, 2026
The levy is adopted by the Council and must be filed with the County Clerk’s Office by the last Tuesday in
December. The City Council through separate ordinance (following the levy of taxes) may abate or reduce
the levy (reduce the property tax collections) for a specific amount that the City has other resources available
to pay for debt service.
January 18, 2027
The City Administrator/Finance Director reviews final Department requests in light of revenue
considerations.
February 16, 2026
Once the City Administrator/Finance Director reviews all Departmental budget requests, the proposed FY
2028 Budget is submitted to the City Council. The City Council begins their budget evaluations and analysis.
BUDGET WORKSHOP
During the budget meetings special consideration is paid to the level of employee pay, pensions, insurance,
and other benefits which typically represent 60% of the City’s General Fund budget. All revisions and
changes resulting from these meetings will be incorporated in the final proposed FY 2028 Budget.
March 18, 2027
April 1, 2027
The proposed Budget will be available for public inspection at City Hall. Illinois Budget Law (65 ILCS 5/82-9.1) requires municipalities to have a draft edition of the Budget be available for public inspection at least
ten (10) days before approval. A notice of the public hearing will be published in the local paper.
April 20, 2027
Illinois Budget Law (65 ILCS 5/8-2-9.1) requires municipalities to hold a public hearing prior to the
adoption of the Budget. The Budget can be adopted anytime after the public hearing. Notice of the public
hearing shall be published in the newspaper at least one week before the budget hearing.
April 20, 2027
City Code and State Statute requires that the Budget must be adopted prior to the beginning of the fiscal year
or May 1. The City’s Budget is adopted through ordinance and the Capital Improvement Fund’s five (5) year
plan is adopted through resolution.
May 20, 2027
The FY 2028 Budget will be filed with the DuPage County Clerk as required by State Statute within 30 days
of adoption.
July 20, 2027
The FY 2028 Budget must be filed with the GFOA within 90 days of City Council approval for the
Distinguished Budget Presentation Award System.

Re:
AT&T Cellular Antenna Lease
Date: November 2, 2026
In June of the year 2000, the City of Oakbrook Terrace entered a lease
agreement with AT&T Wireless. AT&T Wireless installed cellular antennas
on our elevated water storage tank. The original lease agreement was for
30 years, terminating in the year 2030 and we are nearing year 27 of the
lease agreement and AT&T would like to extend the lease with the City.
Attached is the original lease agreement as well as the new proposed lease
agreement and rent calculator.
It is my recommendation to extend the lease the full 25-year term rather
than increments of 5 years.

LICENSE AGREEMENT
THIS LICENSE AGREEMENT (“Agreement”), dated as of the date below, is entered into by City of Oakbrook Terrace,
a municipal corporation, with a Tax ID# of 36-2489485 having its principal office at 17 West 275 Butterfield Road,
Oakbrook Terrace, Illinois (sometimes hereinafter referred to as “Licensor” or “City”) and AT&T Wireless PCS, LLC, a
Delaware Limited Liability Company, by and through its agent, AT&T Wireless Services, Inc., d/b/a AT&T Wireless Services,
having an office at 8700 W. Bryn Mawr Avenue, Chicago, Illinois 60631-9005 (hereinafter referred to as “Licensee”)
(Licensor and Licensee sometimes herein referred to as “the Parties”).
BACKGROUND
Licensor owns that certain plot, parcel or tract of land, together with all rights and privileges arising in connection
therewith, located at 17 W 150 Butterfield Road, in the City of Oakbrook Terrace, DuPage County, State of Illinois
(collectively “Property”), the Property being further identified on the Legal Description of the Property attached hereto as
Exhibit 1. Licensee desires to use a portion of the Property in connection with its federally licensed communications business.
THE PARTIES AGREE AS FOLLOWS:
1.
LICENSE, (a) Subject to the terms of this Agreement, Licensor hereby grants Licensee: (1) the non
exclusive use of a portion of the Property consisting of a space of approximately Seven-hundred forty (740) square feet
(approximately 20 feet by 37 feet) (sometimes hereafter called the “Communications Room” or “CR”) located within the
Licensor’s building at the site which is anticipated to be constructed in the Fall of the year 2000; (2) the exclusive use (subject
to the terms contained herein) of a portion of the CR measuring approximately Four-hundred (400) square feet
(approximately 20 feet by 20 feet), the specific location of which shall be subject to the reasonable approval of the City Water
Department but which must meet the technical requirements of Licensee in order to conduct Licensee’s proposed activities
identified herein (said exclusive space sometimes hereafter called the “Licensee’s Equipment Room” or “LER”); and (3) space
on the water storage structure (sometimes hereafter called “The Water Tower”) plus such easements as are necessary for the
installation and maintenance of the antennas as described on attached Exhibit 2 (the CR, LER, space on the water storage
structure, and all easements are sometimes herein collectively referred to as "Premises"). It is understood by the Parties that
Licensee will not be the only entity obtaining a license for use of the Property in connection with federally licensed
communications businesses, and that part of the gross square footage of the CR may need to be shared by Licensee with other
licensees. It is understood by the parties that beyond construction of the floor, walls, and ceiling of the LER, the City shall
bear no expense for meeting the technical requirements of Licensee.
(b)
The Parties understand there will be three general periods of time related to this Agreement.
(i)
First, Licensee and its agents, engineers, surveyors and other representatives are in the
process of completing all testing necessary to satisfy Licensee that the Property is in such
1

condition that Licensee desires to execute this contract, having inspected, examined,
conducted soil borings, drainage testing, material sampling, and other geological or
engineering tests or studies of the Property (collectively the “Tests”). The period of time
beginning with Licensee commencing its Tests and ending with the commencement with
the Government Approvals Period as defined herein is hereinafter sometimes referred to
as “the Testing Period.”
(ii)
Upon completion of the Testing Period, Licensee will apply for and must obtain licenses,
permits, approvals, or other relief required of or deemed necessary or appropriate, at
Licensee’s sole but reasonable discretion, for its use of the Premises and include without
limitation applications for zoning variances, zoning ordinances, amendments, special use
permits, and construction permits (collectively referred to as “Governmental Approvals”),
and otherwise to do those things on or off the Property that, in the opinion of Licensee,
are necessary to determine the physical condition of the Property, the environmental
history of the Property, Licensor’s title to the Property and the feasibility or suitability of
the Property for Licensee’s Permitted Use, all at Licensee’s expense. Any further testing
by Licensee shall not commence without at least seven (7) business days of prior written
notice to Licensor, and the express written approval of the City Engineering Consultant.
Licensee’s further testing cannot proceed until Licensee and Licensee’s contractors have
obtained insurance and bonding sufficient to cover all aspects of Licensee’s Tests,
including the cost of site restoration as noted in subsection (c). The period of time that
immediately follows the completion of the Testing Period wherein Licensee is in the
process of obtaining the Government Approvals shall hereinafter be called the
“Government Approvals Period.”
(iii)
Upon the effective date of all Government Approvals for applications under consideration
in May and June, 2000, the Use Period will commence. The effective date of all
Governmental Approvals shall be called the “Commencement Date” of this Agreement,
and will trigger all obligations of Licensee under this Agreement herein, including but
not limited to the payment of the monthly license payments, as defined below. Licensee
shall be permitted to reduce each of the first twelve (12) monthly license payments by two
hundred fifty dollars ($250.00) if the Commencement Date is within four (4) months of
the execution of this Agreement.
(c)
Licensee shall obtain all Government Approvals prior to commencing any construction on the
Property, and shah comply with all bonding requirements required by the City’s Code of Ordinances and approved by the City
Attorney, whose approval shall not be unreasonably withheld, conditioned or delayed. To the extent they differ, Licensee shall
obtain a bond in an amount sufficient to guarantee the expense of site repair and restoration plus a reasonable sum representing

the cost of the City’s oversight, whether directly or through a retained professional. Licensee shall obtain insurance in an
amount sufficient to cover the risk ofloss to the City of any or all aspects of the water system improvements on the Property,
in the discretion of the City Engineer and City Attorney. The form of the bond shall be determined by the City Attorney.
Licensee’s insurance requirement is set forth in Section 7. Notwithstanding any other provision to the contrary, Licencee’s
subcontractors shall have at least the following insurance coverages: (a) worker's compensation - statutory limits; (b)
employer's liability - One Hundred Thousand Dollars ($100,000.00); and (c) comprehensive general and commercial
automobile liability as follows: (i) combined single limit (covering personal injury liability and property damage liability) of
not less than Two Million Dollars ($2,000,000.00) for total claims for any one occurrence and not less than Five Million
Dollars ($5,000,000.00) for total claims in the aggregate during any policy year; (ii) independent contractor's liability or
owners’s protective liability with the same coverage as of (c)(1) above; (iii) products/completed operations coverage which shall
be kept in effect for two (2) years after completion of Tests or Test Activities hereunder; (iv) "XCU" hazard coverage, if
applicable; (v) personal injury endorsements; (vi) blanket contractual liability endorsement; and (vii) business interruption
insurance in a form mutually agreed to by Licensee and Licensor.
(d)
In consideration of Licensor executing this Agreement prior to the completion of the Testing Period,
Licensee hereby agrees to pay Licensor the sum of Five Thousand Dollars ($5,000.00) upon execution of this Agreement
(sometimes hereinafter “Execution Fee”). The Testing Period will last no longer than one (1) year (Testing Period Completion
Date) and may be extended (sometimes hereinafter referred to as “a Testing Period Extension”) by Licensee for one additional
six (6) month period (1) upon written notification to Licensor no later than thirty (30) days prior to the expiration date of the
Testing Period Completion Date, plus (2) the payment of a sum equal to one monthly payment under the terms of year one
of the Agreement (“Extension Fee”). Prior to the expiration of the Testing Period, by giving written notice to Licensor,
Licensee shall have the right to elect to terminate this Agreement so as to avoid further obligations and forfeit the rights
provided for herein, if, in its sole discretion, due to the title results, survey results or Tests, it determines the condition of the
Premises is unsatisfactory or if Licensee believes that the use of the Premises would expose Licensee to undue risks of
government action or intervention or third party liability, in which case Licensor shall be entitled to keep the entire Execution
Fee and Extension Fee, if any. Licensee shall, with all due diligence, take all steps necessary to ensure the issuance of all
Government Approvals within twelve months of the execution ofthis Agreement (“Government Approvals Completion Date”).
In the event Licensee is unable to obtain all Governmental Approvals prior to the expiration of the Government Approvals
Completion Date, Licensor shall be entitled to keep the Execution Fee and Extension fee, if any. Pursuant to section l(b)(iii),
Licensee shall be permitted to reduce each of the first twelve (12) monthly license payments by two hundred fifty dollars
($250.00) if the Commencement Date is within four (4) months of the execution of this Agreement.
2.
PERMITTED USE. (a) Subject to prior zoning and building approval, and subject to Licensee’s obtaining
all Government Approvals, Licensee may use the Premises for the following: (i) to construct, install, operate, maintain, repair,
replace, protect and secure its communication fixtures and related equipment, cables, accessories and improvements
(collectively, the “Communication Facility”); (ii) the transmission and reception of communications signals; and (iii) any
activities related to the foregoing. Licensee is also entitled to install on the structure up to fifteen (15) antennas, and any other

accessories appropriate to the successful and secure operation of the Communication Facility. The location of the Premises
including the location of the Antennas are substantially described herein on Exhibit 2. Licensor and Licensee agree that
Exhibit 2 depicts Licensee’s proposal of the initial installation of equipment and that it does not limit Licensee’s rights under
this paragraph. Licensor’s execution of this Agreement will signify Licensor’s approval of Exhibit 2, but said approval is
subject to the approval of Licensor’s engineer, the approval of the Director of Building and Zoning, and any other approvals
reasonably required by the City. Licensee has the right to (i) install and operate transmission cables from the equipment to
the antennas, electric lines from the main feed to the equipment, and communication lines from the main entry point to the
equipment; and (ii) erect, construct or make Property improvements, alterations or additions (“Licensee’s Changes”)
appropriate for Licensee's use, subject to Licensor’s prior written approval, which shall not be unreasonably withheld, and
which shall be based on legal and engineering standards. Licensee’s Changes, if permitted by law, may include enclosing
or sheltering equipment, capping or modifying any sprinkler system in the equipment space, adding HVAC, and storing sealed
batteries in the equipment room/cabinet, on the structure, or at another location mutually agreed upon by the Parties.
(b) Unless specifically provided for herein, Licensee’s permitted uses are non-exclusive and limited to the
extent they preclude other feasible uses by other actual or potential licensees of the Property. This Agreement is non-exclusive
and in no way precludes Licensor from licensing the Property or portions of the Water Tower not reserved to Licensee to third
parties for telecommunications or other purposes, subject to the provisions of paragraph 8 herein. In no way shall Licensee
be permitted to use the Property in such a manner as to harm or interfere with the City of Oakbrook Terrace’s water supply
or system or the City’s public safety communications.
(c) Subject to zoning approvals, it is expressly understood by the parties that following the Commencement
Date as defined herein, Licensee may employ a temporary cellular apparatus commonly known as a Cell on Wheels (sometimes
hereinafter “COW”), and may operate said COW at the Property subject to the approvaL of the City in general, and the water
department in particular, and subject to any and all permits required by the City. The COW must be removed from the
Property pursuant to the time limitations found in the City Code, or within five (5) days after Licensee occupies the LER,
whichever is less. It is expressly understood that this paragraph only contemplates that if Licensee is otherwise permitted to
use a COW temporarily during construction of the building to house the CR, and if Licensee in fact employs the temporary
use of a COW, then Licensor shall be entitled to the monthly license fee as addressed herein. Nothing contained in this
paragraph should be construed as the City’s waiver of any rights not specifically addressed herein, and this paragraph shall
not be construed as Licensor’s waiver of the right to collect the monthly Licensee Fee if Licensee does not employ the
temporary use of a COW.
3.
INSTALLATIONS. Licensee agrees to comply with all applicable governmental laws, rules, statutes,
ordinances, codes and regulations relating to its use of the Communication Facility on the Property. Licensee has the right
to modify, supplement, replace, upgrade and expand the equipment, increase the number of antennas up to the maximum
allowed by this Agreement or relocate the Communication Facility within the Premises at any time during the term of this
Agreement, subject to the approval of the City Engineer, which approval shall not be unreasonably withheld. Licensee will
be allowed to make such alterations to the Property in order to accomplish Licensee’s Changes or to insure that Licensee’s

Communication Facility complies with all applicable federal, state or local laws, rules or regulations. Licensee shall not
interfere or permit die interference, by Licensee’s use under this Agreement, with any other telecommunications uses and/or
pre-existing equipment, no matter where such uses and/or equipment is located or based, subject to the provisions ofparagraph
8. Further, while this Agreement provides that no use of Licensee shall be of such a nature as to occupy any location beyond
the premises, the City, at its sole and absolute discretion and without waiving any of Licensor’s rights, may permit Licensee
to use portions of the Property beyond the Premises.
4.
TERM, (a) The initial license term will be ten (10) years (“Initial Term”), commencing upon the
Commencement Date, as defined in paragraph 1 (b)(iii). The Initial Term will terminate on the last day of the month in which
the tenth annual anniversary of the Commencement Date occurred.
(b) This Agreement will automatically renew for up to four (4) additional five (5) year Term(s) (the
“Extension Term”), upon the same terms and conditions unless, before the end ofthe applicable Term, the Licensee (i) notifies
the Licensor in writing of Licensee’s intention not to renew this Agreement at least ninety (90) days prior to the expiration
of the existing Term and (ii) returns and restores the Premises and the Property to its original condition as required hereafter.
(c) If Licensee remains in possession of the Premises or any part thereof after the termination or expiration
of the final Term of this Agreement then Licensee will be deemed to be occupying the Premises on a month to month basis
(the “Holdover Term”), at a fee of one hundred fifty percent of the then current annual fee paid monthly (Annual Fee
multiplied by 1.5 divided by 12 months is the “Holdover Fee”), and subject to the terms and conditions of this Agreement.
However, Licensee shall be permitted a single thirty day period of time (sometimes hereinafter “Grace Period”) to remove its
property from the Premises at a holdover price of 150% of the cost of the last monthly payment, which will be due and payable
on or before the fifth business day of the Grace Period. If Licensee ceases said holdover (including the removal of all its
property) within the first 21 days of the Grace Period, the Holdover Term will be accelerated to the terminate at the end of
the Grace Period, and Licensee will not be required to make any further payment for the Holdover Term, although no prorated
credit will be given to Licensee for the remainder of the Grace Period.
(d) The Initial Term, Extension Term(s) and Holdover Term are collectively referred to as the Term
(“Term”).
5.
LICENSE FEE. (a) Commencing on the CommencementDate as defined above, Licensee will pay Licensor
an annual license fee, care of the City Finance Director at the address set forth herein, on or before the 5th business day of prior
to each anniversary of the Commencement Date in advance or to such other person, firm, or place as Licensor may, from time
to time, designate in writing at least thirty (30) days in advance of any due date. The License Fee will be prorated for any
partial year, with no pioration provided for partial months. The monthly license fee during the Term shall be Two-Thousand,

provided for under the provisions of this Agreement, as follows:
(a) by the non-defaulting party on thirty (30) days prior written notice, if the other party remains in default
under Paragraph 15 of this Agreement after the applicable cure periods;
(b) by Licensee on sixty (60) days prior written notice, if Licensee is unable to obtain, maintain, or otherwise
forfeits or cancels for reasons outside the reasonable control of Licensee, any required approval(s) or the issuance of a license
or permit by any agency, board, court or other governmental authority necessary for the construction or operation of the
Communication Facility as now and hereafter intended by Licensee; or if the Premises become unsuitable for Licensee’s
operation of the Communication Facility due to governmental regulations; or if Licensee determines in its sole discretion that
the cost of obtaining or retaining the same is commercially unreasonable;
(c) by Licensee on ninety (90) days prior written notice and the payment of a cancellation fee calculated as
twenty-five percent (25%) of the annual license fee for the applicable year (said cancellation fee is in addition to and not in
lieu of any fee for the period after written notice of termination is given and the termination date), if Licensee determines in

Licensee’s use of the Premises has not been resolved after reasonable opportunity and effort by Licensee and Licensor;
(e) by Licensee immediately upon notice, if destruction or damage to the Premises or the taking thereof (by
partial condemnation or otherwise) is sufficient, in Licensee's reasonable judgment, to adversely affect Licensee's use of the
Premises, and subject to Licensee’s explicit waiver of any claim to share in the proceeds of the condemnation related to the
6

Licensor’s ownership ofthe property. It is expressly understood that this paragraph shall not be deemed a waiver of Licensee’s
rights, if any, to make a separate claim to the condemnor related to Licensee’s rights that arise from this Agreement;
(f) by either party, as specifically allowed for under this Agreement;
(g) by Licensor if, in Licensor’s reasonable discretion, Licensee’s use of the property violates the provisions
of subsection 2(b) by placing the public health and safety in immediate danger or risk. The curative provisions of subsection
15(a) do not apply to a termination under this subsection 6(g). Licensor shall, in good faith, act so as to avoid terminating
this Agreement if Licensee is a) pursuing all avenues of corrective measures at the earliest possible times, and b) it is
reasonably likely that said corrective measures will successfully remove the immediate danger or risk to the public health and
safety within a time period satisfactory to Licensor given the level of the danger or risk, and the consequences of the danger
or risk continuing during the corrective period.
If this Agreement is terminated for any reason outlined in this paragraph, any prepaid License Fee will be

Compensation Insurance as required by Illinois Law. Licensee will require its insurance company to give at least thirty (30)
days prior written notice of termination or cancellation of the policy to the Licensor, except for termination or cancellation
for non-payment of premium, which notice will be fourteen (14) days. Any failure to comply with the reporting provisions
of the policies shall not affect coverage provided to Licensor. Further, at Licensee’s sole expense, Licensor may, in its sole
and absolute discretion, obtain the insurance provided for in this Agreement in the event Licensee or Licensee’s contractors
fail to obtain, continue or renew any single aspect of the required coverage.
(b) To the extent permitted by law, Licensor and Licensee will include in their property insurance policy
or policies a waiver of subrogation provisions whereby any such release does not adversely affect such policies or prejudice
any right of the insured party to recover thereunder.
(c) Within a reasonable period of time, Licensee shall furnish or cause to be furnished to Licensor certificates
of insurance with original endorsements affecting all coverage required by this section. Licensor’s failure to take actions as
a result of Licensee’s failure to furnish or cause to he furnished said certificates shall not be deemed a wavier of these
provisions.
8.

ATT contract9.wpd
Printed June 16,2000

to operate within their frequencies, and in accordance with all applicable laws and regulations.
(b) Licensor will not grant, after the date of this Agreement, a lease, license or any other right to any third
party for use of the Premises or the Property, if such use creates broadcast or material interference with Licensee’s
Communication Facility. Licensor will notify Licensee and receive Licensee’s written approval prior to granting any third
party the right to install and operate communications equipment on die Property. Nothing contained herein will restrict
Licensee or its successors and assigns from installing and modifying its/their communication equipment.
(c) Except as provided in this Agreement, neither Licensor nor Licensee will use or permit its employees,
licensees, invitees or agents to use any portion of the Premises or the Property or any of Licensor’s other properties in any way,
which interferes with the rights of Licensee or Licensor under this Agreement. The interfering party will cause such
interference to cease upon not more than seven (7) days notice from the non-interfering party. However, except for essential
municipal services, if Licensor or Licensee is working expeditiously to cure said interference and the cure for said interference
reasonably requires longer than seven (7) days to remedy, the interfering party shall cause the interference to cease within a
reasonable period of time not to exceed thirty (30) days unless the Parties otherwise agree. In the event any such interference
does not cease within the aforementioned cure period then the parties acknowledge that the Party whose rights are being
interfered will suffer irreparable injury, and therefore, will have the right, in addition to any other rights that it may have at
law or in equity for the interference, to elect to enjoin such interference or to terminate the Agreement under Section 6 upon
notice to Licensor or Licensee, as the case may be.
9.

The first forty-five (45) days following the Execution Date of this Agreement and prior to the Commencement Date
shall be considered the "Inspection Period." During the Inspection Period, Licensee shall be granted access to the

notice shall be accompanied by copies of all of Licensee's environmental audits and reports. Within twenty (20) days
after receiving said notice, audits, and reports from Licensee pursuant to this Paragraph, Licensor shall send written
notice to Licensee informing Licensee whether or not Licensor will remove and/or remediate the Hazardous Material.
If Licensor notifies Licensee that it will not perform the removal and/or remediation, and if the presence of the
Hazardous Material would materially impair Licensee's use of the Premises, Licensee may elect to terminate this
Agreement by giving written notice ("Termination Notice") to Licensor within ten (10) days after Licensee's receipt
of Licensor's written notice pursuant to this Paragraph. If Licensee elects to terminate this Agreement pursuant to
this subsection, this License shall be null and void immediately upon Licensor's receipt of the Termination Notice,
and Licensor and Licensee shall thereafter be released from any duties or obligations under this Agreement and
Licensee shall be entitled to receive a credit for monthly payments made to Licensor on a pro-rated basis. Licensee's
failure to send a Termination Notice shall be conclusive evidence that Licensee elects not to terminate this Agreement
and that Licensee is thereby prepared to accept delivery of the Premises in "as is" condition.
(b) Licensee represents, warrants and agrees to conduct its activities on the Premises in compliance with
all applicable Environmental Laws. Licensee will not use, generate, release, manufacture, refine, produce, store, or dispose
of any Hazardous Substance on, under, or about the Premises, except for the use of sealed batteries for emergency back-up,

agrees to defend, indemnify and hold Licensor harmless from and against any and all direct liabilities, damages, losses, costs,
assessments, penalties, fines, expenses and fees, including reasonable legal fees, consultant fees and expert witness fees that
Licensor incurs, pays, becomes responsible for, or may suffer due to the existence or discovery of Hazardous Substances on

store, maintain, handle, dispose of, transfer, or process any Hazardous Substances. Licensee shall fully cooperate in allowing,
from time to time, such examinations, tests, inspections, and reviews of the Premises as Licensor, in its sole and absolute
discretion, shall determine to be advisable in order to evaluate any potential environmental problems. Licensor expressly
reserves the right to conduct examinations, tests, (including but not limited to a geohydrologic survey of soil and subsurface
conditions), inspections, and reviews of the Premises as Licensor in its sole and absolute discretion, may determine to be
necessary.
(c) To rules that are impermissible under the provisions of the Telecommunications Act of 1996, Licensee
hereby agrees to comply with any and all rules which may have been imposed or may, during the term of this Agreement, be
imposed by a governmental regulatory body, Licensor’s insurance companies, or Licensee’s insurance companies, regarding
the elimination or amelioration of risk posed by electromagnetic rays and/or fields, as well as any laws, rules or regulations
which may have been imposed or may, during the term of this Agreement, be imposed by governmental or quasi-goveramental
agencies having jurisdiction thereof, pertaining to said issue. It is specifically agreed and acknowledged that Licensor’s
approval of any plans, with respect to such electromagnetic rays and/or fields, shall not be deemed an acknowledgment by
Licensor that such alterations are in compliance with existing laws or rules or that Licensee’s plans are adequate to avoid the
risk of exposure to electromagnetic rays and/or fields, it being agreed that Licensee shall assume sole responsibility for such
consequences. In addition to the liability insurance required by any and all other portions of this Agreement, Licensee shall
include in its insurance policy, if reasonably or commercially available, protection against injury from exposure to
electromagnetic rays and/or fields. Licensor shall be named as additional insured on such policy. In addition to such
insurance, Licensee agrees to indemnify Licensor and hold it harmless from any claims which may be made for compensation
based upon exposure to electromagnetic rays and/or fields emanating from the Premises, with the exception of such
electromagnetic rays and/or fields caused by building and communications systems installed and operated by Licensor.
(d) The indemnifications of this Paragraph specifically include reasonable costs, expenses and fees incurred
in connection with any investigation of Licensee’s use of the Property conditions or any clean-up, remedial, removal or
restoration work required by any governmental authority, or which, under the circumstances, is reasonably necessary. The
provisions of this Paragraph will survive the expiration or termination of this Agreement.
(e) Licensor may, in its sole and absolute discretion, conduct an environmental audit at the Premises prior
to the termination or expiration of this Agreement and enter upon the Premises to conduct same. The audit shall consist of
such examinations, tests, inspections, samples, and reviews as Licensor or its consultant reasonably determines necessary.
The audit shall be performed by a consultant of Licensor’s choice. Licensee shall be responsible for the payment of no more
than $5,000.00 of the expenses related to the conduct of the environmental audit to be performed by Licensor prior to the
termination or expiration of this Agreement. Failure to conduct an environmental audit or to detect conditions attributable
to Licensee’s operations if such audit is conducted shall in no fashion be intended as a release of any liability for
environmental conditions subsequently determined to be associated with Licensee ’ s operation of the Communications Facility.
Licensee shall remain liable for any environmental condition related to its operations of the Communications Facility
