RENEWAL OF AXON ENTERPRISE CONTRACTS FOR BODY-WORN
CAMERAS, IN-CAR CAMERA SYSTEMS, TASER 10 DEVICES, AND
INTEGRATED EVIDENCE MANAGEMENT — QUOTE Q-85191846164DB

BACKGROUND
The Carpentersville Police Department has maintained a long-standing technology
partnership with Axon Enterprise, Inc. for body-worn cameras, in-car camera systems,
Taser conducted energy devices, and digital evidence management. These systems
are essential to officer accountability, evidence collection, transparency, officer safety,
and the Department's daily law enforcement operations.
The Department currently operates under multiple separate Axon agreements that
were entered into at different times and cover different equipment categories. These
separate agreements have varying contract terms, expiration dates, billing schedules,
and renewal requirements. To improve budget planning, reduce administrative
tracking, and align future replacement schedules, the Department requested that Axon

consolidate the existing agreements into a single unified contract.
Axon has provided Quote Q-851918-46164DB, which consolidates the Department's
existing Axon body-worn camera, Fleet in-car camera, Taser 10, software licensing,
cloud storage, evidence management, and related services into one 60-month
agreement beginning November 2026, and ending December 2031 (“consolidated
agreement”).
The Department's current body-worn camera agreement is scheduled to expire in
November 2026. The proposed consolidated renewal includes Axon Body 4 cameras
while also incorporating the Fleet 3 in-car camera system and Taser 10 program into
one agreement.
The existing Axon contracts and related quotes being consolidated, cancelled, or
superseded are identified in the consolidated agreement, attached hereto. The
consolidated agreement will replace the above contract structure with one unified 60month agreement.
GRANT FUNDING
The Police Department has secured two grant awards that directly offset costs
associated with the Axon equipment and services included in this proposal. The grant
awards are set forth in Exhibit A and Exhibit B, attached hereto and incorporated
herein.
The Department was awarded $21,600.00 through the ILEAS Less Lethal Device
Grant, which funded the first-year cost of six Taser 10 packages at $3,600.00 per
package. The grant-funded packages included six Taser 10 handles, holsters, battery
packs, live duty magazines, live cartridges, Evidence.com licenses, warranties, and
one docking station. The total Axon Taser 10 contract, Quote Q-795156-46043DB, is
$32,001.00 over 60 months. The grant fully covered the Year 1 payment of $21,600.00,
leaving a remaining Village obligation of approximately $10,401.00 for years 2 through
5. Those remaining annual payments cover ongoing contract items not fully funded by
the grant, including extended Evidence.com licensing, warranty coverage, Data
Science Program access, the Enhanced Hook-and-Loop Training Suit, and additional
training cartridges. Under the proposed consolidated Axon agreement, this remaining
obligation will be absorbed into Quote Q-851918-46164DB beginning November 15,
2026.
ANALYSIS
The proposed Axon consolidation includes three primary program areas: body-worn
cameras, Fleet in-car camera systems, and Taser 10 devices. The agreement also
includes related software, evidence management, storage, hardware warranty
coverage, scheduled equipment refreshes, and negotiated value-added services.
Body-Worn Camera Upgrade and Renewal:

The Department's current body-worn camera agreement is scheduled to expire in
November 2026. Under the proposed consolidated agreement, the Department will
utilize the Axon Body 4 platform, Axon's current-generation body-worn camera system.
The body-worn camera portion of the agreement includes:

63 Axon Body 4 cameras, consisting of 61 officer units and 2 spare units;
8 multi-bay docking stations with wall mounts and power cords;
7 Axon Evidence Pro licenses with unlimited cloud storage for 61 users;
Axon Evidence Redaction Assistant and Auto-Tagging licenses;
Axon Community Link public transparency portal access;
Axon AI Assistant for 61 users at no additional cost; and
Technology Assurance Plan coverage with scheduled hardware refreshes
during the contract term.

The Technology Assurance Plan, commonly referred to as TAP, is Axon's scheduled
hardware refresh program. Under the proposed agreement, all body-worn camera
hardware will be provided at no additional charge through the TAP refresh program.
This satisfies the remaining body-worn camera hardware obligations from the prior
agreement and avoids the need for a separate capital purchase of replacement bodyworn camera equipment.
Fleet 3 In-Car Camera Renewal:
The proposed agreement also renews and expands the Department's Axon Fleet 3 incar camera system. The Fleet portion of the agreement includes:

16 Fleet 3 standard two-camera vehicle kits, including front and knee-tohead occupant view coverage;
Automatic License Plate Reader (ALPR) licensing for 16 cameras;
Fleet vehicle Evidence licenses with unlimited cloud storage for 32 camera
streams and front and knee-to-head occupant view coverage;
Ericsson 5G routers with five-year NetCloud management;
Real-time location, alerts, and livestream licensing;
Fleet installation services and extended hardware warranty coverage; and
16 Axon Signal Vehicle units for automatic activation integration.

The Department previously approved Quote Q-798635-46058DB and identified as
Exhibit C, for two additional Fleet camera systems. Rather than maintaining that quote
as a separate 28-month agreement, it will be cancelled and incorporated into the
consolidated Axon agreement. This keeps the Fleet program aligned with the
Department's overall Axon contract term and avoids creating another separate renewal
schedule.

Taser 10 Contract Consolidation:
The Department is currently under an active Axon Taser 10 contract, Quote Q-79515646043DB and identified as Exhibit D, executed January 27, 2026, with a contract start
date of March 15, 2026. That agreement provided six Taser 10 energy weapon
packages at a total contract cost of $32,001.00 over 60 months. The first-year payment
of $21,600.00 was funded entirely through the ILEAS Less Lethal Device Grant.
Under the proposed consolidation, the active Taser 10 contract will be terminated
effective December 15, 2026. All remaining obligations will be absorbed into the new
consolidated agreement, Quote Q-851918-46164DB. The Taser 10 equipment,
licensing, warranty coverage, docking equipment, training equipment, cartridges, and
Evidence.com licensing will continue uninterrupted under the new agreement.
The Taser portion of the consolidated agreement includes:
• 6 Taser 10 handles with training units;
• Duty and training cartridges;
• Enhanced Hook-and-Loop Training (HALT) Suit for force training scenarios;
• 6-bay Taser dock with extended warranty; and
• Axon Evidence.com licensing and Data Science program access for all Taser
units.
Negotiated Value-Added Services:
Through contract negotiations, Axon has agreed to include Axon AI Assistant for all 61
Department users at no additional cost over the 60-month contract term. Axon has
identified this negotiated inclusion as a savings of $109,800.00 over the contract term.
Axon AI Assistant provides AI-supported tools intended to improve officer efficiency,
evidence review, and report preparation. The platform includes AI-assisted evidence
transcription and summarization, automated tagging, real-time translation through
Axon Body 4 which delivers two-way audible translations across 50+ languages in realtime, policy or general question support, and tools that assist with reviewing and
organizing digital evidence. Including this capability at no additional cost adds value to
the agreement and is included in Axon's total stated savings figure of $447,879.94. The
contract value summary is set forth in the consolidated agreement, attached hereto.
FISCAL IMPACT
The total value of the proposed consolidated Axon agreement is $743,113.08 over 60
months.
The Department has secured $366,050.93 in grant funding that directly offsets costs
associated with the proposed contract. The ILEAS Less Lethal Device Grant funded
the first-year Taser 10 payment under the existing Taser agreement. The State of
Illinois FY26 Law Enforcement Camera Grant will be applied toward the first-year
through the fourth-year body-worn camera costs under the proposed consolidated

Village Board approval was granted for Quote Q-798635-46058DB in the total amount
of $18,620.22, including an initial FY 2026 payment of $11,353.39. The remaining
balance of $7,277.22 was to be distributed between the FY 2027 and FY 2028 budgets.
The outstanding balance associated with Quote Q-798635-46058DB will be cancelled
and rolled into Quote Q-851918-46164DB. This adjustment does not require any
additional appropriation.

The State FY26 Law Enforcement Camera Grant, Agreement No. 20261078, is
effective July 1, 2025, through June 30, 2030, and requires quarterly financial reporting
and annual performance reporting through the Amplifund portal. The Village Manager
executed the grant agreement on behalf of the Village on March 12, 2026.
OPERATIONAL AND ADMINISTRATIVE BENEFITS
The proposed consolidation provides the following benefits to the Village and the Police
Department:
• Continues the use of the Axon Body 4 cameras;
• Consolidates multiple Axon agreements into a single 60-month contract term;
• Aligns body-worn camera, Fleet camera, Taser, licensing, storage, warranty,
and evidence management services under one agreement;
• Reduces administrative burden by eliminating multiple contract expiration
dates and separate renewal schedules;
• Applies $344,450.93 in grant funding to the first-year through the fourth-year
equipment and program costs;
• Cancels and incorporates Quote Q-798635-46058DB into the consolidated
agreement;
• Terminates and absorbs the active Taser 10 agreement without interruption to
Taser coverage or licensing;
• Maintains unlimited cloud storage and evidence management capabilities;
• Continues ALPR, real-time location, livestream, automatic activation,
redaction, auto-tagging, and public transparency capabilities;
• Includes Axon AI Assistant for all 61 Department users at no additional cost;
and
• Provides total stated Axon savings of $477,879.94 compared to list pricing.
DEPARTMENT RECOMMENDATION
It is the recommendation of the Police Department that the Village Board approve a
resolution authorizing the Chief of Police to execute the consolidated Axon Enterprise
agreement, Quote Q-851918-46164DB, in the amount of $743,113.08 over 60 months,
effective November 15, 2026; to terminate the existing Taser 10 agreement, Quote Q795156-46043DB, effective December 15, 2026; to cancel Axon Quote Q-79863546058DB and incorporate those items into the consolidated agreement; and to apply
and comply with the State of Illinois FY26 Law Enforcement Camera Grant, Agreement
No. 20261078, in the amount of $344,450.93.

MANAGEMENT
WHEREAS, the Village of Carpentersville is a home rule municipality, as recognized by
Article VII, Section 6 of the Illinois Constitution; and
WHEREAS, the Carpentersville Police Department has maintained a long-standing
technology partnership with Axon Enterprise, Inc. (“Axon”) for body-worn cameras, in-car camera
systems, Taser conducted energy devices, and digital evidence management, which systems are
essential to officer accountability, evidence collection, transparency, and officer safety; and
WHEREAS, the Department currently operates under multiple separate Axon agreements
with varying contract terms, expiration dates, billing schedules, and renewal requirements; and
WHEREAS, Axon Enterprise, Inc. has provided Quote Q-851918-46164DB, a
consolidated 60-month agreement that combines the Department's body-worn camera, Fleet in-car
camera, Taser 10, software licensing, cloud storage, evidence management, and related services
into one agreement beginning November 15, 2026, and ending December 14, 2031 (“consolidated
agreement”), attached hereto; and
WHEREAS, the proposed consolidated agreement includes Axon Body 4 body-worn
cameras with replacement through Axon's Technology Assurance Plan hardware refresh program,
and includes Axon AI Assistant for 61 Department users at no additional cost, representing a
negotiated savings of $109,800.00 over the contract term; and
WHEREAS, the Department has secured grant funding to offset costs associated with the
proposed contract, including an ILEAS Less Lethal Device Grant in the amount of $21,600.00 for
Taser 10 equipment, as further described in Exhibit A, and the State of Illinois FY26 Law
Enforcement Camera Grant Agreement No. 20261078, in the amount of $344,450.93 for bodyworn cameras, data storage, and related licensing, as further described in Exhibit B; and
WHEREAS, the Village Board previously approved Quote Q-795156-46043DB, as
further described in Exhibit D, for the purchase of six Taser 10 devices, in the amount of
$32,001.00, of which $21,600.00 was funded through the ILEAS Less Lethal Device Grant. The
quote will be cancelled and the remaining balance of $10,401.00 will be reallocated into the
consolidated Axon agreement accordingly; and
WHEREAS, the Village Board previously approved Quote Q-798635-46058DB for two
additional Fleet camera systems, as further described in Exhibit C, in the amount of $18,620.22,

WHEREAS, the proposed consolidation will simplify contract administration, improve
budget predictability, align equipment replacement schedules, apply $344,450.93 in grant funding
to offset the first-year through the fourth-year costs, and maintain continuity of the Department's
technology platform through December 2031; and
WHEREAS, the contract value summary is set forth in the proposed consolidated
agreement; and
WHEREAS, the President and Board of Trustees of the Village of Carpentersville have
determined that execution of the consolidated Axon agreement is in the best interests of public
safety for the Village and its residents, and that the use of Axon technology and equipment
contemplated in the proposed consolidated agreement cannot be practicably replicated by another
source, due to the existing contractual obligations for the technology and equipment already in
place in the Department, and that such is consistent with the Village’s procurement policies as
stated in Section 3.04.010.D of the Carpentersville Municipal Code, without further requirement.
NOW, THEREFORE, BE IT RESOLVED by the President and Board of Trustees of
the Village of Carpentersville, Kane County, Illinois, pursuant to its statutory and home rule
authority, as follows:
SECTION 1: The recitals in this Resolution are hereby incorporated by reference.
SECTION 2: The Village Board hereby authorizes and directs the Chief of Police to
execute the consolidated Axon Enterprise agreement, Quote Q-851918-46164DB, for body-worn
cameras, Fleet 3 in-car camera systems, Taser 10 devices, software licensing, unlimited cloud
storage, digital evidence management, warranty coverage, and related services, in an amount not
to exceed $743,113.08 over 60 months, effective November 15, 2026.
SECTION 3: The Village Board of Trustees hereby authorize and direct the Chief of
Police to execute all documents necessary to terminate the active Axon Taser 10 agreement, Quote
Q-795156-46043DB, effective December 15, 2026, with Taser 10 equipment, licensing, and
warranty coverage continuing uninterrupted under the consolidated agreement authorized in
Section 2.
SECTION 4: The Village Board of Trustees hereby authorize and direct the Chief of
Police to terminate the active Axon Quote Q-798635-46058DB for two additional Fleet camera
systems and to incorporate those items into the consolidated Axon agreement authorized in Section
2 under Account 001550-53758.
SECTION 4: The Village Board of Trustees hereby ratify the State of Illinois FY26 Law
Enforcement Camera Grant, Agreement No. 20261078, executed by the Village Manager on
March 12, 2026, in the amount of $344,450.93, and authorize and direct the Village Manager and
appropriate staff to apply grant funds toward eligible body-worn camera, data storage, and related
licensing costs under the consolidated Axon agreement, and to comply with all required grant

This Quote is limited to and conditional upon your acceptance of the provisions set forth herein and Axon’s Master Services and Purchasing Agreement
(posted at https://www.axon.com/sales-terms-and-conditions), as well as the attached Statement of Work (SOW) for Axon Fleet and/or Axon Interview
Room purchase, if applicable. In the event you and Axon have entered into a prior agreement to govern all future purchases, that agreement shall govern to

Rewrite Estimates
Estimated Amounts and Contract Terminations. Any amounts stated as due under existing or terminated contracts — including contract transfer balances carried forward to
new or pending contracts — are estimates based on payments received as of the calculation date. These estimates may be adjusted if new contracts are not executed on the
anticipated dates or if expected payments are not made.

Refresh Shipment Timing
Technology Assurance Plan (TAP) Refresh Prior to Renewal. For Customers with expiring agreements that include TAP refresh rights, Axon may, in its discretion, ship
refresh hardware under the existing contract while renewal or replacement agreements are in progress. Any such shipments will be deemed made under the terms of the
existing contract until the new contract is fully executed, after which any applicable updates, fees, or adjustments will apply.

Shipment Timing
Shipment Variance. Estimated shipment dates are provided for planning purposes only and are not guarantees. Axon may ship hardware before or after the estimated
shipment date, and failure to meet an estimated shipment date will not, by itself, constitute a breach, provided Axon uses commercially reasonable efforts to meet estimated
shipment dates.

Less Lethal Device Grant Agreement
1. PARTIES. The parties to this Agreement are the Illinois Law Enforcement Alarm System
(ILEAS) and

Carpentersville Police Dept
(Recipient)
2. PURPOSE. There is a critical need to ensure local law enforcement agencies
throughout Illinois are properly trained and equipped to respond to a variety of
emergencies and calls for service that involve violence or threats of violence. The goal
in any response involving violence is to mitigate the situation and avoid the use of lethal
force through less lethal alternatives and, when necessary, the use of Less Lethal
Devices. Through a grant from the Illinois Criminal Justice Information Authority (ICJIA),
ILEAS has agreed to reimburse Recipient for the purchase of Taser Devices.
3. AWARDED DEVICES.
ILEAS agrees to Award to Recipient the

4. AWARD. The word Award means the agreements listed in this paragraph.
a. Recipient will not place an order with AXON before the Recipient Agreement is
signed by the Recipient and ILEAS.
b. Recipient will contact the manufacturer, Axon Enterprises, Inc., and complete
paperwork necessary to receive the Awarded Devices.
c. Recipient may in the same transaction procure additional devices or accessories
from Axon but will receive ILEAS reimbursement only for the Awarded Devices at
the unit cost cited in Paragraph 4.f.
d. Recipient will submit completed Chief’s/Sheriff’s Letter to ILEAS acknowledging
that an order has been placed.
e. Recipient will notify ILEAS when Recipient receives the Awarded Devices and will
submit a Recipient agency Invoice for the devices utilizing the ILEAS web-based
dashboard.
f. ILEAS will reimburse the Recipient for the awarded devices at a unit cost of
$2,987.80 for Taser 7 device packages, and $3,600.00 for Taser 10 device
packages.
g. Recipient will ensure all appropriate grant related Invoices are forwarded to
ILEAS, utilizing the ILEAS web-based dashboard no later than 15 days after
receipt of Awarded Devices.
5. USE.
a. Recipient has a policy governing the use of Less Lethal Devices which conforms
to all applicable laws and regulations, or will have such a policy before the
deployment of an Awarded Device as described in Paragraph 3, and will prohibit
any use of the Awarded Device that violates applicable laws, or the policies of the
Recipient
b. Recipient will prohibit any use of Awarded Devices except by fully trained
employees. Recipient may, however, allow an untrained employee to use
Awarded Devices during the training process itself.
6. ADDITIONAL PROVISIONS.
a. Law enforcement officers receiving devices must be trained to use the device and
must be instructed in the lawful use of force and policies governing the use of the
device. Agencies must commit to providing refresher training on the devices as
recommended by the manufacturer.
b. Recipient will conduct appropriate and effective preventative maintenance and
keep Awarded Devices in good operating condition.
c. ILEAS is not responsible for the costs of maintenance, replacement or purchase
of expendables related to Awarded Devices.

d. This agreement shall not give or allow any claim or right of action by any third
person or entity (including, but not limited to, members of the general public).
e. It is not the duty, function, responsibility or purpose of ILEAS to deploy, supply,
direct, command or manage any law enforcement personnel.
7. GRANT REQUIREMENTS.
a. This agreement incorporates the terms and conditions of ILEAS’ agreement with
ICJIA.
b. Pursuant to 2 CFR 200.415, each invoice and report submitted by Recipient must
contain the following certification by an official authorized to legally bind Recipient:
By signing this report [or payment request or both], I certify to the best of my
knowledge and belief that the report [or payment request] is true, complete, and
accurate; that the expenditures, disbursements and cash receipts are for the
purposes and objectives set forth in the terms and conditions of the State or
federal pass-through award; and that supporting documentation has been
submitted as required by the grant agreement. I acknowledge that approval for
any other expenditure described herein is considered conditional subject to further
review and verification in accordance with the monitoring and records retention
provisions of the grant agreement. I am aware that any false, fictitious, or
fraudulent information, or the omission of any material fact, may subject me to
criminal, civil or administrative penalties for fraud, false statements, false claims or
otherwise (U.S. Code Title 18, Section 1001 and Title 31, Sections 3729-3730 and
3801- 3812; 30 ILCS 708/120)
c. Grantee certifies that it will not use and has not used Grant Funds to influence or
attempt to influence an officer or employee of any government agency or a
member or employee of the State or federal legislature in connection with the
awarding of any agreement, the making of any grant, the making of any loan, the
entering into of any cooperative agreement, or the extension, continuation,
renewal, amendment or modification of any agreement, grant, loan or cooperative
agreement. Additionally, Grantee certifies that it has filed the required certification
under the Byrd Anti-Lobbying Amendment (31 USC 1352), if applicable. If any
federal funds, other than federally-appropriated funds, were paid or will be paid to
any person for influencing or attempting to influence any of the above persons in
connection with this Agreement, the undersigned must also complete and submit
Federal Form LLL, Disclosure of Lobbying Activities Form, in accordance with its
instructions. Grantee certifies that it is in compliance with the restrictions on
lobbying set forth in 2 CFR 200.450. For any Indirect Costs associated with this
Agreement, total lobbying costs must be separately identified in the Program
Budget, and thereafter treated as other Unallowable Costs. Grantee warrants and
certifies that it and, to the best of its knowledge, its subrecipients have complied
and will comply with Illinois Executive Order No. 1 (2007) (EO 1-2007). EO 1-2007
generally prohibits grantees and subcontractors from hiring the then-serving
Governor’s family members to lobby procurement activities of the State, or any
other unit of government in Illinois including local governments, if that
procurement may result in a contract valued at over $25,000. This prohibition also
applies to hiring for that same purpose any former State employee who had

procurement authority at any time during the one-year period preceding the
procurement lobbying activity. Grantee must include the language of this
ARTICLE in the award documents for any subawards made pursuant to this
Award at all tiers. All subrecipients are also subject to certification and disclosure.
Pursuant to Appendix II (I) to 2 CFR Part 200, Grantee must forward all
disclosures by contractors regarding this certification to Grantor. This certification
is a material representation of fact upon which reliance was placed to enter into
this transaction and is a prerequisite for this transaction, pursuant to 31 USC
1352. Any person who fails to file the required certifications will be subject to a
civil penalty of not less than $10,000, and not more than $100,000, for each such
failure.
d. Availability of Appropriation; Sufficiency of Funds. This Agreement is contingent
upon and subject to the availability of sufficient funds. Grantor may terminate or
suspend this Agreement, in whole or in part, without penalty or further payment
being required, if (i) sufficient funds for this Agreement have not been
appropriated or otherwise made available to Grantor by the State or the federal
funding source, (ii) the Governor or Grantor reserves funds, or (iii) the Governor or
Grantor determines that funds will not or may not be available for payment.
Grantor must provide notice, in writing, to Grantee of any such funding failure and
its election to terminate or suspend this Agreement as soon as practicable. Any
suspension or termination pursuant to this Paragraph will be effective upon the
date of the written notice unless otherwise indicated.
