Boggs – Good evening. Thank you, Mr. Moore and members of council. The resolution on the agenda this
evening would authorize the mayor to enter into an agreement on behalf of the city with Molto Canal
Pointe II for this CRA exemption. The CRA exemption applies to the value attributed to the new structure
or structures that would be placed on the site and includes provisions for school compensation, as well as
a community benefit payment that would be made by the property owner in this case. I’m happy to
answer any questions council may have.
Moore – Did I also see that they agreed to the community participation agreement as well? I’m not sure if
that’s the right wording.
Boggs – Yes, community participation, or community involvement, is also part of this agreement.
Moore – And the community benefit agreement includes 25 cents per square foot at permit issuance and
25 cents per square foot at occupancy?
Boggs – Correct.
McLaughlin – This agreement follows the property regardless of who the landowner is, correct? So, if
ownership changes, this remains in effect for 15 years with whoever owns the property?
Boggs – That’s right. There is an assignment process, so the city would consent to the assignment, but the
agreement would follow the property.

Moore – Do you know if Molto still holds the other buildings, or have they sold those?

Boggs – Not that I know of.
Shea – The money generated through the community benefit agreement—will that go into the general
fund, or into a specific fund? What happens with that money?
Boggs – The agreement itself doesn’t address that. It would be received into the general fund, and then
any transfer or appropriation of those funds would come through council as part of the city’s budgeting
process.
Shea – Mrs. Jackson, will it be earmarked in some way under the community benefit agreement so council
can see, for example, that there is a certain amount of money available from that source? Or will it simply
be absorbed into the general fund?

Jackson – I think we need to have further discussion about how we want to account for that. A lot of it will
likely depend on how council foresees using the funds. At this point, we’ll assume it will go into the
general fund, and we’ll report how much has been received. However, it’s possible it could be placed into
a special revenue fund. We’ll need to have additional discussions, and I need to look into it further. A
special revenue fund would be similar to what you do with your bed tax money.
Moore – Mrs. Jackson, correct me if I’m wrong, but this would be the first community benefit payment we
would actually receive because the other one has not yet broken ground.
Jackson – Correct.

Elizabeth Wood, President – Good evening, members of council. I'm Elizabeth Wood, President and CEO of
the Canal Winchester Chamber. Our Board Chairperson, Leslie Thornton, and I are honored to be here
tonight to share an update on the Chamber. Also, in attendance tonight from our organization is Vice
Chairperson Gregg Hesterman. For our newer council members, just to bring you up to speed, I joined the
Chamber as Executive Director in August, and the board voted to update my title to President and CEO in
January, in alignment with the Chamber's bylaws. In October, we were here addressing council and
requesting 2026 funding, and that request was granted, so thank you. The Chamber is receiving quarterly
payments during this calendar year totaling $65,000. Since October, we've been focused on building a
stronger foundation—not just programming, but the structure of the organization itself. I'm currently one
month into a six-month program through the Nonprofit Leadership Alliance, working toward my Certified
Nonprofit Professional certification. This work involves taking a close look at our organization's
foundation. For example, a couple of weeks ago, I discovered that we have four mission statements, when
best practices call for just one. So, we're working on things like that. The goal is to build a stronger
organization today so that the Chamber and this community are stronger for years to come. As many of
you know, our organization has experienced major changes in staffing and board membership, with
significant turnover in recent years that has affected member retention. I'm currently in the process of

restructuring our Digital Marketing Coordinator position into a Membership and Marketing Coordinator
role to better reflect our current needs. You may remember one of our past directors, Tara, who held that
Membership and Marketing Coordinator role a few years ago. We've also added a third staff member for
the summer. Hannah Lawson is a Canal Winchester resident and a college student who will spend 10
weeks with us supporting member engagement, community connection, and helping with two of our
signature events this summer. Her first day was today. Overall, the Chamber is connecting more deeply
with the community, and that is by design. We've partnered for years with Human Services for Brews and
Blankets, our annual December event where blankets are made for the Adopt-a-Family program. This
year, we also collaborated with Human Services for our golf outing. Leadership Canal Winchester is a
brand-new program that includes a service project component, giving participants a hands-on
opportunity to uplift our community. For our first-ever Canal Winchester Dining Week next month, 1% of
net sales from that week's specials will be donated to the Fishes and Loaves Food Alliance, a 501(c)(3)
affiliated with Winchester Farm Exchange. In terms of programming changes, we've added Young
Professionals programming, and our regular Sunrise Social and Referral Roundtable events are going
strong, with strong attendance and strong interest. Back in October, I mentioned that we were planning a
nine-month leadership program, and I'm thrilled to tell you that it's starting in September and is already
sold out. All 15 spots were reserved, and it sold out on April 30th during early bird registration. This
program alone is bringing in more than $14,000 to the Chamber. We are beyond excited. There was some
dancing in the office when it sold out. It is our largest program ever, and it is designed to develop the next
generation of community leaders, encouraging them to support local nonprofit boards, city boards and
commissions, and even pursue elected positions. A few statistics for you: Annual sponsorships secured in
2026 total $17,000, up from $6,000 last year. That's an 183% increase. Our Facebook interactions are at
6.8K so far this year, up from 3.1K at this time last year, a 119% increase We've held 19 events so far this
year, up from 11 during the same period last year, a 72% increase. Event attendance has reached 550
people so far this year, or more than 1,200 if you include the Canal Winchester Library opening. Thank
you so much for supporting the Chamber this year through funding, volunteering, and participating in
events. Every time you like and share our social media posts, refer students to apply for our internship, or
simply cheer us on, it is noticed and appreciated. Our hope is to come back at the end of this year and tell
you that we didn't need all of the 2026 funding and can return some of it to you. Thank you so much for
all that you do to keep Canal Winchester thriving. I'll turn it over to Leslie.
Leslie Thornton, Chairperson – Okay. Well, I don't think I need to introduce myself, but the last time I was
here, I was serving as Treasurer. Tonight, I'm here as the Board Chair. It is an honor to be here tonight
representing the Chamber and the businesses that help make our community strong. I would like to take a
moment to acknowledge the dedication of our board members and staff. They are extremely committed
to ensuring that the Chamber continues to grow and serve our community. Well, I think I need to—she's a
little shorter than me. Over the past several months, our board has been actively engaged in
strengthening the organization from the inside out by reviewing and updating our bylaws, enhancing
policies and procedures, and focusing on building a strong foundation for the future. In April, the Chamber
invested in professional board training through Chamber Professionals of Ohio. That investment reflects
our commitment to strong governance, accountability, and operating according to best practices. As a
board, we routinely review the Chamber's financial performance, and what we're seeing is incredibly
encouraging. So, this is the exciting part. As of April 30th, net revenue is up more than $52,000 compared
to this time last year. Events are selling out, sponsorship support continues to grow, and even without city
funding, the Chamber is operating in a positive financial position. I'm going to cry. I can't believe I'm going
to cry over this. The Chamber is in the strongest financial position it has ever been. What makes this
especially meaningful is that these results represent more than numbers. They reflect a thriving business

community, strong partnerships, and a growing level of engagement from our members. The board is
confident in the direction of the Chamber, proud of the momentum we've built, and excited about the
opportunities ahead for both our business community and the City of Canal Winchester. Now, more
exciting news. The Chamber was founded in July 1956, so this year marks 70 years. Next month, we will
celebrate, and we invite each of you to attend our anniversary open house and ribbon cutting. We hope
all of you can be there to celebrate with us and look ahead to the next chapter. On behalf of the Chamber
Board of Directors, thank you for your partnership, your support, and your continued commitment to the
success of the City of Canal Winchester and the Canal Winchester Chamber.
Steager – I would just say congratulations to the Chamber. You guys have done a fantastic job. Obviously,
the numbers are great, so congratulations to all of you. Thanks for coming in.
Moore – Yeah, thanks again, and thank you for all your dedication. It definitely shows. Keep up the great

Shea – Some of us have talked about this offline over the years. I had this whole thing written out, but my
laptop died, so I'm going to wing it. Canal Winchester is a great place to call home. We all love it, we all
take pride in it, and it almost pains us when we work so hard to have such a wonderful town, and then
something happens within our ZIP code but outside of our city limits, and the news media reports it as
happening in Canal Winchester. It kind of makes our city look like something it's not and portrays us in a
light that doesn't reflect who we are. This has been going on for years and years. As the area around us
continues to develop and Columbus does what they do, can we, as a city, start looking at maybe hiring a
PR firm to help us manage the media and make sure that someone is consistently communicating with
the media when they report that something happened in Canal Winchester, when it actually occurred in
the City of Columbus? Just gently nudging them and hopefully educating them. Is there something we can
do? Do we have a staff member who could handle that, or could we hire a contractor to do that? That's
my question.

Peoples – There's a council member who does that consistently.
Moore – There are quite a few of us who do that consistently.
Shea – There are, but I'm wondering if there's a more formal media approach to it that's more effective
than council members generating emails, making calls, and things like that. So, I just wanted to throw it
out there for consideration.
Steager – Do you know how often it happens?
Moore – Typically, anytime something happens near our border, or basically anywhere within the ZIP
code, it's confused with the city. I could start forwarding examples every time it happens, if you'd prefer,
just so you can see.
Amick – It might be a crime, a house fire, a fight, or something similar. It's usually negative.
Steager – And they go by the postal address. Okay. I appreciate the input on that.

Sgt. Strawn – I also do not have anything to report, but I would be happy to answer any questions.
Amick – Several members of council received a few questions regarding Flock cameras, and I'm going to
ask those questions so that we all, for the record, know the response from the Fairfield County Sheriff's
Department. First of all, and this is kind of a joint response, how has Canal Winchester confirmed how the
cameras are used, and are our residents aware?
Sgt. Strawn – Nothing says we have to make residents aware, but I would love for residents to be aware
that we have them. They're a fantastic tool for law enforcement to use.

Peoples – We've talked about it at the mayor's retreat and at the State of the Community, as well as
during the event we did with the Chamber and the schools. We've had many, many discussions about it.
We're now on our second contract cycle, and we added three cameras this year. So, it's been discussed
quite heavily here recently.
Amick – The next question is: who audits the police usage?
Sgt. Strawn – Flock itself maintains all of the data related to the usage of the system.
Amick – And who audits what data is captured, shared, and with whom?
Sgt. Strawn – Again, Flock maintains all of the data. We do share access with agencies throughout Central
Ohio—basically any agency that participates. It's a great tool for them and for us, and it's similar to
mutual aid. A lot of surrounding agencies give us access to their cameras as well to help fight crime.
Amick – And then the final question: Is any of the data sold?

Sgt. Strawn – I cannot answer that. I honestly do not know.

Amick – Simply because we received these questions, do you have any success stories from the Fairfield
County Sheriff's Department that you would like to share with us?

Sgt. Strawn – Off the top of my head, we had a string of burglaries recently. We were able to identify a
suspect vehicle and make an arrest. Not only were we able to solve our burglaries, but we also discovered
that this individual had been committing burglaries in jurisdictions throughout Central Ohio. So, it helped
break up that burglary ring. More recently, back in the spring, one of the Flock cameras here in town
alerted us to a vehicle that had just been involved in an armed robbery in the Delaware County area. I,
along with another deputy, was able to locate the vehicle, conduct a traffic stop, and make an
apprehension. There are several success stories, and it's not just necessarily related to crime. The system
also helps us locate missing persons, especially elderly individuals who may become disoriented while
driving and not know where they are. We can enter that information into Flock, and it helps us locate
them. I could go on and on about the many success stories we've had.
Moore – We just appreciate all you do for us. I'm glad that we're able to utilize some additional tools
because I know your job isn't easy by any means. Any advantage you can get is helpful, so I'm glad to
hear that.
Sgt. Strawn – And I know, from the deputies' perspective—not just our deputies, but agencies all
around—they appreciate the support from city government in helping to implement these cameras
because they are very useful.
Amick – Yeah, technology definitely extends our capabilities without question.
Shea – Yes. I'd like to say that, as a council member, I think if you want more of them and they're going to
be more helpful to you, just ask for them. I'll be glad to vote to include them in the budget. And for people
who don't live inside our community to question how we run our operations—that's none of their

business. This is our city, and we get to run it the way we want because our voters expect us to keep it
safe.
Detwiler – I have a question. Is there a good way for people to find out more information about Flock
cameras? Would you suggest they look up the company, or should they direct those questions to us and
we can pass them along?
Sgt. Strawn – As far as that goes, I'm not sure what specific questions they might have. Flock has a
website, so if they Google it, they can find information there.

data, I was able to pull up the city's subscription agreement with them, and Flock does not sell customer
data or customer-generated data collected through their service. Also, my apologies, but I do have a
request for a brief executive session. I'm sorry I didn't think to bring it up during the work session.

Jackson – Just a quick update on the pool. We did open over Memorial Day weekend. The weather, while
sunny, has not been extremely warm, and the water is probably not terribly warm either. So, things have
been a little slow over there. From a membership sales perspective, I was able to pull some numbers. To
date, we have sold 329 memberships. In total, last year we sold 411. We continue to have people coming
in every single day, so I'm not worried about the difference in those numbers. We do go live with day
passes next Monday. That will probably be a bit of a challenge for those who are used to simply showing
up at the pool and getting in. We have a plan to have some city staff on site to help guide people through
the process of verifying themselves and obtaining their ID so they can enter the pool. Let's hope for some
good weather and increased usage at the pool because, like I said, it's been a little slow, and I think the
lifeguards, admissions staff, and concession stand workers are looking for some action. I'd be happy to
answer any questions.

Shea – I just have a compliment. My neighbor came in for pool verification, and she said everyone was
very pleasant and very helpful. She said it was kind of a pain—a little bit of a pain in the butt—but she
really appreciated the effort because she felt it was going to make the pool a much safer place this
summer.
Jackson – Thank you. You're always going to have people who aren't happy with the process, but we have
received a lot of compliments about trying to cut back on some of the issues we've experienced in recent
years. For the most part, people have been grateful that we're taking these steps. I will pass that
feedback along to the ladies up front.
Bennett – With the new entry portal and the day pass process, is there any signage to help people
understand that they must have an ID before entry or anything else to help curtail confusion?
Jackson – We are having signs made that will be placed around the pool area. We have a sandwich board
that we typically put out at the pool, and we're going to utilize that. I have a mock-up that says, "Stop. Do
you have your member ID?" and it includes a picture of what the member ID looks like. Hopefully, that will

Moore – Our next meeting is Tuesday, June 9th. The work session begins at 6:00 p.m., and the official
meeting starts at 6:30 p.m. Golf just wrapped up. We had a really great first year with the kids' golf
program. We finished with 20 kids participating, so that was a success. Registrations have wrapped up,
and we're now getting ready to head into the new seasons.

Payne – The summer Farmers Market season officially kicked off on May 30th at Stradley Park. We're
pleased to welcome more than 30 vendors, and we had a great turnout from the community. The Farmers

concert series in May. The weather presented some challenges, but the team worked hard to create a
positive experience for attendees, and we were very grateful for those who came out to support the
event. Planning is also continuing for Blues and Ribfest, scheduled for July 24th through July 25th.
Destination Canal Winchester is currently working through vendor and sponsor coordination, event
layouts, logistics, and operational planning. Preparations are progressing well, and we look forward to
welcoming thousands of visitors to Canal Winchester for one of our community's signature events.

Project Status:
Legislation:
• We are presenting legislation to request authorization for Destination: Canal Winchester
to operate the Blues & Ribfest
Hill Rd. OPWC Project: We are working on an application for OPWC funding for the Hill Rd.
Widening project. This process will require some future legislation as well as a public meeting.
Additionally This is in conjunction with legislation we will be presenting at the 6-15 meetings to
authorize and agreement with Fairfield County.
US Route 33 Widening: As part of ODOT’s US Route 33 widening project scheduled to begin fall
2027, there will be some work required at the Gender/33 interchange. We currently have
preliminary information and will share more on the specific work as the plans develop.
Intergovernmental Agreement: We finalizing the agreement with Fairfield County Engineer and
the Village of Lithopolis, to partner on a project to pave the entire length of Lithopolis-Winchester
Rd. and expect construction to occur over the summer.
Facility Planning: We are kicking off the first phase of a multi-phase study to examine our water
and wastewater facilities to ensure sufficient capacity at the treatment plants and
distribution/collection systems.
Gender Rd. Bridge Replacement: We are working with ODOT on their Gender Rd./Walnut Creek
bridge replacement project over to incorporate the connections of our Gender Rd. path.
Ashbrook Village Drainage Issues: We finalized the design of the proposed improvements and
are working with a contractor for a proposal to complete the work. Due to some wet ground
conditions, we are not expecting work to be started until into the summer.
Emergency Planning: We continue working on compiling information for our consultants as well
as reviewing submissions. This will be a multi-phased, multi-year project and include mitigation
and preparedness, response, recovery, continuity of operations and definition of roles.
Grants: We submitted an application to the Federal Community Funding Program for a $5M
grant towards the Water Reclamation Facility’s Headworks project. Additionally, we submitted
an application as part of the State Capital Budget Community Project Program for a $250K grant
towards the McGill Park Old Town Connector project.
CIP: We are working to develop fact sheets for the Capital Improvements Plan in order to provide
more information on the listed projects.
ODOT US 33 Agreement: We are working with ODOT on an agreement for the long term
maintenance US 33.

Project Status:
2026 Pool Season – Membership sales and day pass verifications remain steady and attendance at the
pool has begun to increase. The weather is warming up so it is anticipated that the attendance will
continue to improve.
We have also had a few behavioral issues that occurred during the members only period. Unfortunately,
they were reported to city staff too far after the fact for action to be taken. As a reminder, children must be
14 or older to be at the pool without an adult. We ask that parents please monitor their children’s behavior
while at the pool and remind them to be respectful of the property.

A RESOLUTION AUTHORIZING DESTINATION: CANAL WINCHESTER TO
OPERATE THE "CANAL WINCHESTER BLUES AND RIBFEST" ON THE VARIOUS
STREETS, SIDEWALKS AND LANDS OF THE CITY OF CANAL WINCHESTER
WHEREAS, the annual Canal Winchester Blues and Ribfest is to be held on July 24th and 25th,
2026; and,
WHEREAS, the Canal Winchester Blues and Ribfest is a civic endeavor which is family
oriented, safe, clean and fun for all citizens of Canal Winchesters; and,
WHEREAS, the Council and Mayor of the City of Canal Winchester desire to express their
approval on behalf of the City and to authorize the use and control of various city streets, alleys and
sidewalks of Canal Winchester for the benefit of this event.
NOW THEREFORE BE IT RESOLVED BY THE COUNCIL OF THE CITY OF CANAL WINCHESTER,
STATE OF OHIO:
Section 1.
That the Canal Winchester Blues and Ribfest operated by Destination: Canal
Winchester on July 24, 2026 from 5:00 pm to 11:00 pm and July 25, 2026 from 12:00 noon to 11:00
pm be and hereby is authorized to operate and control said Festival upon the various streets, alleys,
sidewalks and lands of the City of Canal Winchester, Ohio.
Section 2.
That the boundaries of the festival shall be High Street from Mound Street
south to Columbus Street; Waterloo Street from Elm Street to Trine Street; and Stradley Place which
includes the greenspace and parking lot located to the west and north of Stradley Place and adjacent
alleys.
Section 3.
That the streets and alleys within the boundaries of the festival shall be shut
down to traffic by City staff starting at 6:00 am on Friday, July 24, 2026 and reopened to traffic no
later than 9:00 am on Sunday, July 26, 2026.
Section 4.
That Destination: Canal Winchester shall maintain liability insurance for the
protection of the City of Canal Winchester, Ohio indemnifying and saving harmless said City from
any and all liability that may arise or accrue by reason of the use of the various streets, alleys,
sidewalks and lands of the City of Canal Winchester and shall present a copy of said insurance to the
City.
Section 5.
That Destination: Canal Winchester shall provide the following at no cost to
the City:
a. City approved electric to all vendors and festival participants
b. Any costs related to special Emergency Medical Service coverage

c. Any costs, for auxiliary police, special duty deputies, or regular police as determined to
be need by both Destination: Canal Winchester and the City
d. Payment for trash removal during event hours
Section 6.
That the City of Canal Winchester shall provide the following as their
contribution to the festival:
a. Water for use by the vendors within the festival defined area;
b. Payment of employee overtime hours required for closing and opening of the festival
area, nightly cleanup of the festival area, and miscellaneous issues that may arise during
the festival hours.
c. Contact numbers for appropriate assigned employees
d. Use of Town Hall for equipment storage and entertainment green room and space for
trash containers and port-a-johns as determined and agreed upon by City Staff and
Destination: Canal Winchester.
Section 7. That Destination: Canal Winchester designated representatives will meet at least
three weeks before the event with the Administrator and any other city officials the Administrator
deems necessary to finalize festival related issues.
Section 8. That this resolution shall take effect and be in force from and after its passage.

WHEREAS, the Council and Mayor of the City of Canal Winchester have determined that
entry into a roadway maintenance agreement with the Fairfield County Commissioners and Fairfield
County Engineer, regarding portions of Hill Road adjacent to the Canal Winchester corporate limits,
is in the best interest of the City of Canal Winchester; and
WHEREAS, entering into the maintenance agreement will further facilitate roadway
improvements and enable additional economic development to take place on adjacent parcels in the
City of Canal Winchester;
NOW, THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE CITY OF
CANAL WINCHESTER, OHIO, THAT:
Section 1.
That the Mayor is hereby authorized to enter into a roadway maintenance
agreement for a portion of Hill Road on behalf of the City of Canal Winchester, in substantially the
form attached hereto and identified as Exhibit A, with such revisions as determined by the Mayor to
be in the best interest of the City of Canal Winchester, which are hereby approved.
Section 2.
That the Mayor and other City officials are authorized to take such actions and
execute such documents as are necessary to effectuate the Maintenance Agreement authorized in

AGREEMENT
This Agreement ("Agreement") is entered into this ______ day of _________, 2026 by
and between the City of Canal Winchester, Ohio, a municipal corporation located in Fairfield
County, Ohio (“the City”) with offices located at 45 East Waterloo St., Canal Winchester,
Ohio, 43110, and the Fairfield County Commissioners (“the Commissioners”), by and through
the Office of the Fairfield County Engineer, with Engineer’s Offices located at 3026 West
Fair Avenue; Lancaster, Ohio 43130 (“the Engineer”).
RECITALS
WHEREAS, the property owners have submitted plans to the City for a major
development with access points on an unannexed section of Hill Road, see “Exhibit A”; and
WHEREAS, the Engineer is, among other things, responsible for the maintenance of
all Fairfield County roads including this section of Hill Road and its associated rights-of-way;
and
WHEREAS, the Engineer, and the City are each responsible for sections of Hill Road,
segmented by previous annexations by the City as shown on “Exhibit A”; and
WHEREAS, it is more convenient and cost effective both for the City and for the
Commissioners and Engineer if the City maintains this section of Hill Road; and
WHEREAS, Section 5535.08 of the Ohio Revised Code states, in applicable part, that
“[i]n non-emergency situations, any political subdivision having authority to repair, and maintain
roads or streets may enter into an agreement, under terms agreeable to all parties, with any other
political subdivision having that authority to obtain or provide road or street resurfacing,
improvement, repair, or maintenance services”; and
WHEREAS, Section 5535.16 of the Ohio Revised Code states, in applicable part, that
“a political subdivision may provide snow and ice removal on the roads under the control of
the state or any political subdivision”; and
WHEREAS, the City wishes to maintain Hill Road including, but not limited to, the
removal of snow and ice from Hill Road in accordance with the terms and conditions set forth
herein; and

WHEREAS, the Commissioners agree that it is in the best interest of the County to enter
into this Agreement; and
WHEREAS, both the City and the Commissioners have duly authorized the execution of
this Agreement;
NOW THEREFORE, for adequate consideration, the receipt and sufficiency of which is
hereby acknowledged, and intending to be legally bound, the parties to this Agreement do agree
as follows:
1. Term.

This Agreement shall commence the _____ day of __________, 2026 (“the

Commencement Date”) and shall continue in full force and effect until the section of Hill Road
subject to this agreement is annexed into the City or until terminated in writing by the Engineer,
in the Engineer’s sole discretion.
2. City’s Obligations. During the term of this Agreement, the City shall be responsible for all
constructing, reconstructing, grading, draining, paving, repaving, striping, signing, traffic and
school zone signalization and fees, construction and reconstruction of sidewalks, drainage
ditches, storm sewers, culverts, snow and ice removal and control, permitting, including right of
way driveways and utilities, and all other maintenance, (collectively, “Maintenance Activities”)
and all costs, fees, and expenses associated with or related to all of the foregoing Maintenance
Activities on the section of Hill Road covered by this Agreement as shown on “Exhibit A”. The
City shall, at its sole cost and expense, supply the equipment, supplies, and labor needed to
perform such Maintenance Activities on Hill Road as previously described herein. Additionally,
speed limits within this maintenance Agreement area shall be established per applicable laws
and regulations.
All of the foregoing Maintenance Activities on Hill Road shall be performed by the City in
a manner that complies with all applicable laws, rules, regulations, and safety requirements and
shall be performed no less thoroughly than the best manner in which the City conducts such
Maintenance Activities on roads similar to Hill Road located within the City. The City shall be
responsible for the application to the surface of Hill Road salt, sand, brine or any other substance
deemed necessary by the City in a manner consistent with roadway safety and all applicable
safety standards. The City shall be entitled to no compensation or other remuneration of any
kind from the Commissioners or the Engineer for the goods, services, or supplies performed or
utilized by the City in the performance of the City’s obligations under or in connection with this

Agreement.
3. Engineer’s Obligations. During the term of this Agreement the Engineer shall continue to assign
postal addresses.
4. Responsibility of the Parties. Each party to this Agreement shall be responsible for any
negligent acts and/or negligent omissions committed by itself, its agents, and/or its
employees. Each party shall be responsible to defend itself, its agents, and/or its employees
and shall pay any judgments and costs arising out of such negligent acts and/or negligent
omissions, and nothing in this Agreement shall impute or transfer any such responsibility
from one party to the other party.
5. Notices. Any notices desired or required to be given to any party under this Agreement shall
be in writing and shall be deemed received when delivered in person, by telecopier, by private
air courier with receipt or three (3) days after being deposited in the United States mail, first
class, registered or certified, return receipt requested, with postage paid and:

the substantive laws of the State of Ohio exclusive of the laws in Ohio relating to conflict of
laws. In addition, any action at law, suit in equity or judicial proceeding for the enforcement

Court of Common Pleas located in Fairfield County, Ohio.
9. Paragraph Headings.

The paragraph headings are inserted in this Agreement only for

this Agreement.
10. No Waiver of Rights. Failure by any party to insist on or enforce any of their rights shall not
constitute a waiver of those rights by such party, and nothing shall constitute a waiver of the
parties' right to insist on strict compliance with the provisions of this Agreement.

WHEREAS, Lock Pointe Village, LLC desires to dedicate the 0.206-acre parcel of land to the City
of Canal Winchester, with the parcel being used for public right-of-way purposes; and,
WHEREAS, the Director of Public Service recommends acceptance of the dedication.
NOW THEREFORE BE IT ORDAINED BY THE COUNCIL OF THE CITY OF CANAL WINCHESTER,
STATE OF OHIO:
Section 1. That Council does hereby accept the 0.206-acre parcel of land described in Exhibit A for
right-of-way purposes.
Section 2. That Council hereby authorizes and directs the Law Director to record an appropriate
General Warranty Deed from Lock Pointe Village, LLC, evidencing the acceptance of the parcel as
authorized herein.

computer.
$60,000.00 to the Lands and Buildings – Capital Outlay line item for the replacement of the roof
at 36 South High St.
$173,000.00 to the Construction Services – Operating Expenses line item
o $30,000.00 for professional engineering services related to review of construction plans
o $18,000.00 for professional engineering services related to an OPWC application for the
2027 funding cycle
o $125,000.00 for professional engineering services related to the railroad underpass
$312,000.00 to the Construction Services – Capital Outlay line item
o $262,000.00 for additional right-of-way costs related to the Winchester Blvd
roundabout improvement project
o $50,000.00 for additional construction costs for McGill Park Phase 2B related to ground
stabilization

Greengate TIF Fund – Appropriates $60,000.00 to the Administration – Capital Outlay line item for cost
overruns related to the Greengate Blvd extension project.
Water Fund – Appropriates $40,000.00 as follows:

$20,000.00 to the Administration – Capital Outlay line item for technology
replacements/upgrades at the plant.
$20,000.00 to the Distribution – Capital Outlay line item for unexpected repairs due to accidents
affecting hydrants. Insurance claims have been or will be made for these accidents, where
